Secondees. 1. Any staff who are seconded by a Party to Cambs HIA for whatever purpose shall remain at all times the employees of that Party and shall remain bound by that Party's terms and conditions of employment, health & safety policy, disciplinary policy and capability policy.
2. At the end of the period of secondment or the termination of this Agreement, whichever is the sooner, such seconded staff shall resume their normal duties for the Party concerned.
Secondees. Notwithstanding the terms of any Applicable Operating Agreement to the contrary, BG shall have the right to place Secondees within the organization of EXCO Operator while it is serving as Joint Development Operator, all as set forth in Exhibit “C” attached hereto.
Secondees. (a) As soon as practicable after Completion, the Parties shall terminate the secondments of all persons (other than Xxxxxx Xxxxxxxx and Xxxx Xxxxxx) who are seconded:
(i) from any member of the BBY Shareholders' Group to any member of CPW's Group; or
(ii) from any member of CPW's Group to any member of the BBY Shareholder's Group.
(b) As soon as reasonably practicable after Completion, BBY or an Affiliate shall make an employment offer to Xxxxxx Xxxxxxxx and, subject to him accepting such offer, CPW shall provide such cooperation and assistance as may be reasonably requested by BBY and / or its relevant Affiliate in connection with the transfer of his employment to BBY or its Affiliate.
Secondees. 7.1 New NTL shall procure that, with effect from the Effective Date, the Secondees are seconded to Euroco for the period of time set out against the names of such individuals in the second column of the table contained in Schedule 4 (in relation to each individual, the "Secondment Period").
7.2 During the Secondment Period, Euroco shall pay to New NTL, in accordance with clause 4, the following fees in respect of the Secondees (the "Secondment Fees"):
7.2.1 the fees set out against the name of the relevant individual in the third column of the table contained in Schedule 4;
7.2.2 an amount equal to any bonus payable by the New NTL Group to the Secondees to the extent that:
(a) such bonus relates to services performed by the Secondee to Euroco or another member of the Euroco Group during the Secondment Period; and
(b) the amount of such bonus is approved in advance in writing by Euroco; and
7.2.3 any out of pocket expenses (including hotel, travel, entertainment and car hire expenses) incurred by the Secondee in the performance of services for the Euroco Group. In the case of Hamid Heidary, David McGowan and Steve Wagner, Euroco sxxxx xxxx xxx rxxxx xx xxxxxt and xxxxx xxx xf these secondees to provide their services to and report to managers at iesy, in which case Euroco may cause the applicable fees to be paid for by iesy.
7.3 New NTL agrees to use its reasonable commercial efforts to retain as employees the Secondees during the Secondment Period.
7.4 During the Secondment Period, the Secondees shall be under the day to day control of Euroco, in particular in relation to the allocation and performance of the services for the Euroco Group and shall be subject to the working practices of, and take instructions from, Euroco.
7.5 New NTL does not warrant the suitability of the Secondees to carry out services for the Euroco Group and Euroco acknowledges that it has satisfied itself that the Secondees are acceptable to it.
7.6 Euroco shall not at any time during the Secondment Period through any act or omission directly or indirectly cause a breach of the contract of employment between New NTL and the relevant Secondee, or any of the employment policies relating thereto.
7.7 Euroco shall indemnify and keep indemnified the New NTL Group and the Secondees against any Loss (including, in relation to New NTL Group, any settlement costs and expenses) made against or incurred or suffered by the New NTL Group and/or such Secondee arising out of or in connection with t...
Secondees. (a) The Corporation may, from time to time, issue to a Council a Secondee Request setting out details of:
(i) the role and function to be performed by the relevant secondee;
(ii) the duration of the secondment;
(iii) the fee the Corporation has budgeted for the secondees services; and
(iv) any other relevant matters.
(b) The relevant Council will consider the Secondee Request in good faith and, if agreed by the Council, provide an appropriate secondee on terms to be agreed between the relevant Council and the Corporation.
(c) The working assumption of the parties is that the fee to be paid by the Corporation for a Council secondee will be salary plus On Costs.
Secondees. 5.10.1 Following the date of the Original Agreement, the Business Sellers and the Purchaser shall meet to discuss and explore any ways in which, without contravention of any Law and Regulations, the Purchaser may be able to appoint any persons (up to a maximum of ten) as secondees (the “Secondees”) to work in the Businesses from any date following the date of the Original Agreement until the NatWest Closing (in respect of the NatWest Businesses), the RBS Wales Closing (in respect of the RBS Wales Businesses) and the RBS England Closing (in respect of the RBS England Businesses). If the Business Sellers, acting reasonably, consider that the appointment of any such Secondees would contravene any Law and Regulations, no such Secondees shall be so appointed.
5.10.2 If any Secondees are appointed in accordance with Clause 5.10.1, the Purchaser shall have absolute discretion as to the identity of those who are so appointed, provided that no Secondee shall form part of the Businesses’ executive management team. In addition, during the period in which any Secondee is working in the Businesses, save where required by Law and Regulations, such Secondee shall not be permitted to have any contact whatsoever with the Purchaser and the Purchaser shall not contact any Secondee. Any Secondees so appointed shall be seconded to the Businesses on fixed term contracts and on the basis of the Business Sellers’ standard terms and conditions of employment (subject to any enhanced confidentiality undertakings as the Business Sellers may request). *** Material has been omitted pursuant to a request for confidential treatment and has been filed separately.

Secondees. A secondee is a Board or School employee who has been selected by a Trade Union for all or part of their contracted hours to work in accordance with this agreement. The Employer expects that the secondee will normally be the first point of contact with primary responsibility for the duties outlined below.
Secondees. As part of the Services described in Article 1, the Company hereby seconds, and Forest-Starma hereby accepts the secondment of certain specialist employees of the Company (the "Secondees"), who have agreed to be seconded to Forest-Starma in accordance with the terms of this Agreement.
Secondees. Each member of the Investor Group shall have the right to second one or more employees of such Investor Group member or any of their Affiliates to the Company or any Company Controlled Corporation, after consideration of such secondee’s personal experience, recognized expertise and potential synergistic contributions, and, if required, subject to the approval by a majority of the Disinterested Directors serving on the Company Board. Each such secondee will remain an employee of the applicable Investor Group member (or its Affiliate). The Company will be solely responsible for all compensation and benefits of such employee seconded to the Company or Company Controlled Corporation, as reasonably agreed and reflected in the agreement executed among such secondee and/or the Investor Group member employing such secondee and the Company as contemplated in the immediately following sentence, and, in each case, for all withholding, workers’ compensation and any other insurance and fringe benefits with respect to such secondees. No secondee may commence work until an appropriate agreement has been executed among such secondee and/or the Investor Group member employing such and the Company, which agreement is approved by a majority of the Disinterested Directors serving on the Company Board; provided that each such agreement shall address such matters not inconsistent with this Agreement as the Disinterested Directors shall require, provided, further, that substantially the same conditions shall be imposed on secondees of each member of the Investor Group.
