SERVICES OR PRODUCTS SUPPLIED (DELIVERABLES. 2.1. The Fund appoints the Service Provider to provide an end to end ICT performance assessment and an insight to end user experience (hereinafter referred to as the “Services / Deliverables”) for the Fund as more fully set out in the attached Service Provider’s Proposal (Annexure B) and which service will include the following : Configuration; Analysis of all ICT systems including security settings; and Provide the necessary feedback and the proposed solution. 2.2. The Parties further record that the Services / Deliverables referred to in clause 2.1 above includes the following: ICT requirements: (a) Assessment to determine and highlight areas of concern; (b) Propose resolution of performance issues; (c) Proactive performance management; (d) Measurable end-user experience; (e) Status reports, as and when required; (f) Report of all possible solutions; and (g) Consolidated reports at the end of the project. Technical high level requirements: (a) Standardised , unified and integrated tools to perform the assessment ; (b) Business process and transaction breakdown with associated technology mappings; (c) Intelligent and analytical tools to reduce dependency on resource skill levels; (d) Context sensitive transaction correlation; (e) Monitoring mechanisms on user and business process levels required; (f) Predictive analysis with self learning capabilities and deviation recognition; and (g) Cover production. Compliance and detailed technical requirements: (a) Transaction context correlation; (b) Mapping of business processes to system processes; (c) Handle black box scenarios; (d) HTML instrumentation; (e) User definable overhead utilisation(level of drill down detail); (f) Real end-user experience; (g) Include update transaction types; (h) No synthetic transactions; (i) Central management and deployment of client agents; (j) Transaction context; (k) Technology and business process breakdown; (l) Drill down(in context) to: o Point : click drill down method; o Suggest which related configuration parameters are involved; and o Ability to overlay unrelated parameters. (m) Historical reporting; (n) Quick “in/out” installation and configuration of products; (o) User definable data sampling resolution; (p) Stability; (q) Measure transaction through put; (r) Import baseline into production environment; (s) Keep operational trends into account; and (t) Predictive analysis 2.3. The Fund appoints the Service Provider, which appointment the Service Provider accepts, to supply interpretation and translation support (Deliverables) to the Fund, subject to the terms of this Agreement. 2.2. For the avoidance of doubt, the Parties hereto record that there shall be no obligation on the Fund to procure any minimum amount or number of Deliverables from the Service Provider for the duration of this Agreement and the Service Provider accepts that orders shall be on an ad hoc basis, at the sole and exclusive discretion of the Fund, and that it shall have no rights of exclusivity in terms hereof. 2.3. Without limiting the generality of the Service Provider’s obligations with respect to the provision of the Deliverables, the Service Provider shall provide: 2.3.1. The Deliverables; 2.3.2. Feedback on a continuous basis; 2.3.3. A quality assurance process that the Fund deems suitable in rendering the Deliverables; and 2.3.4. Transport and delivery of all required Deliverables, where applicable. 2.4. The Service Provider shall provide the Deliverables in accordance with timeframes specified in Annexure B, in each particular Scope of Work orders, or in accordance with such agreed timelines as the parties may agree to in writing from time to time.

The Fund appoints the Service Provider to upgrade and maintain the AV/VC systems of the Fund (Deliverables) at all the regional offices of the Fund. 2.2. The Service Provider acknowledges that it is aware that the Deliverables shall be supplied, installed, configured and maintained at the Fund’s regional offices or at whichever site wherein any regional office of the Fund is located as at date of signature of the party signing this Agreement last in time, or such other time during the subsistence of this Agreement. 2.3. The Service Provider shall provide the Deliverables in accordance with timeframes specified in Annexure B, or in accordance with such agreed timelines as the parties may agree to in writing from time to time. 2.4. The Parties specifically record that the amount referred to in clause 3.2 as more fully appears in Annexure C is based on the assumption that the Deliverables provided will include the following: o All labour included for all regions; o Monthly performance meetings; o Preventive maintenance checks and services performed by factory trained engineers every quarter; o Standard margins on parts and out-of-warranty equipment repairs;

Office chairs; 2.2.2. Reception counters, casual seating and seating and occasional tables; 2.2.3. Pause area furniture; 2.2.4. Standard office furniture (desks, pedestals, credenzas); 2.2.5. Executive and general manager office furniture; and 2.2.6. Transport and delivery of all required Deliverables and Furniture to the Premises, where applicable. 2.3. The Fund shall be entitled to, from time-to-time, instruct the Service Provider to provide the Deliverables to any area/region in which the Fund has a presence within the borders of the Republic of South Africa. 2.4. For the avoidance of doubt, the Parties hereto record that there shall be no obligation on the Fund to procure any Deliverables whatsoever, or any minimum amount or number of Furniture from the Service Provider for the duration of this Agreement and the Service Provider accepts that orders in the form of project delivery plans shall be on an ad hoc basis, at the sole and exclusive discretion of the Fund, and that it shall have no rights of exclusivity in terms hereof. 2.5. The Service Provider shall provide the Deliverables in accordance with timeframes specified in the response to the Request For Proposal, or in accordance with such agreed timelines as the parties may agree to in writing from time to time.

The Fund appoints the Service Provider, which appointment the Service Provider accepts, to supply, install, fit and maintain (Deliverables) a standby generator (Equipment) at the Fund’s branch office located at 00 Xxx Xxxxxx, Menlo Park (Premises), subject to the terms of this Agreement. 2.2. Without limiting the generality of the Service Provider’s obligations with respect to the provision of the Deliverables, the Service Provider shall provide: 2.2.1. a minimum of 2 year warranty; 2.2.2. Maintenance, service and repairs for a period of three (3) years with the option of extending for two (2) years that shall include but shall not be limited to: 2.2.2.1. diagnosis, rectification and fixing of malfunctions and defects; 2.2.2.2. diagnosis and rectification of problems identified by the Fund; 2.2.2.3. lubrication, necessary adjustments and replacement of unserviceable parts; 2.2.2.4. guidance and assistance to ensure correct application, configuration and use of the 2.2.2.5. provision of advice on enhancements, modifications, additions or alterations to facilitate the optimal use of the Equipment; and 2.2.3. Transport and delivery of all required Deliverables and Equipment to the Premises, where applicable. 2.3. The Service Provider shall provide the Deliverables in accordance with timeframes specified in the response to the Request For Proposal, or in accordance with such agreed timelines as the parties may agree to in writing from time to time.

  • EQUIPMENT, PRODUCTS, OR SERVICES A. EQUIPMENT, PRODUCTS, OR SERVICES. Supplier will provide the Equipment, Products, or Services as stated in its Proposal submitted under the Solicitation Number listed above. Supplier’s Equipment, Products, or Services Proposal (Proposal) is attached and incorporated into this Contract. All Equipment and Products provided under this Contract must be new and the current model. Supplier may offer close-out or refurbished Equipment or Products if they are clearly indicated in Supplier’s product and pricing list. Unless agreed to by the Participating Entities in advance, Equipment or Products must be delivered as operational to the Participating Entity’s site. This Contract offers an indefinite quantity of sales, and while substantial volume is anticipated, sales and sales volume are not guaranteed.

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.

  • Defective Products A defective product may be returned to PRECISIONARY INSTRUMENTS within thirty (30) days of the delivery date for a refund of the original purchase price with the following amendments/fees. To return a defective product, please contact our Customer Service Department and follow the Return of Products Instructions below.

  • Additional Products and Services Subject to the allocation of funds, the CPO may add similar equipment, supplies, services, or locations, within the scope of this Agreement, to the list of equipment, supplies, services, or locations to be performed or provided by giving written notification to Contractor. For purposes of this Section, the “Effective Date” means the date specified in the notification from the CPO. As of the Effective Date, each item added is subject to this Agreement, as if it had originally been a part, but the charge for each item starts to accrue only on the Effective Date. In the event the additional equipment, supplies, services, or locations are not identical to the items(s) already under this Agreement, the charges therefor will then be Contractor’s normal and customary charges or rates for the equipment, supplies, services, or locations classified in the Fees and Costs (Exhibit “F”).

  • Custom Products Effective upon creation of Custom Products, Contractor hereby conveys, assigns and transfers to Authorized User the sole and exclusive rights, title and interest in Custom Product(s), whether preliminary, final or otherwise, including all trademark and copyrights. Contractor hereby agrees to take all necessary and appropriate steps to ensure that the Custom Products are protected against unauthorized copying, reproduction and marketing by or through Contractor, its agents, employees, or Subcontractors. Nothing herein shall preclude the Contractor from otherwise using the related or underlying general knowledge, skills, ideas, concepts, techniques and experience developed under a Purchase Order, project definition or work order in the course of Contractor’s business. Authorized User may, by providing written notice thereof to the Contractor, elect in the alternative to take a non-exclusive perpetual license to Custom Products in lieu of Authorized User taking exclusive ownership and title to such Products. In such case, Licensee on behalf of all Authorized Users shall be granted a non-exclusive perpetual license to use, execute, reproduce, display, perform, adapt and distribute Custom Product as necessary to fully effect the general business purpose(s) as stated in paragraph (b)(i)(2), above.

  • Third Party Products and Services Any third-party hardware, software and/or services that is delivered by ResMed for use either standalone or in conjunction with ResMed products and/or services, shall be subject to the third-party terms and conditions and/or license agreements between Customer and the third party. Such third-party hardware, software and/or services is provided by ResMed "AS IS," without any warranty of any kind. Any representations or warranties as to such hardware, software and/or services shall only be as granted by the applicable third parties, if any, that accompany such products and/or software and/or services. Any representations, warranties, or other similar obligations with respect to such third-party hardware, software and/or services flow directly from the third party to Customer and ResMed shall have no responsibility at all for any such representations, warranties, obligations or lack thereof.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].

  • PRODUCT MANUFACTURER'S SUPPLIERS Only those dealers/distributors listed by the manufacturer will be considered authorized to act on behalf of the Product Manufacturer.
