Special Awards. The Managing Director may be awarded compensation in excess of amounts resulting from application of the provisions in Section 2 of this Agreement, at the sole discretion of the Chairman.
Special Awards. The University retains the right to determine the basis for special awards, including but not limited to payments for meritorious performance, recognition, incentive and bonus payments, and to exercise sole discretion as to the granting, timing, amount, distribution and frequency of such awards and payments. The University retains the right to provide or discontinue the provision of award programs or other payments to employees in this bargaining unit during the term of this Agreement or during the period of time following the expiration of the Agreement.
Special Awards. The Committee may recommend to Management, EEO Counselors or others for monetary Special Achievement Awards for special acts or services contributing to the goals of affirmative employment and equal opportunity.
Special Awards. The following are special award opportunities available to students who have upheld and maintained the ideals of our school district philosophy, have met the criteria of the award, and are selected by coaches and administrators where applicable.
Special Awards. Under and subject to the provisions of the Match Group, Inc. Amended and Restated 2017 Stock and Annual Incentive Plan (as amended, the “2017 Plan”), Executive will be granted on the first calendar day of the month that next follows the Effective Date (the “Grant Date”), subject to Executive’s Continued Employment (as defined below) through the Grant Date:
(1) restricted stock units of the Company, with a value of $3,000,000 as of the Grant Date (the “Special RSU Award”), determined using the volume-weighted average price, rounded to two decimal places, of Company common stock on the primary stock exchange on which shares of the Company’s common stock are traded for the five (5) consecutive trading days ending on the Grant Date or, if the Grant Date is not a trading day, ending on the trading day immediately preceding the Grant Date, vesting in full on the third anniversary of the Grant Date, subject to Executive’s Continued Employment through such vesting date; and
(2) performance stock units of the Company, with a target value of $4,000,000 as of the Grant Date (the “Special PSU Award” and, together with the Special RSU Award, the “Special Awards”), determined using the volume-weighted average price, rounded to two decimal places, of Company common stock on the primary stock exchange on which shares of the Company’s common stock are traded for the five (5) consecutive trading days ending on the Grant Date or, if the Grant Date is not a trading day, ending on the trading day immediately preceding the Grant Date, on the terms set forth in a Special PSU Award agreement (which terms shall, except as otherwise set forth herein, generally be consistent with such vesting terms and other conditions of that certain award of performance stock units of the Company granted to Executive on March 1, 2022) (the “Special PSU Award Agreement”) and vesting, subject to Executive’s Continued Employment and attainment of applicable performance goals, each as set forth in the Special PSU Award Agreement.
