Task One. Bioproduction and [*] of Algal Biomass Solazyme, Inc. will engage in research and development to improve its proprietary bioproduction, extraction and purification processes for producing oil from heterotrophic (indirectly photosynthetic) algae at [*] and larger. Solazyme will apply these processes in an effort to [*] a quantity of algal biomass sufficient to yield the refined fuel product deliverables utilizing facilities at [*]. The process of growing heterotrophic algae involves several components: Optimized algal strain: Solazyme has already identified multiple species and strains of algae that grow quickly and produce exceptionally large amounts of oil relative to [*] weight. Xxxxxxxx has further enhanced these strains through laboratory optimization processes. Growth media: The media consists primarily of [*] with the addition of [*]. Bioproduction vessels: These constitute the physical infrastructure in which the cells [*]. The algae are [*] a series of successively [*] before being [*] into the [*]. Further process engineering, however, is required to optimize productivity, demonstrate reliability, ensure uniform operation, and prepare for final scale up to [*]. (Commercial algal biofuel facilities will employ anywhere from [*] of these larger [*] operating independently in parallel. From a technical performance perspective, operations in the proposed project at [*] scale are therefore just [*] order of magnitude below full commercial scale. Task One. Recommendations. A. Contractor shall deliver a plan with the following recommendations: (1) Format and coding for data elements listed in Appendices A-E, referenced in Oregon Administrative Rule 409-025-0120. This shall include mapping to the appropriate ANSI X-12N or NCPDP data elements. (2) The methods for transmitting data files to Contractor that comply with OAR 409-025-0130. Contractor shall make reasonable efforts to assure that methods can be implemented with minimal disruption for data submitters. (3) A protocol for testing submission of data files with data submitters. This shall include consulting with the OHA to test transmission of a small sample data file from the OHA to Contractor as soon as feasible, but not later than the date specified in C). (4) Types of claims subject to state or federal privacy protections that are stricter than HIPAA privacy protections. (5) In consultation with the Division of Medical Assistance Programs, methods for extracting Medicaid claims and encounter data from the Medicaid Management Information System (MMIS) and solutions to problems encountered during the extraction. (6) Comprehensive data file quality assurance, validations and edit checks both within and across payers which shall include, but not be limited to: a. Incomplete records. b. Duplicate records. c. Submission of excluded claims. d. Missing values. e. Invalid values. (7) Thresholds for completeness, quality assurance, validations, and edit checks for the purpose of identifying data submissions that require closer inspection or correction. Contractor’s recommendations should balance the need for timely submission and processing with achieving accuracy and completeness in reporting. (8) An algorithm for creating unique patient identifiers from data elements selected for mandatory submission. The purpose of the identifier is to allow aggregation of patient claims across payers, including pharmacy. (9) An algorithm for creating a unique healthcare facility identifier. The purpose of the identifier is to allow facility-level aggregation of claims across payers. (10) An algorithm for uniquely identifying healthcare providers across payers. The purpose of uniquely identifying providers is to aggregate claims across payers. (11) A protocol for assuring that claims link to eligibility records and provider records. Task One. Data download and delivery. There is currently no direct data delivery mechanism once the data are uploaded, beyond the graphical products that are produced on screen and, outside the database, through an R function. A critical requirement for full functionality of the database is to enable the return of customized records of data to the users, along with data tables of the summaries used in the graphical output in the user interface. The user interface can also be designed to supply many of the data visualization products that are currently only available through the externally-accessed R function1. Information Technology Infrastructure Library (ITIL) IT Service Management, including continuous process improvement. e) Provide quantitative and qualitative risk management using industry standard risk management guidelines (e.g., the Project Management Institute (PMI), the National Institute for Science and Technology (NIST), actuarial societies, or the International Organization for Standardization (ISO); f) Implement a comprehensive communications management strategy that supports the FSM Program across all customers supported by the EFSI contractor; g) Provide an organizational change management strategy that ensures changes are smoothly and seamlessly implemented; the plan shall at a minimum address: stakeholder analysis, organizational impact analysis, role definition mapping, and training needs assessment; h) Develop and implement quality management for all areas of program performance in accordance with a Responsible, Accountable, Consulted and Informed (RACI) model; i) Develop and maintain an Integrated Master Schedule for EFSI contractor’s order(s); j) Implement and maintain a Quality Management System (QMS) minimally consistent with ISO Standard 9001-2015; k) Establish and provide metrics of value in accordance with ANSI/EIA-748 standard for all work performed under the BPA by applying standard EVM techniques; and l) Manage projects and provide task order deliverables as defined at the task order level.

  • Statement of Work The Statement of Work to which Grantee is bound is incorporated into and made a part of this Grant Agreement for all purposes and included as Attachment A.

  • Task Orders A. Some tasks and Services will be assigned to the Consultant through issuance of Task Orders. After the tasks and Services are identified and communicated to the Consultant by Valley Water Project Manager, Consultant will prepare a proposed Task Order (see Standard Consultant Agreement, Appendix Three Task Order Template). The proposed Task must identify the following: 1) Description of the services, including deliverables; 2) The total Not-to-Exceed Fees for Consultant to complete the services, including estimated number of hours per assigned staff to complete the services; 3) Proposed staff that will be assigned to complete the services, including resumes if not previously provided to Valley Water’s Project Manager; 4) Estimated cost of each other direct cost and reimbursable expense, including any applicable fees; 5) Schedule for completing the services; and 6) Copies of applicable state and federal permits required to complete the services, unless previously provided to Valley Water. B. Consultant agrees that the Not-to-Exceed Fees specified in a proposed Task Order will be the product of a good faith effort in exercising its professional judgment. After an agreement has been reached on the negotiable items, the finalized Task Order will be signed by both Valley Water’s authorized representative referenced in the Standard Consultant Agreement, Appendix One Additional Legal Terms (Appendix One), and Consultant’s authorized representative. C. Consultant must not commence performance of work or services on a Task Order until it has been approved by Valley Water’s authorized representative and Notice to Proceed has been issued by Valley Water Project Manager. No payment will be made for any services performed prior to approval or after the period of performance of the Task Order. The period of performance for Task Orders will be in accordance with dates specified in the Task Order. No Task Order will be written which extends beyond the expiration date of this Agreement. The total amount payable by Valley Water for an individual Task Order will not exceed the amount agreed to in the Task Order.

  • Performance of Work by City If the Contractor fails to perform the Work in accordance with the schedule referred to in section 2 above, the City may, in its discretion, in order to bring the project closer to the schedule, perform or cause to be performed some or all of the Work, and doing so shall not waive any of the City’s rights and remedies. Before doing so, the City shall give the Contractor notice of its intention. The Contractor shall reimburse the City for additional costs incurred by the City in exercising its right to perform or cause to be performed some or all of the Work pursuant to this section.

  • 000 SCOPE OF WORK 5. 100 The scope of this Agreement covers all work of a maintenance, repair and renovation nature, assigned by the Owner to the Company and performed by the employees of the Company covered by this Agreement, within the limits of the Owner's plant site.

  • Contract Task Order A- E shall be assigned work via a task order by COUNTY which shall subsequently be referred to as the “Contract Task Order” (hereinafter “CTO”). A CTO for each project shall be developed by A-E in conjunction with COUNTY Project Management staff. The County Project Manager shall manage all A-E’s work including monitoring the CTO work schedule, quality of deliverables, review of invoiced amounts, adherence to set budget, and internal review of submittal packages. A-E shall follow all requirements as outlined in the CTO; this general Scope of Work, the project specific Scope Statement, and the Architect-Engineer Guide (Rev July 2018). The CTO shall include a detailed Scope Statement, describing tasks to be performed with a specific list of deliverables for each task, schedule of work and cost to complete the work. The schedule of work shall allow enough time for meetings with County Management staff to review the work progress, provide technical and policy direction, resolve problems and ensure adherence to the work completion schedule. The CTO shall include a cover sheet provided by County Project Management staff with the appropriate signature blocks and contract information. Once both Parties agree, and all Parties have signed the CTO, County Management staff shall provide A-E with a Notice to Proceed (NTP) to begin work. A-E shall submit all plans, reports and other documents produced under the CTO to the assigned County Project Manager within the timeframe indicated in the CTO or as directed by County Project Management staff.

  • SERVICE LEVEL DESCRIPTION The Fund Accounting Agreement is hereby amended by deleting the Service Level Description attached thereto and replacing it in its entirety with the Service Level Description attached hereto.
