The bonus is to be paid for the first two working periods after the change and for the number of hours the working period has been changed. If the employee goes for example from work period 06.00 - 18.00 hours to work period 12.00 - 24.00 hours, an overtime bonus (65%) is paid for 6 hours for the first two work periods. If the employee goes for example from work period 06.00 - 18.00 to work period 18.00 - 06.00, an overtime bonus (65%) is paid for 12 hours for the first two work periods. The bonus is paid indifferent of the length of the working periods after the change. By change of working period as a result of prolonged time following a regular period on board where the employee is terminating the prolonged period on board one day after the change of working period (the swing shift), compensation is only to be paid for one working period. 3.5.2 Exceptions/clarifications No compensation is to be paid for changes in working period as a result of allocated work schedule. Neither is compensation to be paid for change of work period for the entire period on board, when the employee is notified about this prior to departure from heliport. Working period. The Parties agree that Mx. Xxxxxxx shall continue to be employed by the Company until the Separation Date (the “Working Period”). As such, during this Working Period, Mx. Xxxxxxx agrees to perform his normal duties inherent to the position of CFO for a public company, in addition to any other tasks commensurate with his position as the Board of Directors may assign to him from time to time, until such time as a successor has been identified and that such successor assumes the CFO functions. Once a successor CFO has been hired by the Company to assume the CFO functions, Mx. Xxxxxxx shall assist in the smooth transition of function to the new CFO in all matters relevant to the position, as requested by the Company, or by Mx. Xxxxxxx’x successor. Mx. Xxxxxxx further agrees that, during the Working Period, he shall continue to act with diligence, loyalty, and honesty and shall make all necessary efforts to promote the Company's legitimate business interests. Without limiting the generality of the foregoing, Mx. Xxxxxxx agrees that for the full duration of the Working Period, he shall be available and accessible to the Company at all times during the Company's normal business hours, namely from Monday to Friday, between the hours of 9 a.m. to 5 p.m., except when Mx. During this Working Period, unless his employment is terminated in accordance with Section 7, Mx. Xxxxxxx will: i) receive a base salary (based on the full annualized rate of $335,000); ii) participate in the group insurance benefit plans of the Company in effect from time to time, in accordance with, and subject to the terms of the formal plan documents; and iii) his Stock Options and Performance-Based Restricted Stock Units (“PSUs”) will continue to vest and be exercisable in accordance with the terms of the applicable award documentation, agreements and plans.   • Billing Period The calendar month shall be the standard period for all charges and payments under this Agreement. On or before the fifteenth (15th) day following the end of each month, Seller shall render to Buyer an invoice for the payment obligations incurred hereunder during the preceding month, based on the Energy Delivered in the preceding month, and any RECs deposited in Buyer’s GIS account or a GIS account designated by Buyer to Seller in writing in the preceding month. Such invoice shall contain supporting detail for all charges reflected on the invoice, and Seller shall provide Buyer with additional supporting documentation and information as Buyer may request.

  • Transition Period Due to the nature of our purchasing process, the District often requires an existing service provider to continue to provide goods and/or services while the District is in the process of advertising, evaluating, and awarding a contract for the provision of the same goods and/or services in the future. To accommodate this process, the Contractor shall agree to maintain the same terms and conditions set forth in this Agreement for a period up to ninety (90) days after the automatic termination of this Agreement at the end of its term, if requested by the District, as a transition period. In addition, if the Contractor is not the successful bidder for a future solicitation for the same or similar services, he or she shall agree to provide the same goods and/or services provided in this Agreement for a period up to ninety (90) days to allow for an orderly transition to the new provider. The District and the Contractor may mutually agree to a longer transition period.

  • Vacation Period ‌ The choice of vacation periods shall be granted to employees on the basis of seniority with the Employer except where the period requested would be detrimental to the operation of the Employer.

  • Prime Time Vacation Period Subject to the provisions of this article, it is the intent of the parties that no employee will be restricted in the time of year they choose to take their vacation. The Engineer shall make the records available at its office during the contract period and for seven (7) years from the date of final payment under this contract, until completion of all audits, or until pending litigation has been completely and fully resolved, whichever occurs last.

  • Contract Year A twelve (12) month period during the term of the Agreement commencing on the Effective Date and each anniversary thereof.

  • Work Period The normal work period shall consist of forty (40) hours of work within a seven (7) day period or eighty (80) hours of work within a fourteen (14) day period.

  • Transitional Period At the end of the transitional period as defined in Article 10(2) of the Directive, the contracting parties shall cease to apply the withholding/retention tax and revenue sharing provided for in this Agreement and shall apply in respect of the other contracting party the automatic exchange of information provisions in the same manner as is provided for in Chapter II of the Directive. If during the transitional period either of the contracting parties elects to apply the automatic exchange of information provisions in the same manner as is provided for in Chapter II of the Directive it shall no longer apply the withholding/retention tax and the revenue sharing provided for in Article 9 of this Agreement.
