Your Promises to Us. 8.1. You confirm to us:
8.1.1. You are Legal of Age, are of sound mind and you are capable of taking responsibility for your own actions.
8.1.2. You are the individual who has completed the registration process with us.
8.1.3. If you are entering the User Agreement on behalf of a legal entity you confirm that: (i) you are duly authorized to do so under the governing documents of such legal entity; (ii) there is nothing under applicable law or regulation in the jurisdictions in which such entity is organized or regulated, which prevents it from entering into this User Agreement and trade (including on margin, if applicable); (iii) you have the authority to bind such legal entity to the User Agreement; (iv) that the persons who use the Services have the proper authority and have sufficient knowledge and experience to understand the nature of the risks of the products to be traded; and (v) you shall indemnify and hold harmless the Company in such respect.
8.1.4. All details provided by you or by the Authorized Person (if applicable) to the Company either during the registration process or at any time thereafter, are true, current, correct and complete and match the name(s) on the credit/debit card(s) or on other payment accounts to be used to deposit or receive funds with the IB. Without derogating from the aforementioned, should you use a credit/debit card or any other form of payment, which is not in your private and personal name, we will presume that you have received complete and sufficient consent from the rightful owner or the person whose name is used on such payment instrument. We shall not be obligated in any manner to examine such consent and shall bear no responsibility with respect to your representations hereunder. You will promptly notify us of any changes to details previously provided by you or the Authorized Person to the Company. From time to time, you or your Authorized Person may be requested to provide us with certain documents to verify the details of the credit card used by you to deposit money to the Client Account. Depending on the outcome of these verification checks, you may or may not be permitted to deposit further monies with the IB. Should any of the information that you provide to us is untrue, inaccurate, misleading or otherwise incomplete, you will be in breach of the User Agreement and we reserve the right to terminate your account immediately or prevent you from using the Services, in addition to any other action that we m...
Your Promises to Us. You promise Us that you are at least 13 years old. If you are 13 or older, but under the age of 18, you should review the Invstr Terms with your parent or guardian to make sure that you and your parent or guardian have understood them to your satisfaction. You agree not to allow anyone under 13 years old to access or use our Services from your Device. Please see section 8 Competitions for age exceptions. You also promise Us that any information and details provided by you to Us, including on registration for an account, are true, accurate and up to date in all respects and at all times. You can update or correct your personal details at any time from the ‘Edit Profile’ screen in the “Profile” section of the App or Website.
Your Promises to Us. You warrant and represent that: • the information provided to us is true and correct as at the date of your order. • you are not currently bankrupt, you are 18 years of age or older, and you have full capacity to enter into your layby sale agreement.
Your Promises to Us. The Account Owner and each Authorized Person and Authorized Signer warrant and agree at all times while the Account is open, that (1) all information provided to HFSFCU in connection with the opening and maintenance of the Account is complete and accurate; (2) the Account Owner (other than a natural person sole proprietorship, or unincorporated organization, association or club) has been duly formed and is in good standing with the Hawaii Department of Commerce & Consumer Affairs (DCCA) (or such other jurisdiction as may be specified in the Account Card); (3) all trade or dba names belong to Account Owner, and are registered with the Hawaii DCCA to Account Owner; (4) you will notify HFSFCU if there is any change in the authority of an Authorized Person or Authorized Signer, and will provide such evidence of authority as HFSFCU may request at any time; (5) the Governing Documents (articles, bylaws, operating agreements, partnership agreements, etc.) that have been provided to HFSFCU, are complete and accurate as of this date, and any future amendments will be provided to HFSFCU; and (6) the Account is for business purposes and is not primarily for the consumer, personal, family or household purposes.
Your Promises to Us. You promise to us that (a) you are authorized to agree to these Terms, (b) you are not located in a country subject to a United States government embargo, nor are you located in a country that has been designated by the United States government as a “terrorist supporting” country, (c) you are not listed on any United States government list or prohibited or restricted parties, (d) you assume the risk of any information submitted by you, and (e) you will not disclose nor allow to be disclosed by any means any confidential information belonging to us that you become aware of.
Your Promises to Us. By accepting the Terms of Service You warrant, represent and undertake that:
10.1 all information provided by You to us is accurate, complete and will be kept current (and You can update us of any changes by notifying us.
10.2 You will keep Your Account access details confidential and acknowledge that You are responsible for Orders made under Your Account;
10.3 You have the authority and rights to enter into the Terms of Service and perform Your obligations under the Terms of Service; and
10.4 You will comply with the Terms of Service and any guidance or policies that we publish or update from time to time.
Your Promises to Us. When using the ActewAGL EV Charging Stations, you agree to exercise all reasonable care, to comply with the relevant EV owner’s manual and to comply with any instructions for use set out at ActewAGL EV Charging Stations (as amended by ActewAGL from time to time). ActewAGL will not be liable to you for any loss or damage of any kind to you or your EV whatsoever, arising from a failure by you to exercise such reasonable care or comply with the requirements of the EV owner’s manual or to comply with ActewAGL’s instructions for use. You indemnify us against any loss, damage, claim or expense we may suffer or incur arising from or as a result of your use of the ActewAGL EV Charging Stations. You warrant to us that your EV is currently registered, that you have read the relevant EV owner’s manual and that the EV does not present any danger or risk to other vehicles or persons or ActewAGL EV Charging Stations. Where you are not the owner of the EV accessing the ActewAGL EV Charging Stations, you warrant that you are authorised by the owner of that EV to use the ActewAGL EV Charging Stations and that you have authority to bind the owner to these terms and conditions. You acknowledge that we are not supervising your use of the ActewAGL EV Charging Stations and that you are undertaking such use at your own risk. You will not allow any person under the age of 17 to access or use the ActewAGL EV Charging Stations. You acknowledge that ActewAGL EV Charging Stations are located on private property, and you agree to keep that property clean and tidy, and to comply with any notices or reasonable requests of the manager of that property provided from time to time when using the relevant ActewAGL EV Charging Stations.
Your Promises to Us. You agree that you will not:
(a) permit any third party other than Your Users to access or use the Company Services;
(b) incorporate or use, or attempt to incorporate or use, the Company Services in whole or in part in any other software, service or product;
(c) modify, adapt, alter, copy, make derivative works, translate, reverse engineer, decompile, disassemble or otherwise derive or determine the source code (or the underlying ideas, algorithms, structure or organisation) of Company Services or attempt to do any of these things;
(d) disclose or transmit any content or data contained in the Company Services (not including Your Content) to any third party; or
