Large Generator Interconnection Agreement definition
Large Generator Interconnection Agreement means the agreement by and between the Connecting Transmission Owner, Seller and the NYISO, in substantially the form set forth in the NYISO’s Open Access Transmission Tariff (“OATT”) that governs the interconnection between the Connecting Transmission Owner’s Electrical System and the Project; prior to the execution and delivery of the Interconnection Agreement, references in this Agreement shall refer to the form thereof set forth in the NYISO’s OATT. Lease Agreement - means the Lease Agreement between Buyer (as “Lessor” thereunder) and Seller (as “Lessee” thereunder) pursuant to which Buyer is leasing to Seller the real property at the Site, the form of which is attached as APPENDIX 22: FORM OF LEASE AGREEMENT. Legal Requirements – means (i) all laws, statutes, codes, acts, treaties, ordinances, orders, judgments, writs, decrees, injunctions, rules, regulations, governmental approvals, authorizations or Consents, directives, and requirements of all Governmental Authorities, including Supplement 1 to this Agreement, and (ii) NYISO Rules. Lender –means any Person providing senior or subordinated construction, interim or long-term debt or equity financing or refinancing for or in connection with the development, construction, purchase, installation or operation of the Project, whether that financing or refinancing takes the form of private debt, public debt or any other form (including debt financing or refinancing provided to a member or other direct or indirect owner of Seller), including any equity and tax investor directly or indirectly providing financing or refinancing for the Project or purchasing equity ownership interests of Seller and/or its Affiliates, any Person providing any interest rate protection agreements to hedge any of the foregoing obligations, any Person providing financing pursuant to a sale lease-back or other lease financing, and any trustee or agent acting on behalf of one or more of the foregoing Persons. Letter(s) of Credit – means one or more irrevocable transferable to any assignee of this Agreement from Buyer in accordance with the terms of Section 15.2 standby letters of credit governed by the International Standby Practices 1998 (ISP 98) or later edition issued by a U.S. commercial bank or a foreign bank with a U.S. branch with such bank having at all times (i) net assets of not less than one billion dollars, and (ii) a Credit Rating of at least “A-” from S&P or “A3” from ▇▇▇▇▇’▇ or such lower Credit Rating as is acceptable...
Large Generator Interconnection Agreement or “LGIA” means the Large Generator Interconnection Agreement to be entered into by the Borrower, the Power Purchaser and CAISO.
Large Generator Interconnection Agreement. (“LGIA”) shall mean the interconnection agreement for the Large Generating Facility among the NYISO, National Grid, and the Developer. Large Generating Facility shall mean a Generating Facility having a Generating Facility Capacity of more than 20 MWhave the meaning set forth in the recitals. Milestones shall mean the milestones for the performance of the EPC Services, as set forth in Appendix A. Material Modification shall mean those modifications that have a material impact on the cost or timing of any Interconnection Request with a later queue priority date. Metering Equipment shall mean all metering equipment installed or to be installed at the Large Generating Facility pursuant to this Agreement at the metering points, including but not limited to instrument transformers, MWh-meters, data acquisition equipment, transducers, remote terminal unit, communications equipment, phone lines, and fiber optics. NYISO Deliverability Interconnection Standard – The standard that must be met, unless otherwise provided for by Attachment S to the ISO OATT, by (i) any generation facility larger than 2MW in order for that facility to obtain ▇▇▇▇; (ii) any Class Year Transmission Project; (iii) any entity requesting External ▇▇▇▇ Rights, and (iv) any entity requesting a ▇▇▇▇ transfer pursuant to Section 25.9.5 of Attachment S to the ISO OATT. To meet the NYISO Deliverability Interconnection Standard, the Developer must, in accordance with the rules in Attachment S to the ISO OATT, fund or commit to fund any System Deliverability Upgrades identified for its project in the Class Year Deliverability Study. Other Interfaces shall mean the following interfaces into Capacity Regions: Lower ▇▇▇▇▇▇ Valley [i.e., Rest of State (Load Zones A-F) to Lower ▇▇▇▇▇▇ Valley (Load Zones G, H and I)]; New York City [i.e., Lower ▇▇▇▇▇▇ Valley (Load Zones G, H and I) to New York City (Load Zone J)]; and Long Island [i.e., Lower ▇▇▇▇▇▇ Valley (Load Zones G, H and I) to Long Island (Load Zone K)], and the following Interfaces between the NYCA and adjacent Control Areas: PJM to NYISO, ISO-NE to NYISO, Hydro-Quebec to NYISO, and Norwalk Harbor (Connecticut) to Northport (Long Island) Cable. Party or Parties shall mean NYISO, Connecting Transmission Owner, or Developer or any combination of the abovehave the meaning set forth in the introductory paragraph.

The Developer shall assume all risk and liabilities with respect to changes between the Provisional Large Facility Interconnection Agreement and the Large Generator Interconnection Agreement, including changes in output limits and the cost responsibilities for the Attachment Facilities, System Upgrade Facilities, System Deliverability Upgrades, and/or System Protection Facilities.
Connecting Transmission Owner’s Attachment Facilities shall mean all facilities and equipment owned, controlled or operated by the Connecting Transmission Owner from the Point of Change of Ownership to the Point of Interconnection as identified in Appendix A to the Standard Large Generator Interconnection Agreement, including any modifications, additions or upgrades to such facilities and equipment.

Breaching Party shall mean a Party that is in Breach of the Standard Large Generator Interconnection Agreement.
Default shall mean the failure of a Breaching Party to cure its Breach in accordance with Article 17 of the Standard Large Generator Interconnection Agreement.
