Accountable Body. 3.1 The Accountable Body shall claim Government Funding for the Swansea Bay City Deal by any date specified by the Welsh Government or the UK Government. 3.2 The Accountable Body shall use the claim proforma provided by the Welsh Government to claim Government Funding for the Swansea Bay City Deal and shall confirm to the Welsh Government that the Accountable Body has in place appropriate financial risk and control systems. 3.3 The Accountable Body shall pay Project Funding from the Government Funding for the Swansea Bay City Deal to the Project Authority Lead to distribute to Projects. 3.4 The Accountable Body shall comply with the duties imposed on the Accountable Body by the Joint Committee Agreement so far as those duties are relevant to this Agreement. For the avoidance of doubt this shall include: (a) Acting diligently and in good faith in all its dealings with the other Councils. (b) Acting with reasonable skill and care and in accordance with best practice. (c) Acting in accordance with the principles and strategic aims of the Joint Committee Agreement and any applicable policies agreed by the Joint Committee for the Swansea Bay City Region. (d) Co-operating with any reasonable requests of the Councils that host the scrutiny monitoring officer democratic services and audit functions. 3.5 The Accountable Body shall comply in a timely manner with the conditions imposed on the Accountable Body in the Funding Award Letter/s as set out in Schedule 3 to this Agreement. 3.6 The Accountable Body shall use reasonable endeavours to comply with any conditions imposed by the UK Government or the Welsh Government for Government Funding from the Swansea Bay City Deal in a timely manner. 3.7 The Accountable Body shall comply with the State Aid Rules.

Accountable Body. 6.1 The Members hereby agree that until otherwise agreed in accordance with this Agreement the London Borough of Croydon shall fulfil the role of Accountable Body on behalf of the SLP. 6.2 The London Borough of Croydon acting as Accountable Body, undertakes to the other Consortium Members diligently to perform the responsibilities assigned under this Agreement. The Consortium Members acknowledge and agree that the Accountable Body’s responsibilities are as follows: 6.2.1 Is the authorised signatory for the purposes of entering into agreements with Funders on behalf of the SLP; 6.2.2 To provide full accounting facilities to the SLP including to receive, hold and control all funds granted from Funders, and received by way of contributions; 6.2.3 To maintain full and accurate accounting records of all income and expenditure in relation to the SLP from Consortium Members purpose of the Activities; 6.2.4 To report annually to SLP Board on its responsibilities under this Agreement; 6.2.5 To provide guidance or assistance to SLP from time to time which it may be impractical for the Consortium Members as a whole to provide; 6.2.6 To be the contracting party on behalf of SLP in relation to grants and commercial contracts entered into by it and in relation to any contractual relationship with Funders; 6.2.7 To act in the best interests of SLP in any discussions or negotiations or other appropriate transactions with contractors and potential suppliers to SLP and the Consortium Members; 6.2.8 To apply the Funding in accordance with the proper directions of SLP; 6.2.9 From the Funding to pay to the Accountable Body those amounts properly due for its performance of the duties and responsibilities delegated to it under the terms of this Agreement and to pay all salaries and wages, and other staff related costs including in respect of pension benefits and any costs associated with an employment tribunal claim, properly incurred in respect of the staff employed on behalf of SLP; 6.2.10 To represent SLP in any financial discussions or negotiations or other appropriate transactions with Funders in relation to SLP and the Consortium Members; 6.2.11 To represent and act in the best interests of SLP in any financial discussions or negotiations or other appropriate transactions with Funders in relation to SLP and the Consortium Members; 6.2.12 To use all due care and diligence in the exercise of the functions conferred up on it by this Agreement; 6.2.13 To conduct any transactio...
Accountable Body. An Accountable Body is responsible for putting in place systems and procedures to ensure the Partnership complies fully with the conditions of any grant funding it is awarded. Where the Partnership is not a separate legal entity, or does not meet the criteria for being the Accountable Body, one of the Partners shall take on this role.
Accountable Body. The CPCA is the employer of the Operational team. All Hub employees will be subject to the policies, terms and conditions of the CPCA. These may change from time to time and the Accountable Body will inform the Hub Board on any significant changes to employment terms and conditions. Accountable Body. 10.2.1 An Accountable Body’s role is to carry out the Partnership’s decisions in respect of a specific funding stream. CWAC agrees to act as the accountable body for the Partnership for the purposes of any grant funding from ACE, financial contributions payable by the Partners and other income received or generated as a result of grant funded activities. 3.2. Accountable Body. 7.1 The 4UAs agree to South Gloucestershire Council being the Accountable Body (AB) with the responsibilities set out in this Clause 7 and further agree to delegate all necessary powers to the AB to operate the Pool on behalf of the 4UAs. 7.2 The AB shall a) administer the Pool on behalf of the Board, ensuring its decisions comply with financial, legal, audit and other regulatory requirements. b) ensure (through its S151 Officer) that pooled funds are allocated correctly in making payments to Central Government if required, the EDF and the 4UAs in accordance with the decisions of the Board. c) Arrange audits pursuant to clause 10. d) secure the completion of any legal agreements and accounting and audit arrangements required to support the operation of the Pool. e) lead on the provision of information required by Pool members in preparing their annual statements of account in relation to the activities and resources of the Pool. f) be the single point of liaison with Central Government its agencies or other relevant third parties and complete all formal Pool returns to Central Government on behalf of the Board. g) prepare quarterly monitoring reports (or as otherwise agreed by the Board) and an annual report on the Board’s activities as set out in clause 11.2 and to include a review of the governance arrangements and relevant methodology. 7.3 The AB shall use reasonable endeavours to ensure that: 7.3.1 the 4UAs adhere to the provisions of this Agreement; and 7.3.2 all decisions relating to the subject matter of this Agreement are made in accordance with its terms. 7.4 Subject to paragraph 6 in Schedule B, the AB will be responsible for its costs in performing its obligations as AB, including but not to be limited to: -  Direct staffing costs (financial and administration), including any lifecycle and post-termination payments.  Specialist advice particularly financial and legal  Allocation of overheads e.g. systems, IT, telecoms, HR etc.  Transaction charges e.g. bank fees, payment fees etc.  Statutory costs as appropriate e.g. audit fees, taxes  Ensuring compliance with governance and decision making arrangements  Any other costs or expenses identified and agreed by the Board 7.5.1 The AB shall be entitled to levy an annual ‘management charge’ as set out in Schedule B. 7.5.2 The management charge for the first year shall be £50k. 7.5.3 The management charge will be reviewed annually having regard to the actual costs properly and reasonably incurred...
