Additional Licensee Obligations. Although both parties shall cooperate in the broadcast of emergency information over the Station, Licensee shall also retain the right to interrupt Programmer's programming in case of an emergency or for programming which, in the good faith judgment of Licensee, is of greater local or national public importance. Licensee shall also coordinate with Programmer the Station's hourly station identification and any other announcements required to be aired by FCC rules. Licensee shall continue to maintain a main studio, as that term is defined by the FCC, within the Station's principal community contour, shall maintain its local public inspection file in accordance with FCC rules, regulations and policies, and shall prepare and place in such inspection file or files in a timely manner all material required by Section 73.3526 of the FCC's Rules, including without limitation the Station's quarterly issues and program lists; information concerning the broadcast of children's educational and informational programming; and documentation of compliance with commercial limits applicable to certain children's television programming. Programmer shall, upon request by Licensee, provide Licensee with such information concerning Programmer's programs and advertising as is necessary to assist Licensee in the preparation of such information. Licensee shall also maintain the station logs, receive and respond to telephone inquiries, and control and oversee any remote control point which may be established for the Station.

Additional Licensee Obligations. Although both Licensee and Programmer shall cooperate in the broadcast of emergency information over the Station, Licensee shall retain the right, without any liability or obligation to Programmer, to interrupt Programmer’s programming in case of an emergency or for programming which, in the good faith judgment of Licensee, is of greater local or national public importance. In all such cases, Licensee shall use Licensee’s commercially reasonable efforts to provide Programmer prior written notice of Licensee’s intention to interrupt Programmer’s programming. Licensee shall coordinate with Programmer the Station’s hourly station identification and any other announcements required to be aired by FCC Requirements. Licensee shall (a) maintain the Station’s local public inspection file within the Station’s community of license or at the Station’s main studio, and (b) prepare and place in such inspection file in a timely manner all material required by Section 73.3526 of the FCC’s Requirements, including the Station’s quarterly issues and program lists. Programmer shall, upon request by Licensee, promptly provide Licensee with such information concerning Programmer’s programs and advertising as is necessary to assist Licensee in the preparation of such information or to enable Licensee to verify independently the Station’s compliance with any other laws, rules, regulations or policies applicable to the Station’s operation.

Licensee shall secure, at its own cost and expense, and maintain in full force and effect for the duration of the License Period the following insurance coverages, by such insurers as are licensed in the Commonwealth of Massachusetts and otherwise acceptable to MASS YOUTH: (a) Comprehensive General Liability Insurance for personal injury (including death) and property damage with a combined single limit of at least $5,000,000 per occurrence, including Contractual Liability Insurance covering all liability assumed by Licensee under the License Agreement and these Terms of Use; (b) Automobile Liability (covering owned, hired and non-owned vehicles for bodily injury and property damage), combined single limit (each accident) of at least $1,000,000; and (c) Workers’ Compensation in statutory limits as required by Massachusetts law or any other applicable law or laws for all of Licensee’s employees. Licensee hereby agrees that MASS YOUTH shall be named as an additional insured on Licensee’s insurance inclusive of the dates of the Tournament and the License Period, in such fashion as MASS YOUTH shall direct from time to time. Additional Licensee Obligations. The Licensee shall: ensure that the Mark is used for which it is intended; perform its obligations in connection with the use of the Mark with all due skill, care and diligence including good industry practice; only make use of the Mark for the purposes authorised in this agreement; comply with all regulations and practices in force or use in the Territory to safeguard the Licensor's rights in the Mark; and obtain any relevant (if any) government approval required for this agreement in the Territory, before the Commencement Date and shall provide the Licensor with a certified copy of such approval. The Licensee shall not, nor directly or indirectly assist any other person to: use the Mark except as permitted under this agreement; or do or omit to do anything to diminish the rights of the Licensor in the Mark or impair any registration of the Mark. The Licensee acknowledges and agrees that the exercise of the licence granted to the Licensee under this agreement is subject to all applicable laws, enactments, regulations and other similar instruments in the Territory, and the Licensee understands and agrees that it shall at all times be solely liable and responsible for such due observance and performance. The Licensee shall not grant sub-licences under this agreement. The Licensee shall not assign, transfer, mortgage, charge, subcontract, sub-license, declare a trust over, or deal in any other manner with any or all of its rights under this agreement. The Licensor may, after having given prior written notice to the Licensee, assign its rights under this agreement to any person to which it transfers its business OR that part of its business to which this agreement relates, provided that the assignee undertakes in writing to the Licensee to be bound by the Licensor's obligations under this agreement. The Licensor may subcontract or delegate in any manner any or all of its obligations under this agreement to any third party, provided that it gives prior written notice of such subcontract or delegation to the Licensee.

Additional Licensee Obligations. Licensee retains the right to cut into Programmer's programming in case of an emergency, although both parties shall cooperate in the broadcast of emergency information over the Stations. Licensee shall coordinate with Programmer the Stations' hourly station identification announcements so that such announcements are aired in accord with FCC rules. In addition, Licensee and Programmer shall coordinate the broadcast of such sponsorship identification announcements as are necessary and appropriate concerning the programming supplied by Programmer hereunder. Licensee shall maintain main studios within the principal community contours of the Stations and shall also maintain the Stations' local public files in their communities of license.

Licensee accepts the premises in its present condition subject to and including all defects, and Licensee will, without expense to Licensor, repair and maintain the site, Licensee’s installations thereon and remove, or cause to be moved, any debris, buildings or improvements to the extent required for Licensee’s use thereof. Licensor, at its sole discretion, reserves the right to further develop or improve the aircraft operating area of the Airport as it sees fit and to take action it considers necessary to protect the aerial approaches of the Airport against obstructions, together with the right to prevent Licensee from erecting or permitting to be erected, any building or other structure on the Airport which, in the opinion of Licensor, would limit the usefulness of the Airport or constitute a hazard to aircraft. In accordance with 14 CFR Part 77.9, if construction or alteration is proposed on the site, Licensee must file notice with the FAA at least 45 days prior to beginning construction. Licensor reserves the right to develop easements through the leased premises for access to the airfield area. C. No material improvement on the leased premises shall be made or installed by Licensee without the prior consent of the Airport Manager, which consent will not be arbitrarily withheld. Licensee agrees that prior to the installation or construction of any such building, fixture, structure, addition, or improvement, it shall submit the general plan, documentation of FAA airspace approval, location design, and character thereof to the Airport Manager for approval, and that all construction will be in conformity with such plans and

Programmer shall, upon request by Licensee, provide Licensee with information with respect to certain of Programmer's programs which may assist Licensee in the preparation of the quarterly issues and programs lists. Licensee shall also maintain the station logs, receive and respond to telephone inquiries, control and oversee any remote control point for the Station.
