Agreement and Scope. 2.1 These Terms and an accepted Order are the Agreement between You and Us. The Agreement governs Your access to and use of the Services specified in the applicable Order, which may include Cloud Service, Online Training Cloud, Support Services and/or Professional Services.
2.2 The additional terms set out in Annex B apply to Our provision of Professional Services.
2.3 By signing an Order offered by Us, which references these Terms or by indicating Your acceptance through an “I accept” button or similar electronic acceptance method, You accept the Order and agree to be bound by the Agreement.

2.2 The additional terms set out in Annex B apply to Our provision of Professional Services and Annex C is the Data Processing Agreement.
Agreement and Scope. This Rostrata Software and Service Agreement (this “Agreement”) is between Alocura Limited (“Alocura”) and the entity that has executed this Agreement (“You”). This Agreement sets forth the terms and conditions that govern orders placed by You for Services under this Agreement.
Agreement and Scope. 3.1 With effect from the Effective Date and until the natural expiry of the Policies or termination in accordance with this agreement PLAE agrees to cede and PLL agrees to accept all the Business Reinsured subject to the terms set out in this Agreement.
3.2 The Business Reinsured shall be reinsured on the basis specified in Schedule 1 and in accordance with the terms of this Agreement.
3.3 The Business Reinsured ceded under this Agreement will include all Business Reinsured that was in existence at the Effective Date (the "Existing Business") and:
3.3.1 any additional business arising on the Business Reinsured as a result of increments to the Existing Business or the exercise by policyholders of options under the Existing Business; and
3.3.2 an amount equal to any Deposit (as defined in the PLAE 2022 Scheme) received by the PLAE Non-Profit Fund and deemed to be invested in PLAE’s Linked Funds in accordance with paragraph 26 of the PLAE 2022 Scheme, but no new business that PLAE may issue on and from the Effective Date is ceded under this Agreement.
3.4 PLAE shall be entitled to reinsure (subject at all times to maintenance of confidentiality and compliance with Clause 31 (Data Protection)) any benefits under the Policies not forming part of the Business Reinsured under this Agreement without the consent of PLL, provided such reinsurance does not adversely affect PLL's rights or obligations under this Agreement and/or any other Transaction Document.
3.5 PLAE may reinsure benefits under the Policies:
3.5.1 forming part of the Business Reinsured under this Agreement; and/or
3.5.2 where there is doubt as to whether such reinsurance does not adversely affect PLL’s rights or obligations under this Agreement and/or any other Transaction Document,
3.6 PLAE's obligations to PLL under this Agreement and/or any other Transaction Document shall continue and shall not in any way be affected by such reinsurance.
Agreement and Scope. 2.1. This Agreement sets out the conditions upon which We will accept General Insurance Business from You. This Agreement will apply in its entirety whenever You submit an Application to Us. We may amend this Agreement at any time with 20 days’ notice and You agree You will be subject to the amended conditions.
2.2. This Agreement terminates and replaces in entirety any previous agreement that We had with You governing the General Insurance Business and Insurance Mediation Activity carried out by You in respect of the General Insurance Products shown in Schedule 1.
2.3. You are the agent of the client/applicant in relation to all aspects of the General Insurance Business.
2.4. We reserve the right, at Our sole discretion, not to accept an Application submitted by You, for any reason, and without giving any explanation.
2.5. Nothing in this Agreement shall be construed as creating any partnership between Us and You (or any of Your Personnel) nor the relationship of principal and agent or employer and employee.
2.6. You will not represent that You or any of Your Personnel are in partnership with Us or are Our agent or employee.
2.7. If you appoint an agent or appointed representative, We will not have any direct contractual relationship with them. You will ensure that Your contract with them includes an obligation on them to comply with these terms of business in relation to any business that they submit, directly or indirectly, to Us.

Agreement and Scope. Purpose of Agreement The purpose of this Agreement is to establish and maintain orderly collective bargaining procedures between the Employer and the Union. The parties to this Agreement share a desire to improve air quality. Accordingly, they are determined to establish, me framework provided by the law, an effective working relationship at all levels.
