Alt. A. Surveys. Administrative Agent shall have received A.L.T.A. surveys of the Sites (which surveys shall be reasonably current and in form and substance reasonably satisfactory to the Administrative Agent and the Title Insurer), certified to FEC or MEC, as applicable, Administrative Agent and the Title Insurer by a licensed Texas surveyor (in the case of the Freeport Project) or a licensed Minnesota surveyor (in the case of the Mankato Project) reasonably satisfactory to the Administrative Agent, showing, among other things, (a) as to the Sites, the location and dimensions thereof (including (i) the location of all means of access thereto and all easements or encumbrances relating thereto, and (ii) the perimeter within which all improvements are located), (b) the existing utility facilities servicing the Projects (including water, electricity, fuel, telephone, sanitary sewer and storm water distribution and detention facilities), (c) other than Permitted Liens, no existing or contemplated improvements encroach or interfere with adjacent property or existing easements or other rights (whether on, above or below ground), and that there are no gaps, gores, projections, protrusions or other survey defects, (d) whether the MEC Site or the FEC Site or any portion thereof is located in a special flood hazard zone, and (e) no other matters constituting a defect in title other than Title Exceptions; provided that the matters described in clauses (a)(ii) and (d) above may be shown by separate maps, surveys or other information reasonably satisfactory to the Administrative Agent, and the surveyor shall not be required to certify as to the location of any easements, improvements, encroachments utilities or other matters which do not exist as of the Restatement Date. For purposes of clarification, the Borrower shall not be required to provide an A.L.T.A. survey of the Access Easement Tract (as defined in the FEC Deed of Trust).
Alt. Requests the Adaptation Committee, in collaboration with the Least Developed Countries Expert Group, Consultative Group of Experts on National Communications from Parties not included in Annex I of the Convention, the Standing Committee on Finance, the Technology Executive Committee and the Nairobi Programme on impacts vulnerability and adaptation, to consider the process, modalities outputs and outcomes of the technical examination process and to, if appropriate, incorporate the lessons learned and good practices from the technical examination process into their workplans.

Alt. The role of the ALT is to provide leadership, governance and oversight. In this regard the function may be described as:
a) Be accountable to the project and project sponsor
b) Commit the resources of own organisation
c) Facilitate the development of an inspirational vision that is owned by all participants
d) Facilitate the development of a set of values that reflect the desired culture of the alliance, champion the values and in the absence of policy make decisions based on the values.
e) Set policy and provide strategic direction.
f) Set challenging goals that represent outstanding performance in each of the objectives of the project (KRA’s) and champion the objectives and goals.
g) Challenge the APM and AMT
h) Make timely decisions, informed by alliance values, commercial principals and characteristics.
i) Support, coach and mentor the AM and AMT
j) Provide high level support and stakeholder interface as requested by the AM
k) Appoint the AM and provide empowerment
l) Ratify the AM’s recommendation for AMT and organisation structure m) Set review and revise limits of delegation to APM

Alt. I – Prohibition on Assistance to Drug Traffickers (2019)
a. The recipient must make such reasonable efforts, as are necessary, to ensure that no funds or other support under the agreement are diverted in support of drug trafficking. Drug trafficking means “any activity undertaken illicitly to cultivate, produce, manufacture, distribute, sell, finance or transport, or to assist, abet, conspire, or collude with others in illicit activities, including money laundering, relating to narcotic or psychotropic drugs, precursor chemicals, or other controlled substances.”
b. For any loan over $1,000 made under the agreement by the recipient, the recipient must insert a clause in the loan agreement stating that the loan is subject to immediate cancellation, acceleration, recall, or refund to the recipient if the borrower or a key individual of a borrower is found to have been convicted of a narcotics offense or to have been engaged in drug trafficking.
c. Upon notice by USAID of a determination under section (b) and at USAID’s discretion, the recipient agrees to immediately cancel, accelerate, or recall the loan, including a full refund of the outstanding balance. USAID reserves the right to have the loan refund returned to USAID.
d. For any USAID-financed participants (including in-country) receiving a scholarship, fellowship, or other structured training of more than six hours who are specifically designated by USAID, USAID reserves the right to terminate assistance to, or take other appropriate measures with respect to, any participant specifically designated by USAID who is found to have been convicted of a narcotics offense or to have been engaged in drug trafficking.
