Customer Obligation. Customer will: (a) defend ServiceNow and ServiceNow Affiliates, and its and their officers, directors, and employees against any Claim to the extent alleging that Customer Data, Customer Technology, or a modification to any ServiceNow Core Technology made to Customer’s specifications or otherwise made by or on behalf of Customer by any person other than ServiceNow or a person acting at ServiceNow’s direction (but only if the Claim would have been avoided by use of the unmodified ServiceNow Core Technology), infringes any patent, copyright, or trademark, misappropriates any third-party trade secret, or violates any third- party privacy rights; and (b) pay any settlement amount or any court-ordered award of damages, under the foregoing subsection (a) to the extent arising from such Claim.
Customer Obligation i. The Customer shall deploy appropriately skilled and qualified personnel in the performance of its obligations under all SOWs, and shall provide information, decisions and approvals in a timely manner to facilitate the agreed delivery schedule.
ii. The Customer shall make available to Licensor access to all environments as required under a SOW, or as otherwise agreed between the parties.
iii. Licensor and the Customer will work together in good faith to mitigate any delay in completion or delivery or in the provision of the Professional Services resulting, in the reasonable opinion of Licensor, from Customers failure to perform its obligations as described in the applicable SOW.
Customer Obligation. 6.1 Customer shall pay the service fee before bringing the device into Nipa IDC and using the service. In the following month, Customer shall pay the service fee before the expired date of the service. For instance, Customer may pay the November service fee by October 31.
6.2 Customer shall strictly comply with Thailand Computer-related Crime B.E.2560, applicable laws and regulations, our policies, terms and conditions concerning the service used in the present and the future.
6.3 Customer shall not use the service for BitTorrent, Camfrog, and Proxy/VPN services.
6.4 Customer shall not do any things that would affects the computer and its resources, such as an excessive CPU usage, or any program using that affect the operation of the system and other actions that may cause negative effect. If Nipa detects such prohibit actions, Nipa will take an appropriate action and Customer will have no right to claim any damages from Nipa. Customer is still responsible for the service fees according to this Agreement.
6.5 Customer shall consent to the Management Application installation from Nipa to be able to manage and maintain Dedicated Server.
6.6 Customer shall maintain a privileged account such as root or administrator account. Customer shall manage and protect the data within the server, Nipa is not responsible for any problems happened with the data within the server.
6.7 Customer shall send a service request in written form to change or update personal information such as address, telephone number and e-mail address.
6.8 If customer requires a service cancellation, Customer will need to send a request to do so at least 1 month in advance before the service expired date. Customer must pay the rest of service fee to bring the server out and cancel other additional services.
6.9 For customer who requests a service cancellation or being suspended from Nipa, Customer is able to bring back the server from Nipa IDC at any time every day.
Customer Obligation. CUSTOMER shall not make any representations or warranties, express or implied, as to the performance of the Software, support or other services on behalf of XXXXXX or otherwise make commitments on behalf of XXXXXX that are inconsistent with the representations and warranties made by XXXXXX or that are not approved by XXXXXX and any such warranty or representation shall not be binding on XXXXXX.
Customer Obligation. It is your responsibility to maintain Internet connectivity from your devices to the Platform and to maintain your computing hardware and devices current and in good working order, in each case in accordance with applicable ClubDrive specifications.
Customer Obligation. 6.1 Customer must complete the required information on the registration page to create an account to use our service, and is responsible for the information provided to create the account and its password for your account security.
6.2 Customer is responsible for compliance with Thailand Computer-related Crime B.E.2560 and its amendment, applicable laws and regulations, our policies, standards, terms of service, and this agreement. You shall not act in any way that will bring harm or cause damages to us and the overall service. Nipa is not responsible for any liability arising from your failure to comply with this term.
6.3 Customer will promptly notify us of any irregularity with the service to prevent or mitigate damage that may occur to all customers and the company.
6.4 Customer data store in Xxxx.Xxxxx instance storage shall not be unlawful or against the laws or good morals of the public.
6.5 Customer shall have an amount of credit to keep the instance running. You shall top up the credit either by self-service or sales service when your account shows a low credit balance or no credit balance to continue using our service, otherwise, your instance will stop working.
Customer Obligation. 6.1 To use the Co-location room and enter the CAT Telecom building, Customer shall comply strictly with the building’s rules. Plus, to use the Co-location room and enter Nipa IDC, Customer shall fill in an application form provided by Nipa and bring an evidence such as your identification card, passport or driving license to Nipa to verify your identity.
6.2 To bring the device into or out of the Nipa IDC area, a Customer will need to fill a device-entering form provided by Nipa every time. Nipa reserves the right to prohibit Customer from bringing the out of Nipa IDC area, if Customer still has outstanding arrears with the company.
6.3 Customer shall pay the service fee before bringing the device into Nipa IDC and using the service. In the following month, Customer shall pay the service fee before the expired date of the service. For instance, Customer may pay the November service fee by October 31.
6.4 Customer shall bring a server with appropriate specifications as stated in the quotation and can operate and connect to a network in Nipa IDC.
6.5 Customer can access the service area of Nipa IDC not more than 10 people at a time, all Customers shall give their name, last name, and ID card number in written form at least 1 day in advance before entering the IDC room.

6.8 If Customer requires to change or cancel using an IP Address, Customer will need to send a service request to Nipa at least 1 day in advance for the company to examine the IP Address before returning from Customer. If Nipa detects that there’re any problems with the IP Address, Customer may need to fix it before changing or cancelling the IP Address. To change the IP Address, Customer may require to pay the processing fee according to the set price.
6.9 In case Nipa allows Customer to proceed as outlined in section 6.8, Customer may not be able to request another IP Address within 30 days.
6.10 Customer shall not install any equipment or device that may bring harm or cause damages to Nipa and the overall service. The equipment must be installed only in the area Nipa had provided for Customer. Customer will be liable to pay for the loss (if any) arising out of any damage caused by Customer.

Customer shall (i) defend ServiceNow, its officers, directors and employees against any third party Claim alleging that the Customer Data or Custom Application infringes any valid patent, copyright, or trademark of a third party that is issued or registered in the United States, Canada, Australia, the European Union or Switzerland, and (ii) pay any court-ordered award of damages or settlement amount, and reasonable attorney fees, to the extent caused by such Claim.
Customer Obligation. Upon request of the TSO member working on the Case, Customer shall permit TSO to access the Customer environment through a remote control software application and provide necessary network access for purposes of troubleshooting the Case; TSO member shall work with Customer’s change control process which is responsible for managing and monitoring any changes made to Customer’s systems.
