Energy Management Plan. (a) The Participant will prepare, or cause to be prepared, and file an Energy Management Plan with the LDC, in form and substance acceptable to the LDC acting reasonably, no later than the In-Service Date, failing which, the LDC will be entitled to withhold a portion of the Net Project Incentive in accordance with Section 7.1(c) or 7.2(c).
