Governing Structure. Subject to the terms of this Agreement, the governing board of OP will serve as the governing board of the School, will oversee management of the School, and has sole authority to hire and manage the School leader and to set the terms and conditions of the School leader’s employment.
Governing Structure. School Board and KWCS acknowledge that, as a charter school, the KWCS is a recognized public school under Florida Law and is a public school of the Monroe County School District; and, as such is subject to the oversight of the Department of Education, the Monroe County School Board, the Superintendent, and MCSD staff. 15.1 KWCS shareholders, Board of Directors, officers, and employees are listed in ATTACHMENT R. KWCS agrees to keep the School Board informed on a timely and regular basis of any additions or deletions of persons to this list. 15.2 KWCS agrees that it will generate and maintain its books, records, and documents in accordance with applicable provisions of Florida law, and that its operations will conform to the requirements specified in its articles of incorporation and duly adopted by-laws. 15.3 KWCS shall promptly submit to the School Board all governance documents of the KWCS as they are created or should be created by law, including but not limited to minutes of meetings, board resolutions, and consents to actions taken without a full board meeting. Governing board meetings of the KWCS shall be announced and posted and published in accordance with the provisions of Section 286.011, Florida Statutes, and Chapter 120, Florida Statutes. KWCS Charter Board members will be required to complete training under FL Statues 1002, Section 33 (9)(k)(4) which includes governance in accordance with Sunshine Laws, conflicts of interest, ethics, and financial responsibility. This training will include accurate financial planning and good business practices. The Charter School principal, as well as the bookkeeper, will be required to take this training. Sample by-laws are in ATTACHMENT S. 15.4 KWCS, under the name Key West Independent Education, Inc., has been granted a tax-exempt charitable organization status pursuant to the provision of Section 501 (C) (3) of the Internal Revenue Code. KWCS shall not permit its status under the Internal Revenue Code to lapse or be revoked, and KWCS shall at all times during the terms of this Charter remain a Florida not-for-profit organization in good standing. 15.5 To avoid any conflicts of interest and violations of the public officers and employees ethics laws, KWCS agrees that none of its shareholders, directors, officers, or employees will also be employed in any position by the School Board. The governing structure of the Regional Government shall be composed of representatives of the Crees and of residents of the Municipalities as well as, during the first five years of operation of the Regional Government, representation of Quebec central government. The Parties shall assess the representation of the Localities in the MBJ Territory on the governing structure of the Regional Government, upon recommendations of the sub-table to be established by the Parties in accordance with section 65, provided that any such representation shall be exercised (i) through the Municipalities or (ii) through consultations with the Localities on services and operations that directly affect them. The representation of Quebec central government shall be reassessed after the first five years of operation. 60. During the first ten years of operation of the Regional Government, and subsequently until the formula mentioned in section 61 comes into force with the agreement of the Crees and Québec, the Crees and the residents of the Municipalities shall have parity of votes on its governing structure. 61. After the period mentioned in section 60, representation and voting rights of the Crees and of the residents of the Municipalities on the governing structure of the Regional Government shall be based on resident population in accordance with a formula to be agreed by the Crees and Quebec based on democratic principles and demographic realities, to be further defined in the Final Agreement. 62. The Cree employees of Cree Entities (as defined in the Paix des braves), Cree patients and Cree students outside the Territory shall be deemed to form part of the resident population for the purposes of the formula mentioned in section 61. 63. The representation of the Crees and of the residents of the Municipalities on the governing structure shall be reassessed every ten (10) years after the coming into effect of the formula mentioned in section 61. 64. The rules of operation of the governing structure shall be defined in the Final Agreement. Governing Structure. Composition (1) representative from each of the participating Parties. Each representative shall be appointed by majority vote of each respective participating Party’s governing body. The Board will be composed of the following 9 members: 2 mayors from among the mayors of Providence, Millville, Xxxxxx, Xxxxx, and Paradise; 2 mayors from among the mayors of River Heights, North Xxxxx, Xxxx Park, and Amalga; 2 mayors from among the mayors of Wellsville, Mendon, Newton, Clarkston, Trenton, and Cornish (if Cornish joins this Interlocal Agreement); 2 members of the Cache County Council, with one such member being one who represents a district north of Logan City and one such member being one who represents a district south of Logan City; and the Cache County Executive. Board members who are mayors will be appointed by majority vote of the County Executive and all the mayors whose municipalities are Parties to this Interlocal Agreement. Board members who are members of the Cache County Council will be appointed by majority vote of the Cache County Council. No party will use the name or logo of the Snohomish County Rural Opioid Response Project in any advertisement, press release, or other publicity without written prior approval of Snohomish Health District.
