Limitations on Transactions. For security reasons, there are limits on the transactions you can make using your Card. You can use your Card for up to $500 in ATM Cash transactions each day and you may buy up to $2,500 worth of goods or services each day you use the Card. Any load, transaction or deposit made on a non-business day is considered made on the next business day.
Limitations on Transactions. (a) So long as any Trust PIERS remain outstanding, if (i) there shall have occurred any Event of Default under the Indenture or any event of which the Guarantor has actual knowledge that with the giving of notice or the lapse of time or both, would constitute an Event of Default under the Indenture and in respect of which the Guarantor shall not have taken reasonable steps to cure, (ii) there shall be a Guarantee Event of Default or (iii) the Guarantor shall have given notice of its election of an Extension Period as provided in the Indenture and the certificate evidencing the Convertible Debentures and shall not have rescinded such notice, or such Extension Period or any extension thereof shall be continuing, then the Guarantor shall not:
(i) declare or pay any dividends or distributions on, or redeem, purchase, acquire or make a liquidation payment with respect to, any of the Guarantor’s capital stock (other than (a) purchases of the Guarantor’s capital stock in connection with employee, director or agent benefit plans and under any dividend reinvestment or stock purchase plan, (b) in connection with the reclassification of any class or series of the Guarantor’s capital stock or the exchange or conversion of one class or series of the Guarantor’s capital stock for or into another class or series of the Guarantor’s capital stock, (c) the payment of any dividend within 60 days after the date of the declaration of a dividend if, at the date of declaration, (x) if paid on that date, the payment of such dividend would not have been prohibited by an election to defer interest payments pursuant to the Indenture and (y) the declaration of such dividend is in accordance with the Guarantor’s dividend policy in effect immediately prior to its declaration of such dividend, (d) the purchase of fractional interests in shares of the Guarantor’s capital stock in connection with the conversion or exchange provisions of such capital stock or the security being converted or exchanged, (e) dividends or distributions payable in the Guarantor’s capital stock, or options, warrants or rights to acquire capital stock, or repurchases or redemptions of capital stock solely from the issuance or exchange of capital stock, (f) any declaration of a dividend in connection with the implementation of a shareholders’ rights plan, or issuances of stock under any such plan in the future, or redemptions or repurchases of any such rights pursuant thereto, (g) the purchase of the Guarantor’s c...
Limitations on Transactions. How an EFT May Affect Your Account Balance We may charge or restrict your Designated Account for a debit EFT at the time you authorize the transaction, at the time we receive notice of the transaction or on the day the transaction is presented to us for payment, whichever is earlier. We count a transaction as having occurred when it is received by us in the Pacific time zone at local time. We may place a hold on your account for the amount of the transaction, which will reduce the available balance in the account. This hold may differ from the amount of the transaction that is charged to your account. If we place a hold on your account and the transaction is charged to your account before the hold expires, the available balance in the account may be reduced by the amount of the transaction as well as the amount of the hold. We are not responsible or liable to you if a transaction is rejected, declined or otherwise not processed to your account because a hold placed on a prior transaction has not expired, or if the amount of the hold placed for a reported transaction exceeds the amount of the actual transaction charged to your account. Limitations on Dollar Amounts of Transfers We may establish daily or other limits on the number and dollar amount of transactions that you may originate by use of your Check Card, ATM Card, or our City National Online or Mobile Banking services. Your CNB Check Card and ATM Card limits will be disclosed to you separately. We may change these limits from time to time. Transaction amounts conducted using your Check Card or your ATM Card are limited to the available balance in your Designated Account plus your available overdraft protection, if any, and are subject to further limitations as stated below. We reserve the right to limit the dollar amount of City National Online and Mobile Banking EFTs, including bill payments. See the City National Online® Access Agreement & Disclosure and Mobile Banking Services End User Agreement. Limitations on Types and Frequency of Transfers You shall not use our EFT services for any illegal transaction, including, but not limited to, illegal Internet gambling. You may not use our EFT services to initiate transactions to or in certain countries where, by reason of federal law or regulation, restrictions apply to monetary transactions conducted in or through the country. Limitations on Transactions. Withdrawals are subject to the following limitations:
a) You may withdraw the maximum cash withdrawal amount (as referenced below) or Your Account balance (whichever is less) from an electronic terminal, such as an ATM, per day, per ATM card or debit card. You may use Your ATM card or debit card to purchase goods and services each day (“Point of Sale") subject to the limits set forth in below, as long as the Available Balance of Your Account is sufficient to cover the aggregate of all purchases. The cash withdrawal (ATM) and cash advance daily limit, including any ATM fees, is $520.00*for most consumer customers and $1,020.00 for Private Bank consumer customers. The Point- of-Sale daily limit is $2,500.00* for most consumer customers. The cash withdrawal (ATM) and cash advance daily limits, including any ATM fees, for consumer customers with Solution Checking products is $270.00 including any ATM fees . The point-of-sale daily limit for consumer customers with Solution Checking products is $750.00.
b) Also, note that at certain times mechanical malfunctions of the system may cause withdrawals to be limited to $100.00 cash withdrawal, including ATM fees, and $500.00 at the Point of Sale until the malfunction can be corrected.
c) Funds deposited will be made available to You under the terms described in the Funds Availability section elsewhere in this Agreement. *These are the standard limits for most consumer Accounts. Depending on Your Account type, You may qualify for larger or smaller limits.
Limitations on Transactions. During any calendar month, you may not make more than six (6) withdrawals or transfers to another credit union account of yours or to a third party by means of a pre-authorized or automatic transfer, telephonic or computerized order or instruction, or by check, draft, debit card (if applicable) or similar order to a third party.
Limitations on Transactions. For savings and money market Accounts, applicable federal regulations impose certain limits to pre-authorized, automatic, and telephone transfers (including online transfers) to six per statement cycle. Loan payments to us are not included in these limits. For security reasons, we may impose additional limits on the frequency, number, and dollar amounts of transactions you can perform using Alliance eBanking. In addition, we reserve the right to refuse to pay any person or entity to which you may direct a payment through Alliance eBanking. We will notify you promptly if we decide to refuse to pay a person or entity designated by you; however, this notification is not required if you direct us to make any payment which is otherwise prohibited under your agreements with us.
Limitations on Transactions. So long as any Notes remain outstanding, the Guarantor shall not directly or indirectly, create, incur, assume or permit or suffer to exist any lien, mortgage, security interest or encumbrance (other than statutory liens imposed by law incurred in the ordinary course of business for sums not yet delinquent or being contested in good faith, if such reserve or other appropriate provision, if any, as shall be required by GAAP shall have been made in respect thereof) upon any of the Mortgaged Property (as defined in the Mortgage) except for those created by the Mortgage (as modified by the Mortgage Modification) and shall not directly or indirectly sell, transfer or lease any of the Mortgaged Property.
Limitations on Transactions. At Terminals, where permitted, you may use your Card to withdraw funds on any one Business Day up to a specified amount that will be established by the Credit Union (your ‘Parameter Amount’). You may purchase, using your debit Card, up to a specified amount that will be established by the Credit Union (your Parameter Amount), of goods and/or services each business day from places that accept the Card. Our Business Days are Monday through Friday except Holidays. On days which are not Business Days (such as weekends or Holidays) your Parameter Amount may be withdrawn during the period beginning at 2:00 p.m. on the day before the weekend or Holiday begins and extending until 2:00 p.m. on the day after the weekend or Holiday ends. There may be a delay in the posting of deposits or payments made at Terminals. Any items deposited (when available and where allowed under applicable banking regulations) may not be available for immediate withdrawal. Deposits will be processed using the normal check collection and processing procedures. You may not use your Card for a transaction that would cause the outstanding balance of either of your designated accounts to be less than zero or for obtaining any amounts in excess of your Parameter Amount. Nor may the Card be used to transfer money to or from accounts which you do not have or which are not ‘designated accounts’. We shall not be required to complete any such transactions, but if we do, you agree to pay us any excess amount or any improperly withdrawn or transferred amount immediately upon request from us. We may impose additional restrictions or limitations on the use of your Card when we believe they are necessary to safeguard the Card against misuse. Use of your Card for fraudulent or illegal trans- actions, and or solicitations via the internet, direct mail, or any other recognized form of commerce, is against the law. Offenders will be prosecuted.
Limitations on Transactions. General limits. Limitations on your use of the Account are based on your sponsor’s program with us and the type of Account you have with us. We may issue authorizations, and permit purchases, in excess of your daily limit. We may decline any transaction if you do not have enough available funds in your Account to cover the transaction. We may decline any transaction if it appears to us to be suspicious or high risk. Sponsor imposed limits. Your sponsor may impose daily limits on transactions. Any daily limits and transaction or usage restrictions imposed by your sponsor will be set forth in the information provided with your Account.
