Operating Guidelines. 9.1 Any new action item, design change, MSA Specification, membership action, decision on public information disclosure, or other activity related to this Agreement or the MSA Agreement will require the approval of a minimum of 75% of the Promoters. Promoters abstaining from voting are not to be considered in this percentage. No response will be interpreted as an abstention. Each Promoter will have one vote.
9.2 Each Promoter must identify the person(s) in their organization that has the authority and responsibility to sign the MSA Agreement. At least one such person, or a delegate with full authority to represent a Promoter, must participate in each meeting regarding the terms of the MSA Agreement and will have the single vote for such Promoter. If a Promoter fails to attend an official meeting regarding the terms of the MSA Agreement twice in succession, such Promoter will be subject to a vote of removal from this Agreement.
9.3 If a non-represented optical transceiver company asks to join the MSA Agreement as a Promoter, they may do so if they are willing to agree to become a Party to this Agreement as a Promoter and to accept the then-current MSA Agreement in its entirety. New Promoters will not be allowed to revisit work already established, or to make motions or vote to change existing designs, parameters, or characteristics. Additionally, approval of at least 75% of the then-current Promoters will be required to admit new Promoters.
9.4 There will be no permanent chairperson for the Promoters unless such position is created upon approval of at least 75% of the then-current Promoters.
9.5 Each Promoter’s representatives will treat the substance of the MSA Agreement discussions as confidential until such time as it is agreed by the Promoters to make a simultaneous public disclosure. Before making any public disclosure regarding specific MSA Agreement details, a Promoter must first obtain the approval with respect to such specific public disclosure of at least 75% of the then-current Promoters. It is acceptable without such Promoter approval to disclose to the public that discussions to achieve an MSA Agreement are underway without mentioning specific information related to such MSA Agreement, including without limitation, timing, content, number or names of participants, or possible outcomes of the discussions.

Operating Guidelines. Licensee shall perform all of the obligations listed herein. In the event of a conflict between these guidelines and any existing or new Standards and Agreements, the latter shall control.
Operating Guidelines. As soon as practicable after the date of this agreement, CORD and Cumberland shall develop operating guidelines relating to the Products and the Services, which guidelines (the “Operating Guidelines”) will be in writing, in a form satisfactory to CORD and Cumberland, and will define and document the responsibilities of CORD and Cumberland in support of the relationship described in this agreement. All Operating Guidelines shall be developed and implemented in good faith and in a commercially reasonable manner, subject to the qualifications set forth therein; provided that in the event of any inconsistency between the Operating Guidelines and the other provisions of this agreement (including each Product-specific exhibit to this agreement), the other provisions of this agreement shall control. The Operating Guidelines may be amended from time to time upon the mutual agreement of CORD and Cumberland.
Operating Guidelines. The Operating Guidelines may be amended from time to time upon the mutual written agreement of both Parties; provided, however, that any change, modification or amendment to the Operating Guidelines may result in a mutually acceptable adjustment in the Fees (as defined in Article 5). In the event of a conflict between the provisions contained in this Agreement and the Operating Guidelines, the terms of this Agreement shall prevail.
Operating Guidelines. The Policy Committee will establish operating guidelines to describe the functions and operations of the committees. Once established, the committees will follow the adopted operating guidelines. The Policy Committee may amend the operating guidelines as desired.
Operating Guidelines. A. Individually, each Participating Jurisdiction agrees to:
1. Adopt and implement the National Incident Management System (NIMS) and Incident Command System (ICS) in a manner consistent with the jurisdiction’s size and functional responsibilities.
2. Pursue development and maintenance of an effective disaster preparedness program, which includes the following elements as applicable to the jurisdiction’s functional responsibilities:
a. A functional Emergency Operations Center (EOC), Emergency Coordination Center (ECC), or Department Operations Center (DOC);
b. A multi-hazard Emergency Operations Plan (EOP);
c. A Continuity of Operations (COOP) Plan;
d. Mutual aid agreements;
e. Interoperable and redundant communication systems;
f. Trained staff and exercised plans, equipment, facilities, and staff; and
g. Community disaster preparedness education activities.
B. Collectively, the Participating Jurisdictions agree to:
1. Develop and pursue implementation of a regional disaster preparedness strategy that outlines the RDPO’s long-term vision and direction for increasing and maintaining regional preparedness capabilities and mitigating risk.
2. Develop, adopt, and implement a biennial work plan and budget detailing the purposeful actions to operationalize the regional strategy.
Operating Guidelines. Manager, Lender and Custodian shall operate in accordance with the Operating Guidelines, as agreed.
Operating Guidelines. 4.1 The Committee will develop guidelines in relation to meeting frequency, agendas, and minutes and meeting protocol.
4.2 Committee members would be expected to consult using their own protocol with their constituencies throughout the process prior to decision-making.
4.3 Committee members shall genuinely seek to reach a consensus on all matters that come before the committee and to demonstrate good faith in discharging their responsibilities under the provisions of this schedule:
(a) For matters which pertain to the Agreement, where Agreement consensus cannot be reached, the status quo of the Agreement prevails.
(b) For matters where no status quo applies and agreement cannot be reached, but when an agreement within the terms of the Agreement is necessary for the proper functioning of the institution, normal prerogative prevails through matters being referred to the Vice Chancellor until such time as the committee reaches agreement.
4.4 Agendas and minutes of meetings will be available for interested outside parties such as the National Secretary of TEU.
4.5 Advisers may be invited to attend subject to committee agreement.
4.6 Local policy agreed by the committee will be promulgated through standard local procedure and subject to periodic review/amendment by the committee.
Operating Guidelines. The Parties acknowledge that an operating guide will be developed and approved by the Parties to reflect the operating limitations on the MHVDC Transmission Line as detailed in the results of the reliability studies performed on behalf of Transmission Provider pursuant to the connection request by the MHVDC Connection Customer. MHVDC Connection Customer and Transmission Owner shall operate their respective facilities in accordance with the operating guidelines identified in Appendix E.
Operating Guidelines. In reviewing a request for flextime, supervisors should consider 1) the minimum staffing required to ensure that normal services and functions of a work unit will be available during the standard workday, and
