Partnership Pledge. As a WaterSense program partner, (name of organization) shares EPA’s goals as outlined above and is proud to commit to the following activities to further these goals: 1. Maintain at least one WaterSense labeled professional certification program in the United States. 2. Promote the value of water efficiency and WaterSense. Inform certification candidates about WaterSense as an easy and desirable option for customers to reduce water use and save money. 3. Make WaterSense materials available to those professionals who earn a certification through a WaterSense labeled program. 4. Maintain a publicly accessible online listing of basic contact and business information for individuals who have earned the organization’s WaterSense labeled professional certification(s). 5. Report to EPA on a quarterly basis a comprehensive list of all currently certified professionals using a standardized form to be provided by WaterSense. 6. Report to EPA on an annual basis summary results and statistics about the organization’s WaterSense labeled pro- fessional program(s). 7. Adhere to all policies and procedures contained in the WaterSense Program Guidelines. 8. Adhere to the WaterSense Program Mark Guidelines and ensure that authorized representatives, such as advertis- ing agencies, and subcontractors, also comply. Help EPA maintain program integrity by alerting EPA to possible misuse(s) of the WaterSense program marks. 9. Xxxxx EPA’s WaterSense program permission to include the partner organization’s name on a list of participating partners on the WaterSense website, program materials, and announcements. The partner organization under- stands that from time to time, EPA will be interested in profiling partner accomplishments in case studies and arti- cles. If selected for such promotion, the partner organization will have the opportunity to provide input and review the final print or Web document before EPA releases it to the public. Further, the partner organization understands that EPA might refer media contacts interested in publicizing water efficiency to the partner organization for infor- mation about certification programs and accomplishments.
Partnership Pledge. As an EPA WaterSense program partner, (name of manufacturer) shares EPA’s goals as outlined above and is proud to commit to the following activities to further these goals: 1. Have at least one product certified to conform to a WaterSense specification within 12 months of execution of this part­ nership agreement. Notes: A draft or final specification for a product the partner manufactures must be available before signing this agreement. Please consult the specification for the timeline of partnership eligibility. Product must be sold or planned to be sold in the United States or Canada within one year of signing this agreement. 2. Have products certified to conform to the relevant WaterSense specification and receive permission to use the WaterSense label by a licensed certifying body accredited in accordance with the WaterSense product certification sys­ tem. Inform the licensed certifying body of the brand names, model names, and model numbers for any products that are private labeled by another company. 3. Notify EPA when new products, including those products that are private labeled by another company, are certified to WaterSense specifications by providing the brand name, model name, model number(s), and name of the licensed certi­ fying body and associated file number. 4. Educate consumers on the value of water efficiency, the importance of saving water, and the meaning of the WaterSense label. Where feasible, undertake activities and events to achieve mutual WaterSense goals. 5. Make available to EPA annual data on WaterSense labeled products in categories where the EPA WaterSense program has established specifications, including unit shipment data, total unit shipments for each model in the product line, and total unit shipments that are WaterSense labeled. This data may be provided directly to EPA or to a third-party organiza­ tion with the understanding that neither EPA nor this organization will release individual manufacturer data, but rather aggregate industry-wide data on the relative market share of labeled vs. non-labeled products. 6. Update EPA annually on the availability of labeled products and inform EPA in a timely manner if labeled products are discontinued and/or no longer meet applicable criteria, so EPA can maintain an up-to-date list of labeled products on the program website and in other materials. 7. Meet the responsibilities outlined in the WaterSense new home certification system, including, but not limited to, certification of new homes and oversight of water efficiency home inspectors in the United States. 2. Adhere to all policies and procedures contained in the WaterSense Program Guidelines. 3. Sign and issue the WaterSense label certificate sticker to builders of certified new homes and supply the builder partner with guidance on proper use of the label and advertisement of WaterSense labeled new homes. 4. Notify EPA quarterly of any new homes that have been certified and labeled using a form provided by WaterSense. 5. Help EPA maintain program integrity by alerting EPA of possible misrepresentation(s) of the certification or pro- gram marks. Adhere to WaterSense Program Mark Guidelines and ensure that authorized representatives, such as advertising agencies or subcontractors, also comply. 6. Grant WaterSense permission to include partner’s name, including contact information, on a list of participating partners on the WaterSense website, program materials, and announcements. Partners understand that from time to time, EPA will be interested in profiling partner accomplishments in case studies and articles. If selected for such promotion, partners will have the opportunity to provide input and review the final print or Web document before EPA releases it to the public. Further, the partner understands that EPA might refer media contacts interested in publicizing WaterSense to partners for information about certified new homes and accomplishments.

Partnership Pledge. In the event that after July 31,1997 any Controlled Subsidiary of a Borrower acquires Real Estate which would otherwise qualify as a Borrowing Base Asset and such Borrower desires for its interest in the same to become a Borrowing Base Asset, then such property may become a Borrowing Base Asset subject to the terms of Section 5.2 but only in the event that such asset satisfies all of the terms of this Agreement and such Borrower shall execute and deliver to the Agent on behalf of the Banks a collateral assignment of all of such Borrower's right, title and interest in such Controlled Subsidiary, such assignment to be substantially in the form of the Assignment of Interests, with such other changes thereto as may be reasonably required by the Agent.
Partnership Pledge. The term "Partnership Pledge" shall mean that certain Assignment and Security Agreement dated the date hereof given by Borrower to Lender with respect to Borrower's Partnership Interests in HCP.
