Pilot Operation. The Pilot Operation starts after Installation of the first EUW according to EUW Installation Schedule, unless otherwise agreed by the Parties and ends fourteen (14) Days after Installation of the last EUW according to EUW Installation Schedule. In case the Customer fails to appear on the date specified for performance of the Pilot Operation, and does not appear even in the additionally provided time period of three (3) Business Days from after the Supplier's repeated request, the Pilot Operation will be considered finished without Defects. The Parties will sign a record of the completed Pilot Operation. The number of Defects to the end of the Pilot Operation shall not exceed the following values: Category A Defects………………….. 0 Category B Defects………………….. 0 Category C Defects………………….. 5 If the record of the completed Pilot Operation implies that the Work does not meet the criteria stated in art. 4.11.4 hereof, the Supplier will remove the detected Defects and, after they are removed, the Supplier will call the Customer to start the Pilot Operation with the art. 4.11 hereof being applied as appropriate. The procedure of testing and subsequent defect removal will repeat until the Supplier meets the acceptance criteria stated in art. 4.11.4 hereof, however, no more than twice (2x) and no later than by date set in the Time Schedule. After the Pilot Operation is successfully completed and the acceptance criteria are met pursuant to article 4.11.4 hereof, the Customer will check and confirm the completeness of the Documentation and the Parties will sign the Handover Protocol. The Handover Protocol will contain a list of the remaining Defects and security issues detected during the Penetration Test and/or Pilot Operation with the time period set for removal thereof; in the absence of such time period for Defect removal, the time period is assumed to be twenty (20) Business Days from the day of signing of the Handover Protocol. HARDWARE The Supplier undertakes to deliver to the Customer Hardware in specifications and numbers specified in Annex No. 2 hereto and to enable the Customer to use such Hardware for the entire term of the Agreement. Any upgrades required to the Hardware triggered by the Customer’s request for change or new functionality should be at Customer’s expense. Pilot Operation. After the Ordered Work is completed, the Contractor will call the Customer in writing to start the Pilot Operation, which call will include a draft testing scenario. The time period for starting the Pilot Operation is 5 (five) Business Days after the testing scenario is approved by the Customer, unless otherwise agreed by the Parties. If the Ordered Work includes the Installation and/or the Implementation and/or the Integration, the Contractor will complete it on or before the day preceding the start of the Pilot Operation. In case the Customer fails to appear on the date specified for performance of the Pilot Operation, and does not appear even in the additionally provided time period of 3 (three) Business Days from after the Contractor's repeated request, the Pilot Operation will be considered finished without Defects. Pilot Operation. Unless otherwise set forth in the applicable Specifications, upon Preliminary Acceptance of the Developed Software, Customer shall utilize the System in a production environment for an initial thirty (30) day period (or such other timeframe as may be set forth in the Specifications) (the “Pilot Operation”). The Pilot Operation shall be successfully completed if, for a period of thirty (30) consecutive days (or such other timeframe as may be set forth in the Specifications), (i) the System performs, in all material respects, in accordance with the Specifications, and (ii) all reliability and performance standards have been met or exceeded (the “Final Acceptance”). If the System fails to so pass the Pilot Operation, Customer shall so notify Supplier in writing specifying the nature of such failure(s) in all reasonable detail and Supplier shall promptly correct the specified failure(s) (the “Pilot Operation Cure Period”), after which Customer shall commence a second thirty (30) day Pilot Operation (or such other timeframe as may be set forth in the Specifications). For the avoidance of doubt, Customer shall not be liable for costs incurred by Supplier during the Pilot Operation Cure Period or for any Development Fees in MIVA/ PSC CONFIDENTIAL connection with Supplier efforts to cure the System failures during the Pilot Operation Cure Period (to the extent such Development Fees are charged by Supplier on a time and materials basis as set forth in the agreed upon Specifications). If the System fails to pass this second Pilot Operation, Supplier acknowledges that Customer may, upon written notice to Supplier, either (i) extend Supplier’s right to continue attempting to cure the System failure(s) for a specified period of time, at Supplier’s sole cost and expense, or (ii) terminate the Development Project in connection with such System upon one (1) Business Day’s notice to Supplier.
