Provision of Cloud Services. 3.1 Forcepoint will use reasonable efforts to provide Cloud Services for the Subscription Term. The then-current Cloud Services service levels are incorporated by reference into this Agreement and may be found at: Cloud Services Service Level Agreement. Forcepoint makes no service level commitments for the Cloud Services’ functionality to the extent it is used to monitor access to third-party services where the continued availability of the functionality is adversely impacted by the third- party’s access policies. 3.2 If Forcepoint determines that the Products are being used to distribute Spam or Malware, or that the security or proper function of Cloud Services would be compromised due to, hacking, denial of service attacks or other activities originating from or directed at Licensee’s network, then Forcepoint may immediately suspend Cloud Services until the problem is resolved. Forcepoint will promptly notify and work with Licensee to resolve the issues. 3.3 If Cloud Services are suspended or terminated, Forcepoint will reverse all configuration changes made during Cloud Services enrollment. It is Licensee’s responsibility to make the server configuration changes necessary to reroute traffic flowing through the Cloud Services. 3.4 Forcepoint may modify, enhance, replace, or make additions to the Products. Forcepoint may use Malware, and other information passing through the Products for the purposes of developing, analyzing, maintaining, reporting on, and enhancing the Products and services. 3.5 If in any one calendar month the total bandwidth used in the performance of Cloud Services for the security access policy enforcement solution divided by the number of Devices or Users is greater than 0.02Mbps, then Forcepoint may terminate the applicable Cloud Services Subscription upon 30 days’ written notice unless Licensee purchases Subscriptions to increase the Permitted Capacity. 3.6 If in any one calendar month the total throughput including data sent and received through Cloud Services for the internet and intranet application access policy enforcement solution divided by the number of Users is greater than 10 Gigabytes per User, then Forcepoint may terminate the applicable Cloud Services Subscription upon 30 days’ written notice unless Licensee purchases additional Permitted Capacity. 3.7 Licensee’s use of the Cloud Services is subject to the processing capacity of the Hardware as defined in the Forcepoint datasheet for the unit purchased, and the number...
Provision of Cloud Services. Subject to the terms and conditions of this Agreement and payment by Customer of all fees due for the Cloud Services, LogRhythm grants to Customer a non-exclusive, non- transferable (except as set forth in the Agreement) right to access and use the Cloud Services for internal business purposes in accordance with the Documentation and any limitations set forth in the Agreement or the Order. LogRhythm will make the Cloud Services available to Customer pursuant to this Addendum and any applicable Orders and provide Support Services for the Cloud Service to Customer during the Cloud Service Subscription term at no additional charge.
Provision of Cloud Services. 2.1 Supplier shall supply to UBS the Cloud Services (including any Updates and Upgrades) and a complete set of relevant Documentation in accordance with the terms of the Agreement. 2.2 In providing the Cloud Services, Supplier shall act on all Defects immediately upon the earlier of notification or otherwise becoming aware and shall remedy them promptly, and in any case within any timelines specified in the relevant Supply Order. 2.3 Before implementing any Updates or Upgrades that may impact UBS’s use of the Cloud Services (other than security patches and fixes), Supplier shall provide UBS with reasonable notice, as well as any assistance and Documentation reasonably necessary to facilitate UBS’s continued use of the Cloud Services without disruption. The Supply Order may set out further requirements in relation to Updates or Upgrades.

Forcepoint will promptly notify and work with Subscriber to resolve the issues. 3.3 If Cloud Services are suspended or terminated, Forcepoint may reverse all configuration changes made during Cloud Services enrollment. It is Subscriber’s responsibility to make the server configuration changes necessary to reroute traffic flowing through the Cloud Services. 3.4 Forcepoint may use information passing through or relating to usage of the Products for the purposes of developing, analyzing, maintaining, reporting on, and enhancing the Products and services. 3.5 The number of requests sent through the Cloud Services for the content disarm reconstruction service may not exceed 20 requests per-second. 3.6 If in any one calendar month the total Throughput including data sent and received through Cloud Services for the content disarm reconstruction service exceeds the Permitted Capacity purchased, then Forcepoint may terminate the applicable Cloud Services Subscription upon 30 days prior written notice unless Subscriber purchases additional Permitted Capacity.
Provision of Cloud ServicesSubject to (i) Intel’s acceptance of a valid purchase order, (ii) timely payment by You of any fees applicable to the Cloud Services, and (iii) Your compliance with the terms and conditions of this Agreement, Intel will use commercially reasonable efforts to provide You with the enablement of certain functionality of the Software through the use of Cloud Services. Intel hereby grants to You the right to access and use the Cloud Services via the Hosted Environment. Your use of the Cloud Services will comply with Intel’s Acceptable Use Policy attached hereto as Exhibit A, and as may be modified and updated from time to time. Your use of the Cloud Services will comply with (i) this Agreement, (ii) Intel’s Acceptable Use Policy, as may be modified and updated from time to time, that is attached hereto as Exhibit A. (“AUP”), and (iii) Intel’s Privacy Notice that is located at . Intel retains the right to reject any request for Cloud Services by any individual or entity in its sole discretion. 3.
Provision of Cloud Services. The Cloud Services will be solely provided by the Cloud Services Delivery Entity referred to in the Cloud Services Attachment and the Customer acknowledges and agrees to the appointment by the Supplier of such Cloud Services Delivery Entity for such purposes under this Agreement. The Cloud Services Delivery Entity will be the only entity of Supplier accessing Customer Data, if applicable, as further defined below.

Customer will not receive a copy of any programs listed in the Order Form other than for temporary download of plug-ins or fat clients (which will be deemed part of the Cloud Services) as described in the applicable Order Form. “Users” of the Cloud Services mean employees or contractors of Customer who are authorized by Customer in accordance with the Agreement to access the Cloud Services using Customer’s account credentials (“Credentials”). Customer is solely responsible for all User use and access to the Cloud Services and the security of any Credentials and will immediately report to Supplier any suspected unauthorized use of the Cloud Services or Credentials.

Except as otherwise expressly provided for in any Software Supplement, Ellucian will provide the Cloud Software consistent with Ellucian’s then-current Cloud Software Service Level Agreement provided to the Partner from time to time. As part of the annual subscription fees set out in the Order Form, Ellucian will provide Software Support Services for the Cloud Software in accordance with Ellucian’s then-current Cloud Software Maintenance Standards as provided to the Partner from time to time. The application of Software Support Services by Ellucian may result in changes in the form, timing or other features of the Cloud Software. Ellucian will apply the Software Support Services to the Cloud Software to include Maintenance and New Releases.
