Provision of Consultancy Services. 3.1 The consultant is appointed to undertake the consultancy services specified above. This contract shall not prevent the consultant from undertaking other consultancy or project management services, provided that the undertaking of such services does not cause a breach of contract. 3.2 The consultant shall promptly and efficiently perform the services as and when required, with all due care and skill as may be expected of a person or an organisation with the experience of the consultant, and in accordance with this contract. 3.3 The consultant shall keep detailed and accurate records of all activities undertaken in relation to the provision of the services, and shall provide XXXXXXXXXXXXXX, with reports at such intervals.
Provision of Consultancy Services. (a) Supplier will provide those Consultancy Services, and deliverables (if any), specified in an agreed Statement of Work. (b) Subject to paragraph (e), Consultancy Services and required deliverables (if any) will be provided in accordance with the timetable in each applicable agreed Statement of Work. (c) Unless otherwise agreed by the parties, Consultancy Services provided under an agreed Statement of Work will be provided: (i) at the location(s) specified; and (ii) subject to paragraph (d), by the personnel listed, in that Statement of Work. (d) Customer acknowledges that the personnel listed in an agreed Statement of Work are not employed or engaged exclusively for the purposes of that Statement of Work, and may become unavailable, or be redeployed from time to time. Where any such personnel become unavailable or must be redeployed, Supplier will employ or engage alternative personnel, who are suitably qualified and experienced to provide the Consultancy Services, as replacements for the individuals listed in that Statement of Work. (e) Where an agreed Statement of Work specifies that Customer will: (i) provide inputs (whether in the form of information and material, or access to premises, facilities or Personnel of the Customer), or assistance, to Supplier for the purposes of Supplier providing Consultancy Services by a particular date or when reasonably required by Supplier; or (ii) make decisions regarding deliverables, issues or matters within a prescribed time, then Supplier will not be liable to Customer for any failure to provide the relevant Consultancy Services or deliverables on or before a specified date, to the extent that Supplier delayed due to Customer's failure or refusal to provide such inputs or assistance, or to make such decisions, within the time agreed, and will be entitled to a reasonable extension of time that corresponds to the period by which Supplier is delayed.
Provision of Consultancy Services. 2.1 Reckon shall provide the Consultancy Services as specified in the Quotation 2.2 Where a request for Consultancy Services by the Customer is in the sole opinion of Reckon not covered by the Quotation but is a request for additional work then clause 4.1 of the General Conditions shall apply

This Contract shall not prevent the Consultant from undertaking other consultancy or project management services provided that the undertaking of such services does not cause a breach of any provision of this Contract. 3.2 The Consultant shall promptly and efficiently perform the Consultancy Services as and when required with all due care and skill as may be expected of a person or an organisation with the experience of the Consultant and in accordance with this Contract and in particular to the provisions set out in Terms of Reference. 3.3 The Consultant shall undertake tasks and duties as set out in the Terms of Reference. 3.4 The Consultant shall comply with the accounting and information provisions of the Terms of Reference. 3.5 The Consultant shall keep detailed and accurate records of all activities undertaken in relation to the provision of the Consultancy Services and shall provide the Client with reports at such intervals and in such form as the Contract Manager may from time to time require. 3.6 The Consultant acknowledges the importance attached by the Client to equal opportunities. The Consultant shall ensure that in fulfilling his obligations under this Contract, he will act fairly, avoid discrimination and promote equal opportunities. 3.7 The Consultant warrants that in performing his duties under this Contract he will not infringe the rights of, nor breach any of his obligations to any third party.
Provision of Consultancy Services. 3.1 The Consultant must perform the Consultancy Services as described in the Statement of Requirement during the Term of the Agreement. 3.2 The Consultant must provide the Consultancy Services to meet the Consultancy Milestones detailed in Schedule 2 and in the manner required by the University, and where no Consultancy Milestones are specified, promptly and without delay. 3.3 Without limiting any other rights available to the University under this Agreement, where the Consultant is unable to provide the Consultancy Services within the University’s specified timeframe as a result of an act or omission of the Consultant, or as a result of the breach by the Consultant of this Agreement, the University may: 3.3.1 withhold any payment otherwise due under this Agreement until such time as the delay or breach is rectified to the satisfaction of the University; and 3.3.2 in the event that such failure lasts more than 30 days (or longer period notified by the University in writing), terminate this Agreement and pursue any remedies available under this Agreement or at Law.

Provision of Consultancy Services. A.2.1. Cantarus shall provide the Consultancy Services to the Customer in such places and locations as agreed in the relevant SOW and subject to the availability of Cantarus’ Project Team. A.2.2. The Consultancy Services shall be performed by suitably qualified employees or agents that Cantarus may choose as most appropriate to carry out the Consultancy Services. A.2.3. Cantarus will provide reports at the times and in the format agreed by the Parties and unless otherwise agreed by the Parties: A.2.3.1. the Customer will be entitled to one copy of any report provided by Cantarus; A.2.3.2. the Customer will be entitled to use any reports for its own internal business purposes; A.2.3.3. the Customer will not be entitled to publish any reports (or sell or make the reports available to third parties), or allow any other person to do so; A.2.3.4. the copyright and database right (and all other intellectual property rights) in the reports (or any other material created or prepared, whether or not provided to the Customer, by Cantarus in performing the Consultancy Services) shall belong to Cantarus. A.2.4. The Customer acknowledges and agrees that time is not of the essence for: A.2.4.1. any dates or times when Consultancy Services are due to be performed; A.2.4.2. the length of time that any Consultancy Services will take to perform as stated in the relevant SOW or as agreed by the Parties; A.2.4.3. any date or time when any of the Consultancy Services will be completed by as stated in the relevant SOW or as may be agreed by the Parties from time to time.

Provision of Consultancy Services. 3.1 This Agreement shall commence on the date of signature of the last Party to sign this Agreement and shall continue, unless terminated in accordance with clause 14 (Termination). 3.2 Herd Consulting shall provide Consultancy Services to the Client as agreed between Herd Consulting and the Client from time to time in accordance with the terms of this Agreement. 3.3 The Parties may agree from time to time that Herd Consulting shall provide Consultancy Services (as recorded in Statements of Work and Change Requests) to other members of the Client’s Group under the terms of this Agreement, without requiring the other member of the Client’s Group to enter into a master services agreement with Herd Consulting. In such circumstances, any reference in this Agreement to the Client shall extend to the Client’s Group and the Client agrees to procure that members of the Client’s Group abide by the terms of this Agreement. 3.4 The Parties may agree Statements of Work and/ or Change Requests in respect of Consultancy Services which shall be signed by each of the Parties and shall form part of this Agreement from the Commitment Date of such Statement of Work or Change Request. 3.5 The Client may, by giving notice to Herd Consulting, at any time where Herd Consulting are delivering Consultancy Services, request a change to the Consultancy Services to be provided. In such instances, Herd Consulting shall prepare a written estimate of the relevant Charges and, if relevant, any impact the requested changes would have on the Programme of Work. Herd Consulting will not make the change to the Consultancy Services to be provided until both Parties have agreed and signed a written agreement (“Change Request”) specifying the Charges and, if relevant, any changes to the Programme of Work. 3.6 Herd Consulting shall not provide any Consultancy Services to the Client other than as recorded in a Statement of Work and/or Change Request unless otherwise agreed between the Parties. 3.7 The Client acknowledges and agrees that Consultancy Services may be provided or performed by any member of Herd Consulting or, with prior notification to the Client, by a Third Party. 3.8 The Client shall provide Herd Consulting with all information concerning the Client’s operations and activities which may be required by Herd Consulting to provide the Consultancy Services and will use all reasonable endeavours to respond quickly and positively to requests for decisions, approvals and consultations. 3.9...
