OTHER CUSTOMER OBLIGATIONS. 9.1. The Customer shall and shall procure that Users (or anyone having access to the Services), shall: (a) comply with any instructions from Company relating to the use of the Services; (b) not use the Services in a manner which is inconsistent with a reasonable customer’s good faith use of the Services or the Network; (c) not use the Services in a manner which, in Company’s opinion, will (or is likely to) adversely affect the provision of the Services to the Customer, Company’s or O2’s other customers or users of the Network; (d) not use the Services fraudulently or in connection with a criminal offence; (e) not make nuisance calls; (f) not use the Services to send, knowingly receive, store or communicate any material which is unlawful, offensive, abusive, indecent, defamatory, obscene or menacing, a nuisance or a hoax; (g) not use the Services in a way that contravenes any licence, code of practice, instructions or guidelines by a relevant regulatory authority; (h) not use the Services in a way that is in contravention of a Third Party’s rights (including but not limited to intellectual property rights); (i) not use the Services to spam or to send unsolicited advertising or promotional material; (j) not use the Services in any way which causes annoyance, inconvenience or needless anxiety as set out in the Communications Act 2003; (k) not use the Services in a manner which may damage the reputation of Company and/or O2, the reputation of the Services or otherwise bring Company and/or O2 into disrepute; (l) not use the Services for the processing of automated personal data as defined in the Data Protection Act 1998; (m) hold and will continue to hold any licences, consents and/or notifications required under any applicable legislation, regulation and/or administrative order to receive and use the Services and/or to connect to the Network; (n) notify Company of any methods of doing business which may affect the Customer’s use of the Services or the Customer’s ability to comply with the terms of the Agreement; (o) comply with Company’s reasonable instructions relating to health, safety, security and use of the Network; (p) comply with all applicable laws and regulatory provisions; (q) comply with any applicable fair use policy that Company may issue from time to time; and (r) not damage Company or O2’s systems or the Network through the introduction of any Virus. 9.2. OTHER CUSTOMER OBLIGATIONS. In addition to its other obligations hereunder, Customer will on a timely basis: 1. Communicate on a timely basis any significant changes in general business operations or priorities, within 90 days from such a change, which relate to MPOWER support of Customer. Customer recognizes that changes in such priorities may result in additional fees hereunder for additional staff, as incremental support, or reordering of other priorities to provide MPOWER services within the current fee structure. 2. Cooperate with MPOWER by, among other things, making available, as reasonably requested by MPOWER, management decisions, information, approvals, and acceptances in order that MPOWER may properly accomplish its obligations and responsibilities hereunder. 3. Carefully inspect and review all MPOWER generated reports and other output and notify MPOWER of any incorrect reports or output. 4. Personalize, maintain, reproduce and' distribute (solely for Customer's internal use) procedure manuals and documentation used by Customer personnel in connection with the M. POWER services hereunder. 5. Train applicable Customer personnel to properly prepare input for and to effectively utilize output from the systems operated by MPOWER hereunder. 6. Pay all costs of acquisition, installation, use and maintenance of equipment at Customer's site, as required for the performance of MPOWER services. 7. Such other responsibilities as set forth herein. Customer agrees that to the extent its failure to meet its obligations set forth in this Section VIII affects the ability of M_POWER to perform MPOWER's obligations under this Agreement, M_POWER shall be relieved of such obligations and Customer shall not exert against MPOWER any claims or liabilities arising out of such failure by Customer.
OTHER CUSTOMER OBLIGATIONS. 11.1 The Customer must provide and maintain its own LAN and/or WAN and ensure that the LAN protocols and applications it uses will operate satisfactorily over the WAN connections using the Fixed Services. 11.2 The Customer will ensure that is has appropriate security policies, including data archiving, in place. 11.3 Except as expressly set out in this Agreement, O2 will not be required to integrate or interface the Fixed Services with any of the Customer‟s services, technologies, products or CPE.
OTHER CUSTOMER OBLIGATIONS. Customer shall provide Supplier such information and such access to its premises and to relevant equipment and software (including, without limitation, by remote connection) as Supplier reasonably requests to be able to perform its obligations under the Contract. Customer shall notify Supplier in writing and provide detailed information about all occupational hazards that may affect the security or safety of Supplier’s personnel when working on Customer’s premises and about all injuries to persons and/or damages to property (including livestock) related to the goods, software and services supplied under the Contract. If and to the extent Customer fails to comply or is in delay with any of its obligations, as set out above or in any other part of the Contract, and Supplier’s performance of any of its obligations under the Contract is impeded or made more onerous by such failure or delay, Supplier shall be relieved from the affected obligations (without prejudice to any other remedy or right under the Contract).

OTHER CUSTOMER OBLIGATIONS. 9.1 The Customer shall and shall procure that Users (or anyone having access to the Services), shall: (a) Comply with any instructions from MIDSHIRE relating to the use of the Services; (b) Not use the Services in a manner which is inconsistent with a reasonable customer’s good faith use of the Services or the Network; (c) Not use the Services in a manner which, in MIDSHIRE’s opinion, will (or is likely to) adversely affect the provision of the Services to the Customer, MIDSHIRE’s other customers or users of the Network; (d) Not use the Services fraudulently or in connection with a criminal offence; (e) Not make nuisance calls; (f) not use the Services to send, knowingly receive, store or communicate any material which is unlawful, offensive, abusive, indecent, defamatory, obscene or menacing, a nuisance or a hoax; (g) Not use the Services in a way that contravenes any licence, code of practice, instructions or guidelines issued by a relevant regulatory authority; (h) Not use the Services in a way that is in contravention of a Third Party’s rights (including but not limited to intellectual property rights); (i) Not use the Services to spam or to send unsolicited advertising or promotional material;
OTHER CUSTOMER OBLIGATIONS. In addition to its other obligations hereunder, Customer will on a timely basis: a) Establish appropriate priorities for Customer, on a regular basis and no less frequently than every three months, that relate to MPOWER Services and communicate the same to MPOWER. Customer recognizes that changes in such priorities may result in additional fees hereunder for additional staff, as Incremental Support, or reordering of other priorities to provide MPOWER Services within the current Fee structure.
OTHER CUSTOMER OBLIGATIONS. The InService™ Customer Obligations statement, as attached hereto, is made a part of the Contract by this reference.
