REPRESENTATIONS AND WARRANTIES OF SCE. SCE makes the following representations and warranties as of the date hereof in favor of Collateral Agent:
REPRESENTATIONS AND WARRANTIES OF SCE. SCE, and Xxxxxxx X. Xxxxxxx (the "Controlling Shareholder"), jointly and severally, represent and warrant to Parent and Sub the representations and warranties set forth in this Article IV, other than those specifically enumerated in the following sentence. In addition, the SCE Shareholders (including the Controlling Shareholder) individually (but not jointly and severally) make the representations and warranties that are stated in this Article IV to be made by the SCE Shareholders (specifically, those contained in Sections 4.2, 4.3(b), 4.5, 4.31, 4.32, 4.33 and 4.34 hereof). The representations and warranties contained in this Article IV shall survive the Closing in accordance with Section 10.1 hereof.
REPRESENTATIONS AND WARRANTIES OF SCE. 16.1.1 Each SCE Company represents and warrants, solely for the benefit of Publisher, that it has the right, power and authority to enter into this GDPA for its respective Territory, and to fully perform its obligations hereunder.
