Reseller Responsibilities. Resellers who participate in the Fast-Track Dispatch program are required to provide information to Dell through the Fast-Track on-boarding process to; • designate specific End Users that have purchased ProSupport entitled Dell System(s) from Reseller and for which Reseller plans to provide service; and, • identify Dell Service Tags associated with End Users’ systems qualifying for Fast-Track Dispatch service. Resellers who participate in Fast-Track Dispatch are subject to all Self-Maintainer requirements listed in Section IV below.

Reseller Responsibilities. The Reseller hereby agrees to use its expertise and marketing skills to help develop new relationships for the Company with Target Retailers, with the Company’s assistance. In order to assist the Company in developing new relationship with Target Retailers, the Reseller hereby agrees to take a lead role with respect to the following activities: (i) developing sales and marketing materials for retailer expansion, (ii) identifying and qualifying top prospects and (iii) developing, proposing and conceptualizing sell opportunities. The Reseller hereby agrees to work jointly with the Company to develop and finalize agreement terms and conditions with the Target Retailers; provided, however, that the terms and conditions of such agreements shall be solely in the discretion of the Company. The Reseller also agrees to assist the Company with respect to the training of such retailers and integration of operations. Upon the request of the Company, the Reseller and the Company will meet prior to the end of the two (2) year period commencing on the date of this Amendment No. 2 and at the end of each two (2) year period thereafter during the Initial Term whereby the parties will review the work done by Reseller in the prior two (2) years and develop a plan of action for the next two (2) years.
Reseller Responsibilities. Reseller shall maintain marketing and customer service standards that are appropriate in order to maintain high-quality Services and to reflect favorably on Reseller’s and BXX’s reputation. Reseller shall provide Customers with prompt, courteous, and efficient service, shall take every reasonable precaution not to disclose any Customer information, other than as permitted by any applicable privacy or personal health information legislation, and shall deal with Customers honestly and fairly. Reseller shall be responsible for all activities of its Customers and Reseller shall (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Services and shall notify BEN promptly of any such unauthorized access or use; and (ii) comply with all applicable local, state, provincial, federal and foreign laws in respect to the promotion and re-sale of the Services.

Reseller shall provide Trans Union consumer reports or information from Trans Union consumer reorts only to users who have a permissible purpose for obtaining consumer reports, as defined by Section 604 of the Federal Credit Reporting Act (15 USC 1681b), hereinafter called "FCRA." Such users shall be provided access to the Trans Union credit reporting system or data therefrom may be transferred without change, may be reformatted by Reseller, or may be merged with those obtained from other consumer reporting agencies (Merged Reports).

Reseller Responsibilities a) Reseller represents that it is experienced in the use and operation of the Products to be purchased hereunder and will be primarily responsible for the sales. marketing and support of the Products in the Territory. b) Reseller and Agilent will mutually agree in writing on a Marketing Development Business Plan for the ATP Channel Team. The plan will be signed by Agilent and Reseller within thirty (30) days of the Effective Date of this Agreement. To the extent that the Marketing Development/Business Plan sets forth firm commitments and additional requirements by the parties, those additional commitments and requirements therein will be made part of this Agreement as set forth in Section 2(c), will be incorporated herein and will be reviewed and revised quarterly. c) Reseller will maintain and make available an Agilent trained and certified sales and support organization that will consist of sales support personnel, outside sales personnel, inside sales personnel and a manager(s) (“ATP Channel Team”) to fulfill the marketing and sales requirements set forth in this Agreement. The ATP Channel Team will use its commercially reasonable efforts to meet sales targets and commitments and requirements specified in the Marketing Development/Business Plan. d) Reseller represents and agrees that the ATP Channel Team will primarily focus on the sale, lease or rental of Agilent Products along with products that do not compete with Agilent Products. e) Reseller will accept and act promptly on leads from Agilent and agrees to provide a sales forecast and sales funnel. The ATP Channel Team must provide Agilent with sales forecasts by the 25th of each month using the standard format and/or software tool supplied by Agilent. The ATP Channel Team will also provide Agilent with information on the forthcoming sales deals using the standard format and/or the standard Agilent sales funnel management system supplied by Agilent. Reseller will use the same software tool to obtain leads from Agilent. The use of the Agilent format and software tool in each case is subject to a determination by Reseller that the costs of doing so are not burdensome. f) Reseller will send to Agilent a monthly point of sales report (“report”) for the ATP Channel Team for a month in a mutually agreeable format by the 5th business day of the next month. Reseller will provide Agilent, at Agilent’s request, with monthly reports covering all reasonable business fundamentals for the ATP Channel Team request...
Reseller Responsibilities. A. Reseller agrees to: 1. Advertise, promote, demonstrate and sell HP Products only within the geographies defined in this Agreement and, when defined by the HP Product Categories, on a face-to-face basis. 2. Represent HP Products fairly to all Customers. 3. Forward promptly to Customers all technical sales and promotional materials, suggested price lists and other information provided by HP for the purpose of reshipment to Customers. 4. Provide Customers with any HP ergonomics information, including, where applicable, HP WORKING IN COMFORT materials (in paper and electronic form) and any warning or advisory tags, labels, or other information relating to the use of HP Products containing keyboards. 5. Ensure that ongoing pre-sales support and post-sales technical support of HP Products and Reseller's value-added solutions is provided to all Customers. Reseller agrees to maintain or make available such qualified personnel as necessary to provide timely and knowledgeable support services sufficient to ensure a high level of Customer satisfaction. 6. Ensure that no sale, advertising, promotion, display, or disclosure of any features, availability or price of any new HP Product takes place before HP's public announcement of that Product. 7. Respond promptly to all Customer inquiries or requests related to HP Products. 8. Report promptly to HP all suspected defects in HP Products. 9. Ensure that its employees complete any required training courses and certification designated by HP. 10. Confer periodically with HP at HP's request on matters relating to market conditions, sales forecasting, and Product planning. 11. Use catalogs and telemarketing sales techniques only in conformity with current HP policies and only as a complement to face-to-face sales activity. 12. Identify and keep current a primary and secondary support contact for both marketing communications and post-sales technical support at each approved Selling Location. 13. Provide Customers with a written invoice stating the Customers name and address, the date of purchase, and serial numbers, if any, of HP Products. Reseller will retain such records, or their equivalent, to enable Reseller to notify Customers of Product safety information, corrections for operational problems, and the like. B. Reseller may advertise only those HP Products which it is authorized to sell. Reseller's advertising may in no way mention Reseller as an authorized reseller for any other HP Product.

Reseller Responsibilities. Both parties agree that liability related to the performance of Third Party Software sold by Dell hereunder shall be governed by the software publisher's license and/or support agreement with the entity purchasing such Software. SoNH (i) agrees that Dell is merely a reseller of Third Party Software and (ii) Customer will look solely to the software publisher for any Software issues. Customer's obligation to pay Dell for Third Party Software purchases is independent of the obligations between the Customer and the software publisher.
