Reseller Responsibilities. The Reseller hereby agrees to use its expertise and marketing skills to help develop new relationships for the Company with Target Retailers, with the Company’s assistance. In order to assist the Company in developing new relationship with Target Retailers, the Reseller hereby agrees to take a lead role with respect to the following activities: (i) developing sales and marketing materials for retailer expansion, (ii) identifying and qualifying top prospects and (iii) developing, proposing and conceptualizing sell opportunities. The Reseller hereby agrees to work jointly with the Company to develop and finalize agreement terms and conditions with the Target Retailers; provided, however, that the terms and conditions of such agreements shall be solely in the discretion of the Company. The Reseller also agrees to assist the Company with respect to the training of such retailers and integration of operations. Upon the request of the Company, the Reseller and the Company will meet prior to the end of the two (2) year period commencing on the date of this Amendment No. 2 and at the end of each two (2) year period thereafter during the Initial Term whereby the parties will review the work done by Reseller in the prior two (2) years and develop a plan of action for the next two (2) years.
Reseller Responsibilities. Resellers who participate in the Fast-Track Dispatch program are required to provide information to Dell through the Fast-Track on-boarding process to; • designate specific End Users that have purchased ProSupport entitled Dell System(s) from Reseller and for which Reseller plans to provide service; and, • identify Dell Service Tags associated with End Users’ systems qualifying for Fast-Track Dispatch service. Resellers who participate in Fast-Track Dispatch are subject to all Self-Maintainer requirements listed in Section IV below.

Reseller shall provide Customers with prompt, courteous, and efficient service, shall take every reasonable precaution not to disclose any Customer information, and shall deal with Customers honestly and fairly. Reseller shall be responsible for all activities of its Customers and Reseller shall (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Services and shall notify Acalvio promptly of any such unauthorized access or use; and (ii) comply with all applicable local, state, provincial, federal and foreign laws in respect to the promotion and re-sale of the Services.

Reseller may sell, subject to applicable law, Consumer Reports to the industries and for the purposes outlined in the Reseller's Letter of Intent, a copy of which is attached hereto and incorporated herein by reference. In the event that Reseller wishes to expand its resale business beyond the scope set forth in the Letter of Intent, it may do so only with the prior written consent of Trans Union.

Reseller Responsibilities. Reseller hereby certifies that as a Reseller: (a) The products purchased hereunder for Reseller purposes shall be incorporated in a system consisting of hardware, and/or software, and/or services which Reseller manufactures, develops, sells or provides (the "Added Value") which Reseller sells or leases to end-users as a regular course of business. (b) Reseller is aware that Hewlett-Packard, Oracle or any other vendor having appointed Reseller as an authorized, non-exclusive Reseller (the "Vendor") may withdraw its permission for sales to Reseller with or without cause at any time by notifying Distributor and Reseller in writing, as outlined in the respective agreement with said Vendor. (c) Distributor requires documentation, per order, from Reseller regarding end-user customer prior to processing orders. Each order requires end-user company name, end-user company contact name, street address (cannot be a P.O. box), City, State, Postal Code, Country (where products will be installed and put into service), telephone number, and facsimile number.

Reseller may sell Trans Union reports to the industries and for the purposes outlined in the Reseller's Letter of Intent, a copy of which is attached hereto and incorporated herein by reference. Reseller shall request from Trans Union consumer reports or information from Trans Union consumer reports only on behalf of users who have a permissible purpose for obtaining consumer reports, as defined by Section 604 of the Federal Fair Credit Reporting Act (15 USC 1681b) as amended by the Consumer Credit Reporting Reform Act of 1996, hereinafter called "FCRA." Such users shall be provided access to the Trans Union credit reporting system or data only if all requirements stated herein are met. C. At the time it requests each consumer report, Reseller shall identify the end user of the report (or information derived from the report), certify each purpose for which the report (or information) will be used, and certify that the report (or information) will be used for no other purpose, as defined by Section 607 of the FCRA, via the method indicated by the Reseller in Section IV of this Agreement.
Reseller Responsibilities. Reseller shall (i) be responsible for Customers’ and Users’ compliance with BEN’s policies and procedures applicable to the Services; (ii) be responsible for the accuracy, quality and legality of the Customer Data and of the means by which it was acquired. Reseller shall not: (a) make the Services available to anyone other than Customer and Users; (b) sell, resell, rent or lease the Services outside the Field; (c) use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights; (d) use the Services to store or transmit Malicious Code; (e) interfere with or disrupt the integrity or performance of the Services or third- party data contained therein; or (f) attempt to gain unauthorized access to the Services or their related systems or networks. Reseller shall, solely at its own cost, employ experienced salespeople who are knowledgeable concerning the functions and advantages of the Services and experienced technical personnel who are knowledgeable concerning the functions, specifications and advantages of the Services.
Reseller Responsibilities. A. Reseller shall provide Trans Union consumer reports or information from Trans Union consumer reorts only to users who have a permissible purpose for obtaining consumer reports, as defined by Section 604 of the Federal Credit Reporting Act (15 USC 1681b), hereinafter called "FCRA." Such users shall be provided access to the Trans Union credit reporting system or data therefrom may be transferred without change, may be reformatted by Reseller, or may be merged with those obtained from other consumer reporting agencies (Merged Reports).
Reseller Responsibilities. A. Shipments of Products to unauthorized Customers will constitute a breach of this Agreement and may result in termination of this Agreement. In addition, Direct Reseller agrees to pay to HP an amount equivalent to the discount received from HP for such shipments. B. Shipments of Products to non-authorized resellers, or to HP authorized resellers who sell such HP Products in violation of any eligibility criteria, qualifications, added value requirements, or any other limitations on Direct Reseller activity as set forth in this Agreement, will constitute a breach of this Agreement and may result in termination of this Agreement. In addition, Direct Reseller agrees to pay to HP an amount equivalent to the discount received from HP for such shipments. C. Direct Reseller agrees to: 1. Advertise, promote, demonstrate and sell Products on a face-to- face basis as required by this Agreement, including all Product Exhibits, and provide pre-sales support and post-sales technical support to all Customers.
