SPECIAL LAWS. In filling this Order, Seller will comply with all applicable federal, state, and local laws, including the following: a) In the event this Order has a value of Ten Thousand Dollars ($10,000) or more and Seller is a U.S. company or provides any of the goods or services through its U.S. operations, Seller must comply with various statutes, regulations, executive orders and legal obligations, as set forth in this Section: (A) Seller will not discriminate against any employee or applicant for employment because of race, color, religion, sex or national origin. Seller will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their race, color, religion, sex or national origin. Such action shall include, but not be limited to, the following: Employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. Seller agrees to post a notice, of such size and in such form, and containing such content as the Secretary of Labor shall prescribe, in conspicuous places in and about its plants and offices where employees covered by the National Labor Relations Act engage in activities relating to the performance of this Agreement, including all places where notices to employees are customarily posted both physically and electronically. (B) Seller will, in all solicitations or advertisement for employees placed by or on behalf of the contractor, state that all qualified applicants will receive consideration for employment without regard to race, color, religion, sex or national origin. (C) Seller will send to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding, a notice to be provided by the agency contracting officer, advising the labor union or workers’ representative of the contractor’s commitments under Section 202 of Executive Order 11246 and shall post copies of the notice in conspicuous place available to employees and applicants for employment. (D) Seller will comply with all provision of Executive Order 11246 of September 24, 1965, and of the rules, regulations and relevant orders of the Secretary of Labor. SPECIAL LAWS. In filling this order, Seller will comply with all applicable laws, and Seller represents that: a) The goods are compliant with EU RoHS (RoHS-1 and RoHS -2) Directives or country/regional equivalent and the manufacturer of such goods complied with the obligations pursuant to these laws; Seller agrees to furnish the EU declaration of conformity within 10 days from acceptance of this order and any other evidence of compliance upon request by Xxxxx including (i) evidence that the appropriate conformity assessment procedure has been carried out by the manufacturer, (ii) that the manufacturer has drawn up the technical documentation, (iii) the EEE bears the CE mark and a serial number or similar indication, and (iv) is accompanied by the required documents, (v) the manufacturer keeps a register of non-conforming goods and product recalls, and keeps distributors informed thereof. b) The goods do not contain any substances regulated as a substance of very high concern (SVHC) in Annex XIV of the EU Registration, Evaluation, Authorization of Chemicals (REACH) directive, unless explicit notification is provided to Buyer in advance and subsequently as new substances are added to the REACH and Annex XIV and Candidate List periodically. c) The goods are manufactured and provided to Buyer in a manner that complies with all applicable human rights laws, including local laws and international frameworks. Seller further represents that the goods are conflict mineral-free, meaning any gold, tin, tantalum, or tungsten contained in the goods are sourced only from conflict – free zones, sources, and smelters. Seller agrees to cooperate and fulfill related due diligence activities with its suppliers or represents that it has already done so.
SPECIAL LAWS. In filling this Order, Seller will comply with all applicable federal, state, and local laws, including the following: a) Seller will take affirmative action with regard to recruiting and retaining minorities in all levels of its workplace and protecting the interests of handicapped workers and disabled and Vietnam era veterans; b) Laws prohibiting discrimination on the basis of an applicant's or employee's protected status; c) Anti-bribery laws which prohibit direct or indirect corrupt offers of anything of value to anyone to obtain or keep business or to secure any other improper commercial advantage; d) To the extent applicable, the goods are compliant with UL standards, RoHS Directives, or country/regional equivalent and agrees to furnish evidence of compliance upon request by Purchaser; e) Goods are manufactured and provided to Purchaser in a manner that complies with all applicable human rights laws, including local laws and international frameworks such as but not limited to California Transparency in Supply Chain Act and provisions of the Xxxx Xxxxx Act (conflict minerals rules). Seller further represents that the goods are conflict mineral free, meaning any gold, tin, tantalum, or tungsten contained in the goods are sourced only from conflict free zones, sources, and smelters. Seller agrees to cooperate and fulfill related due diligence activities with its suppliers or represents that it has already done so; f) the goods are consistent with, and can be used in compliance with, the Occupational Safety and Health Act of 1970 (OSHA), that services to be performed on Purchaser's premises will be consistent with OSHA provisions, and that Seller will provide Purchaser the latest safety data sheets (SDS) for any chemical substance determined to be hazardous; g) For any Order over $10,000, Seller shall have an approved plan for small business concerns and small disadvantaged business concerns as specified under Public Law 95 - 507 unless Seller itself is one of these concerns.

(E) In the event that Seller does not comply with any of the requirements set forth in paragraphs (A) - (D) above, this order or agreement may be canceled, terminated, or suspended in whole or in part,. (F) Seller will include the provisions of paragraphs (A) through (D) herein in every subcontract or purchase order entered into in connection with this order or agreement

Seller agrees to cooperate and fulfill related due diligence activities with its suppliers or represents that it has already done so. d) The goods are consistent with, and can be used in compliance with all occupational health and safety laws in Malta, including but not limited to the the Occupational Health and Safety Authority Act (Chapter 424 of the laws of Malta) (OHSA); that services to be performed on Buyer's premises will be consistent with OHSA provisions, and that Seller will provide Buyer the latest material safety data sheets (MSDS) for any chemical substance determined to be hazardous:

SPECIAL LAWS. In filling this order, Seller will comply with all applicable federal, state, and local laws, including, but not limited to the following: a) Laws prohibiting discrimination on the basis of an applicant’s or employee’s protected status; and, b) The affirmative action and nondiscrimination requirements provided by 41 CFR 60-250.4(m) and 41 CFR 60- 741.4(f) protecting the interests of handicapped workers and disabled and Vietnam-era veterans. c) The goods are consistent with, and can be used in compliance with, the Occupational Safety and Health Act of 1970 (OSHA), that services to be performed on Buyer’s premises will be consistent with OSHA provisions, and that Seller will provide Buyer the latest material safety data sheets (MSDS) for any chemical substance determined to be hazardous: d) No apparel, garments or corresponding accessories, equipment, materials, or supplies furnished to the Buyer under this PO have been laundered or produced in whole or in part by inappropriate or unlawful means of labor. Vendor further declares UNDER PENALTY OF PERJURY that it adheres to the Sweat free Code of Conduct as set forth on the California Department of Industrial Relations website located at xxx.xxx.xx.xxx, and Public Contract Code § 6108. Seller further warrants that it and its suppliers and/or subcontractors shall certify compliance with the requirements, as applicable and as amended, of the California Civil Code Section 1714.43 (California Transparency in Supply Chains Act) and allow Buyer to perform any activities required for verification thereof. e) The Foreign Corrupt Practices Act, 15 USC §78dd-l thru 3, as amended, the U.S. Travel Act, the U.K. Bribery Act 2010, and any laws of any U.S. or foreign jurisdiction relating to commercial bribery. Seller further warrants that it will comply with IDT’s Code of Conduct, including the anti-bribery provisions contained therein.
