STAFF AUGMENTATION SERVICES. 7.1 Upon the Customer selecting their preferred Candidate, the Supplier shall within 15 working days: a. conduct security screening of preferred Candidate and shall communicate the outcome of such checks; and b. issue a SOW confirming final requirements and the preferred Candidate who shall be named in the SOW (the Consultant). Unless otherwise agreed the Charges are set out in Schedule 2. 7.2 The services to be provided by the Consultant shall be laid out in the SOW and shall form the basis of and the extent of the services (“Scope of Services”) for which the Consultant shall be responsible for delivering. 7.3 By signing the SOW the Customer agrees to the Scope of Services and accepts the Consultant as the sole provider and executor of those Scope of Services. The Consultant shall dedicate their time to the Customer for the period defined in the SOW. 7.4 Within 20 business days of receiving a signed SOW the Supplier agrees to onboard the Consultant. 7.5 The daily activities undertaken by the Consultant under the relevant SOW will be at the discretion of the Customer, however the Customer shall not unduly make requests of the Consultant that fall outside the Scope of Services. 7.6 If the Customer is not satisfied that the Consultant can fulfil the duties set out in the agreed SOW, they may request a replacement, citing the reasons in writing to the Supplier. The Supplier may request, and the Customer shall provide evidence to substantiate the claim. The Supplier shall investigate the claim. Subject to agreement by both parties the Supplier will commit to providing a replacement Consultant. The activities set out in Section 7 will be undertaken again. Once a suitable Consultant has been found, the Initial Period and associated payments set out in Schedule 2 – Section 3 (CHARGES FOR STAFF AUGMENTATION SERVICES – INDIRECT SERVICE) will apply. 7.7 Where the Customer requires the Consultant visits their site, the Supplier shall not unreasonably reject such a request, subject to a. the Consultant being willing to attend site for the proposed dates; b. the Consultant evidencing to the Customer and the Customer acknowledging that they have the appropriate documentation including 'right to work'; and c. the Customer making all such arrangements to facilitate the visit and bearing all associated costs including visas, travel and where necessary accommodation. 7.8 The Supplier shall notify the Customer within 7 days of the event, if the Consultant: a. resigns; b. cha...

STAFF AUGMENTATION SERVICES. 4.1 To the extent that the Services include staff augmentation services, VTL will provide VTL Personnel to complete such Services under the direction of a Project Manager and at the site specified in the SOW. For each Project, Client will designate a Project Manager responsible for providing general directions to, and supervising the work of, VTL Personnel. In providing the staff augmentation Services for Client, VTL Personnel will not perform any supervisory or management functions. 4.2 Notwithstanding anything in this Agreement to the contrary, to the extent that any VTL Personnel signs or initials any documents, such signature will be deemed for identification purposes only. 4.3 Client may request that VTL substitute any VTL Personnel only: (a) if such VTL Personnel lacks the requisite technical skills to perform the staff augmentation Services assigned to them; or (b) VTL Personnel fails to comply with the applicable rules, regulations, and policies set forth in Section 4.5, below. VTL shall consider any such request in good faith but retains sole discretion as to how such request is considered having regard to its own broader commercial operations and other reasonable considerations. If VTL has specific performance obligations that are impacted by Client’s requested personnel change that are granted, the Parties will equitably adjust such obligations. 4.4 VTL shall use reasonable efforts to ensure that the performance of the staff augmentation Services is not materially affected by substitution of VTL Personnel pursuant to Section 4.3 above. Confidential, no part of this document may be reproduced, stored in a retrieval system or transmitted in any form or by any means – recording, photocopying, electronic and mechanical without prior written permission of VTL 4.5 While VTL Personnel are on Client’s premises, VTL shall use reasonable efforts to make sure that such VTL Personnel comply with all applicable rules, regulations, and policies, including such matters as working hours, holidays, and Client’s security measures, of which they have been notified in advance by Client in writing. 4.6 Insofar as staff augmentation Services are performed on or in Client’s premises or facilities, Client shall provide access, working space, and normal office amenities to the VTL Personnel to the extent these amenities are required for the due provision of the Services. 4.7 Client shall cooperate fully with VTL in the provision of the staff augmentation Services and as...
STAFF AUGMENTATION SERVICES. Consultant may provide personnel to augment City staff to directly support engineering and construction efforts, including but not limited to design and construction contract support services; project control services; assistance with grant funding, applications procedures and/or administration; financial program support; program and project management; and knowledge transfer to City of San Antonio staff. Augmented staffing may include but not be limited to civil, electrical, and mechanical engineers as well as architects, planners, project administration specialists, and project fiscal analysts to directly support engineering and construction services. The City recognizes that within the life of this contract, new projects and programs will be established that require specific skills. Therefore any requests for augmentation of staff will specify the exact skill set needed and will be coordinated with the consultant.

  • Education services 1.1 Catholic education is intrinsic to the mission of the Church. Catholic schools offer a broad, comprehensive curriculum imbued with an authentic Catholic understanding of Xxxxxx and his teaching, as well as a lived appreciation of membership of the Catholic Church. Melbourne Archdiocese Catholic Schools Ltd (MACS) governs the operation of MACS schools and owns, governs and operates the School. 1.2 Parents and guardians, as the first educators of their children, enter into a partnership with the Catholic school to promote and support their child’s education. Parents and guardians must assume a responsibility for maintaining this partnership by supporting the school in the provision of education to their children within the scope of School's registration and furthering the spiritual and academic life of their children.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.

  • Monitoring Services IDT staff shall, using methods that include face-to-face and other contacts with the member, monitor the services a member receives. This monitoring shall ensure that: a. The member receives the services and supports authorized, arranged for and coordinated by the IDT staff; b. The services and supports identified in the MCP as being provided by natural and community supports are being provided; and c. The quality of the services and supports received is adequate and still necessary to continue to meet the needs and preferences of the member and support the member’s outcomes identified in the MCP.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Hosting Services NCR Voyix shall furnish facilities, equipment, computer programs and services, as specified from time to time by NCR Voyix, that NCR Voyix deems necessary for operation and maintenance of the System (collectively, the “Hosting Services”).

  • Installation Services The Bitstream 2a Service includes a Standard Install as set out below (in each case to the extent that the relevant provisioning works are not already complete for the relevant Service Order).1
