Staffing of Personnel. Cendant Operations shall be solely responsible for assigning personnel to perform the Services, which personnel will be instructed by Cendant Operations to perform the Services in a timely, efficient and workmanlike manner.
Staffing of Personnel. PMC shall be solely responsible for assigning personnel to perform the Termination Assistance Services, which personnel will be instructed by PMC to perform the Termination Assistance Services in a timely, efficient and workmanlike manner.

Each Service Provider shall be solely responsible for assigning reasonably competent personnel to perform the Services for it under such Services Agreement, which personnel will be instructed by such Service Provider to perform Services in a timely, efficient and workmanlike manner.

VITAL shall be solely responsible for assigning personnel to perform the Services, which personnel will be instructed by VITAL to perform the Services in a timely, efficient and workmanlike manner. MCK shall have the right to request that personnel not performing Services properly and in accordance with reasonable technical or general work standards who do not promptly correct such performance be replaced by VITAL with competent and suitable personnel.

Each Service Provider Party to a Services Agreement shall be solely responsible for assigning reasonably competent personnel to perform the Services for it under such Services Agreement, which personnel will be instructed by such Service Provider to perform Services in a timely, efficient and workmanlike manner.

The Providing Party shall assign (or shall use commercially reasonable efforts to cause any third party service provider to assign) adequately trained personnel to perform the Transition Services. The Transition Services shall be performed by the Providing Party (or the Providing Party shall use commercially reasonable efforts to have any third party service provider perform the Transition Services) in a timely, efficient and workmanlike manner consistent with the prior practices of the Business. Nothing herein shall require the Selling Entities to hire any new employees (including replacing any Transferred Employees). In addition, to the extent that any employee or contractor of the Selling Entities who performs any particular Transition Service resigns or is terminated, the Selling Entities shall not be required to replace such individual or continue to provide any such service (unless such service can reasonably be provided by other employees of the Selling Entities); provided, that if Xxxxxxxxx agrees to reimburse all costs associated with any attempt to replace an employee or contractor whose employment or service has terminated (including without limitation all costs associated with the employment of such employee or retention of such contractor), Seller shall use commercially reasonable efforts to replace such position. For the avoidance of doubt, the parties acknowledge that no Affiliate of Seller shall be required to continue to employ any employee or retain any contractor beyond the time that such Affiliate would require such employee’s services (in the absence of this Agreement), unless Purchaser reimburses the Selling Entities for all costs associated with the continued employment of such employee or retention of such contractor. Purchaser further agrees that if those employees of the Selling Entities who are necessary to perform any Transition Services have become Transferred Employees, to the extent necessary, Purchaser shall either make such Transferred Employees available to the Selling Entities in order to allow the Selling Entities to continue to provide such Transition Services or Purchaser shall terminate the Selling Entities’ obligation to provide such Transition Services.
Staffing of Personnel. 5.1 Program staffing and associated compensation will be suggested by DAC to ensure the TOSHIBA Program is at a competitive level with programs of similar size, purpose, objectives, and scope and approved in writing by TOSHIBA. No staffing and/or compensation modifications will be made without TOSHIBA's written approval and said approval will result in TOSHIBA's recognition and agreement to pay for the approved additional costs, or recognize the additional savings associated with the change. Compensation packages and compensation adjustments must be approved in writing by TOSHIBA either specifically, or by approval of DAC's policies. TOSHIBA recognizes that DAC policy allows for a compensation increase of up to [**20**] per non-sales representative on the anniversary of employment date.
Staffing of Personnel. 5.1 Program staffing and associated compensation will be suggested by DAC and approved by HP.
Staffing of Personnel. SELLER shall have sole discretion regarding future allocation percentages for Assigned Personnel ("Allocation Percentage") and will make such determinations in good faith, taking into consideration the number of Company clients transitioned to BUYER's platform. SELLER shall be responsible for ensuring that the Assigned Personnel perform the Services in a timely, efficient and workmanlike manner and shall, in good faith, use its best efforts to maintain the same level of service provided to the COMPANY and COMPANY clients prior to the Effective Date.
Staffing of Personnel. Avis Fleet shall be solely responsible for assigning personnel to perform the Services, which personnel will be instructed by Avis Fleet to perform the Services in a timely, efficient and workmanlike manner.
