Suspension and Termination of Service. You understand and acknowledge that your VOIP product requires a broadband connection to operate. Should any of your services be suspended or terminated for any reason, including for failure to make timely payment or due to usage in violation of the applicable AUP, your ability to use your VOIP line, including to contact 911/E911, will be disabled. Acknowledgement and warning labels. By using our VOIP services, you acknowledge that you are responsible for notifying all potential users who may place calls using your VOIP of the 911 limitations described herein. You are responsible for any notices of the potential lack of 911/E911 operation to any users of your VOIP service regardless of whether or not you have properly labelled your equipment. Non-voice systems. You acknowledge that the services are not set up to function with non-voice services such as home security systems, medical monitoring equipment, TTY equipment, or entertainment or satellite television systems. We are not liable for interruption or disruption of such systems by the services. 911/E911 limitation of liability and indemnity. In addition to limits of liability and indemnification that may be contained elsewhere in this Agreement, you agree that we are not liable for any service outage or inability to dial 911 or any other emergency telephone number due to the conditions described in this section. You agree to defend, indemnify and hold harmless us, our owners, managers, officers, directors, employees, affiliates and agents, and any other service provider who furnishes services to you or a user in connection with the services, from any and all claims, actions, losses, damages, fines, penalties, costs and expenses (including, without limitation, attorneys’ fees) by, or on behalf of, us or any third party or user of the service relating to 911 dialing or the inability to access or reach emergency 911 services.

Suspension and Termination of Service. 7.1 WT24/7 may, at any time, without notice and without incurring any liability whatsoever, suspend the service either in whole or in part in the event of any one or more or all of the following occurring: 7.1.1 Technical failure of the GSM network and/or its reporting structures, modifications/maintenance to the GSM network by the GSM service provider. 7.1.2 Due to any Government and/or regulatory authority requirement. 7.1.3 The GSM provider ceasing to make the network available to WT24/7 or if it stops trading for any reason whatsoever. 7.1.4 The Customer defaults in terms of the operating instructions in the user manual or fails to make any payment of any instalment on the due date thereof. 7.1.5 WT24/7 is prevented from rendering the service due to force majeure. 7.1.6 Any cancellation by either party after the initial period of the contact. 7.1.7 Automatically and without prior notice and without liability on the part of WT24/7, in the event of the Customer utilising the service in any manner deemed by WT24/7 in its sole and absolute discretion to be inappropriate (and the Customer hereby indemnifies and holds WT24/7 harmless against any claim that may arise against WT24/7 as a result of such improper use of the service). Automatically, further, if the Customer or authorised user misuses the system. 7.1.8 The Customer, failing to inform WT24/7 in writing within 7 (SEVEN) days after the change of any Director, Member, Shareholder, Owner or Partner or address or the alienation by the Customer of its business, and failure to give such notice shall constitute a material breach of this Agreement by the Customer to which WT24/7 shall have the right at its sole discretion to cancel the Agreement, alternatively, to withdraw any credit facility advanced to the Customer and demand payment of any amount then outstanding by the Customer in full. 7.1.9 The Customer shall be entitled to claim a pro-rat reduction of the services fee for the period during which the tracking services are suspended provided that the suspension endures for an uninterrupted period of no more than 48 hours.

Suspension and Termination of Service. 7.1 We may, at any time, and without incurring any liability whatsoever, suspend the service either in whole or in part in the event of any one or more or all of the following occurring: 7.1.1 Technical failure of the GSM network and/or its reporting structures, modifications and/or maintenance to the GSM network by the GSM service provider and/or due to any Government and/or regulatory authority requirement and/or 7.1.2 the GSM provider ceasing to make the network available to us or if the network stops working for any reason whatsoever and/or 7.1.3 you default in terms of the operation instructions provided in the user manual or fail to make any payment of any instalment on the due date thereof and/or 7.1.4 we are prevented from rendering the service due to circumstances beyond our control and/or due to unexpected events; and/or 7.1.5 Any cancellation of the contract by either us or you after the initial period of the contract and/or 7.1.6 automatically and without prior notice to you, without any liability on our part, in the event that you utilize the service in any manner which we, in our sole discretion, deem to be inappropriate, and you hereby indemnify and hold us harmless against any claim that may arise against us as a result of such improper use of the service; and/or automatically, further, if you or the authorized user misuses the system, and/or 7.1.7 if your vehicle is reduced to a state for any reason whatsoever, permanently dysfunctional, but not limited to, irreparable mechanical breakdown of the vehicle and irreparable damage caused to the vehicle in an accident.
Suspension and Termination of Service. The decision to remove a PERS is at the sole discretion of the Inclusa team. For all PERS removals, notification will be by telephone, followed by written notification, from the authorized Inclusa team. If the provider is notified directly by a member’s family or other representative to remove the PERS, authorization must first be obtained from the Inclusa team. When a member with a PERS no longer requires such services, regardless of the reason, the Inclusa team will discuss with appropriate staff, as needed, and contact the provider, so that the PERS may be transferred or removed. 1. When a member’s services are suspended because of the member’s admission to the hospital, the Inclusa team will notify and/or authorize the provider to take the unit off-line. Services will be resumed to the member only after the Inclusa team notifies the provider. Payment for leased equipment will be made at the standard unit price as long as a unit remains in the home of a member. 2. The provider shall disconnect/remove a PERS from a member’s residence within 5 working days of notification by the Inclusa team. Inclusa will discontinue payment effective 5 days after notice of disconnect or the following day after removal of the PERS, whichever is sooner. 3. If PERS is discontinued due to member disenrollment or death, payment will cease the following day after disenrollment or death. 4. Inclusa is not responsible for equipment that the provider is unable to collect from the member or their representative after service is terminated.
Suspension and Termination of Service. SEE Link may terminate and/or suspend the Originating Broker’s license grant and/or suspend, terminate or limit any of the Originating Broker’s use of the Service without liability, giving at least prior verbal notice, based on SEE Link’s reasonable belief that: (i) the Service is being used in breach of the provisions of this Agreement or otherwise in a potentially harmful or unlawful manner; (ii) the use of the Service adversely affects SEE Link’s (or its suppliers’) equipment, security network infrastructure or its service to others; or (iii) the Originating Broker fails to pay undisputed charges for the Service after being given notice. In the event the Service is suspended, SEE Link will use commercially reasonable efforts to inform the Originating Broker and will work with the Originating Broker to resolve such issues and re-instate the Service. Furthermore, SEE Link shall suspend or otherwise limit Originating Broker’s right to receive the Service, without liability for SEE Link, if SEE Link is notified by the Local Exchange that the Originating Broker’s membership in the Local Exchange has been suspended or its right to trade on the Local Exchange has been otherwise limited. The Originating Broker acknowledges and agrees that SEE Link shall be entitled to suspend or terminate the Service that the Originating Broker receives with respect to a particular Contracted Executing Broker, if SEE Link suspends or terminates the Membership Agreement it has concluded with such Contracted Executing Broker or if such agreement is terminated by such Contracted Executing Broker. In such case, SEE Link shall have no liability towards the Originating Broker for the inability to receive the Service with respect to such Contracted Executing Broker. The Originating Broker further acknowledges and agrees that SEE Link shall be entitled to terminate the Service that the Originating Broker receives with respect to a particular Contracted Executing Broker with prior reasonable notice, if SEE Link suspends or terminates the Participation Agreement it has concluded with the relevant Foreign Exchange that has admitted the relevant Contracted Executing Broker as its member. In such case, SEE Link shall have no liability towards the Originating Broker for the inability to receive the Service with respect to such Contracted Executing Broker. Suspension and Termination of Service. 12.1 If we reasonably suspect that you may be engaging in any of the restricted activities as set out in Clause 4 above (Your Duties and Responsibilities) or may be in breach of any of the representations, warranties, these Terms or any terms in any of the other Agreements, we may, without any liability to you, take the following action(s) as we deem necessary, at any time and with immediate effect: (a) report any suspicious or illegal activity to the relevant authorities and/ or UOB AM; (b) cancel or refuse any transactions as per directed/ requested by UOB AM; (c) where applicable, withhold/ forfeit/ withdraw any reward (including in the form of Boost Stars, cash backs, monies) which may release/ have released to you pursuant to any incentive driven missions/ activities/ campaigns under the Investment Service on our Platform; (d) restrict, temporarily or permanently suspend or terminate or close your Account or terminate this agreement and/or the provision of the Services (including the Investment Service) or part thereof to you; and/ or (e) take further steps as we, in our reasonable discretion, may deem necessary, including taking legal action against you. 12.2 We may at any time and without liability to terminate this agreement including the Investment Service under these Terms. In such cases, we will provide you with a written notice in not less than fourteen (14) days. However, in certain cases, we may terminate your Account, our Services (including the Investment Service) under these Terms or this agreement by providing notice with immediate effect. No such termination will affect any instruction given by you which is properly received by us before the date of such notice. 12.3 You may terminate this agreement or your account in relation to the Investment Service with us at any time by providing us with notice via email to xxxxxxx@xxxxxxx.xxx.xx to the Boost customer service team. Further validation will be required to authenticate your identity. However, no such termination will affect any instruction given by you which is properly received by us before the receipt of such notice or any action we may take in relation to your account before the receipt of such notice. 12.4 On termination of any Investment Service under these Terms or this agreement or relationship between you and us: (a) your UOB AM account(s) linked to the Platform will be terminated and you will stop gaining access to your UOB AM account(s) through the Platform. Suspension and Termination of Service. In the event charges due pursuant to the Customer xxxxxxxx are not paid in full, for any reason whatsoever, Carrier shall have the right to suspend all or any portion of the Services to such Customer until such time as such Customer has paid in full all undisputed charges, including any applicable Late Fees, and/or reconnection fees. Following such payment, Carrier shall reinstate Services to such Customer. Carrier shall document monthly charges due by Customer in an invoice to Customer, which may be electronically delivered to Customer. Customer shall be fully responsible for payment to Carrier for the full amount of invoice including without limitation any fraudulent or unauthorized use by Customer, any federal, state, county, local or other governmental taxes, fees or duties now or hereafter imposed on the sale or use of the Services.
