TEAM. The Parties hereby agree to the formation of an Implementation Team which shall be composed of representatives of both Parties for the purpose of: developing and implementing policies and procedures to promote effective and efficient performance for the benefit of each Party's Customers and each other; promoting reliable forecasting of facility and capital needs associated with the performance of this Agreement; coordinating planning of new, expanded, modified or altered network features, functions and capabilities; and. developing appropriate standards by which to evaluate the quality and timeliness of performance. Within thirty, (30) days of the execution of this Agreement, each Party shall designate, in writing, no more than three (3) persons to be permanent members of this Implementation Team provided that either Party may include, in Team meetings or Team activities, such technical specialists or other persons as may be reasonably required to address a specific task, matter or subject. Each Party shall give its representatives on the Implementation Team direct access to those persons who have authority to make decisions on behalf of such Party and bind such Party, provided, however, where decisions must be escalated from the Implementation Team for resolution, such escalation shall occur within five (5) days. Within sixty (60) days from the execution of this Agreement, the Parties shall have conducted the first Team meeting and identified a schedule and procedures for the purpose of satisfying the objectives of this Article

Such procedures shall include the process by which issues shall be resolved by the Team. The Parties understand and agree that it is not possible, as of the date this Agreement is executed, to list or define all the needs, resources and capabilities that may be required to efficiently and effectively accomplish the objectives of this Agreement. It is the specific intent of the Parties that the Team created by this Article XVIII shall provide the flexibility that shall be required to allow this Agreement to dynamically adapt the relationship of the Parties as circumstances warrant or as otherwise required.
TEAM. As a selected Xxxxxxx, I undertake and agree during the period of the Agreement to:
a) remain under the control, management and direction of the Team Management, or any person appointed by them and, to comply with all reasonable orders given by them, or any other duly appointed person;
b) conduct myself in a proper manner to the absolute satisfaction of Team Management and, if I do not do so, I acknowledge that this Agreement may be terminated by SLSSA under clause 12 and that I will automatically be withdrawn from the Team and be required to immediately leave the event and return to my usual place of residence;
c) travel to and from the event upon the dates and in the manner determined and arranged by XXXXX (if applicable);
d) stay in the accommodation determined and arranged by XXXXX during the event (if applicable);
e) train and condition as per the instructions from the Team Managment to enable me to compete;
f) compete at the event;
g) disclose immediately to Team Management any illness and/or injury that may prejudice my proper participation at the event;
h) on the occasions prescribed by Team Management wear only the clothing issued by SLSSA or the competition organisers and to wear the uniform prescribed by SLSSA or the competition organisers for athletes at the event;
i) not without the prior approval of Team Management and then only in the presence of the Coach or other appointed person, supply any information to the media, including social media for the purpose of use by or in the media whether spoken or written and that I will not without the prior approval of Team Management and or SLSSA conduct any interviews to the media or place information on social media platforms;
j) attend all relevant training and other activities arranged by the Team Management and/or Head Coach, unless otherwise excused. This includes all group and individual activities arranged and detailed in the schedule of activities and events. These will be detailed in the schedule and will include such things as availability for SLSSA representative Team selection, commitment to SLSSA events and carnivals as well as Australian Championships.
k) Attend media conferences, promotions, displays and other activities arranged by the organisers of the event if endorsed by Team Management unless otherwise excused;

The aim of this research is to understand precisely how the poison/antidote systems work by investigating the targets of the poisons and by analy- zing the molecular interactions between poisons and targets in order to develop new classes of antibiotics; by analyzing the molecular interactions between anti- dotes and ATP-dependent proteases; by analyzing the regulation mechanisms that trigger the programmed death of the bacteria caused by these systems. In ad- dition, the laboratory is using the poison/antidote sys- tems to develop innovative technological tools. Some of these tools are now used throughout the world in cloning experiments, i.e. the production of DNA frag- ments which are genetically identical.

Commercialization and Market Potential (40%) • Extent to which the collaboration specifically and convincingly demonstrates how the applicant will move the state of the art through the proposed advancement, validation, demonstration, etc. towards commercialization and market adoption • Potential impact of the collaboration on the commercialization and market adoption challenges being addressed (e.g., national lab and industry leveraged effort) • Potential impact of collaboration on the market • Importance of technology development/demonstration/analyses to general market acceptance. TEAM. The Parties agree that, initially, the key BCBSSC personnel responsible for System implementation shall be Xxxxx Xxxxxx and Xxxxxxxx Xxxxxxxxx. BCBSSC shall use reasonable efforts to keep the System implementation team intact until the Commencement Date and any replacements to key personnel shall have comparable education and experience with the particular portion of the System over which such replacement would have responsibility.
