TESTING OVERVIEW. All Tests conducted by the Supplier shall be conducted in accordance with the Test Strategy and the Test Plans. Any Disputes between the Supplier and the Customer regarding this Testing shall be referred to the Dispute Resolution Procedure. The Supplier shall develop the final Test Strategy as soon as practicable but in any case no later than sixty (60) Working Days (or such other period as the Parties may agree) after the Call Off Commencement Date. The final Test Strategy shall include: an overview of how Testing will be conducted in relation to the Implementation Plan; the process to be used to capture and record Test results and the categorisation of Test Issues; the procedure to be followed should a Deliverable fail a Test or where the Testing of a Deliverable produces unexpected results, including a procedure for the resolution of Test Issues; the procedure to be followed to sign off each Test; and the process for the production and maintenance of reports relating to Tests.

The Service Provider shall not submit any Deliverable for Testing: unless the Service Provider is confident that it will satisfy the relevant Test Success Criteria; until the Purchaser has issued a Test Certificate in respect of any prior, dependant Deliverable(s); and until the Parties have agreed the Test Plan and the Test Specification relating to the relevant Deliverable(s). The Service Provider shall use reasonable endeavours to submit each Deliverable for Testing or re-Testing by or before the date set out in the Implementation Plan, or for any post implementation deployments, for the commencement of Testing in respect of the relevant Deliverable. Prior to the start of testing, both during the Implementation Period and during the Term, the Service Provider must provide the Purchaser with demonstrations/walkthroughs of the main functionality contained in each Deliverable. Prior to the issue of a Test Certificate, the Purchaser shall be entitled to review the relevant Test Reports and the Test Issue Management Log. The provisions of clause 22 (Deliverables and Milestones), clause 24 (Implementation) including 24.3 and 24.4 (Rectification Plan) and 24.5 (Testing and Achievement of Milestones) and clause 26 (Purchaser Cause), shall apply to Testing. Any disputes between the Purchaser and the Service Provider regarding Testing shall be referred to clause 61 (Dispute Resolution). The Purchaser shall issue Test Certificates and grant Milestone Achievement Certificates without unreasonable delay. TESTING OVERVIEW. 2.1.1 EHI shall ensure that the necessary testing has been carried out by EHI, prior to the Software being installed into a Customer test environment, to ensure that the Software materially meets the requirements of the Agreement.
2.1.2 Prior to EHI being able to install the Software into the Customer test environment, the Customer must make available to Environment and the parties shall confirm that the Environment meets the requirements of the specification contained in this Schedule 3 [to be provided for each contract].
2.1.3 The Customer shall carry out its own testing of the Software by way of out all ‘user acceptance’ to ensure that the Software meets the specification. Where the Customer identifies issues during such testing, the Customer shall notify EHI immediately in writing and EHI shall, within five (5) days, resolve such issue to ensure that the Software conforms to the requirements of the specification.
2.1.4 EHI shall support the Customer testing by providing generic test scripts, which the Customer may adapt in order to ensure that it is confident it has carried out full user acceptance testing and that the Software conforms to the requirements of this Agreement.
2.1.5 EHI will ensure that the appropriate governance is in place in order to effectively manage the implementation, in accordance with the implementation plan and that communication is proactive. The parties agree to address and risks, issue and delays in a timely manner.
2.1.6 Any issues regarding testing and implementation of the Software shall be initially escalated through the respective project management teams.

2.2 Where a Customer has not specified in paragraph 5.2 of the Order Form that it will Test the Goods supplied under the Call Off Agreement the Supplier shall be issued a Satisfaction Certificate by the Customer at the point of Delivery.
