Transition from Employment. Unless Xx. Xxxxxxxxxx’x employment with the Company is terminated sooner, the parties mutually agree that Xx. Xxxxxxxxxx will transition from his employment with the Company as follows:
Transition from Employment a. From November 1, 2019 (the “Garden Leave Commencement Date”) through January 30, 2020, you will be placed on garden leave and you will no longer report for work at the Company’s offices or provide any duties to the Company or its subsidiaries or affiliates. Your last day of employment with the Company will be on January 30, 2020 or such earlier date on which you resign. You agree that your placement on garden leave (and any changes to your duties and any reorganization of the Company that may occur) shall not constitute “good reason” for purposes of any plan, agreement or arrangement of the Company or its subsidiaries or affiliates. You will continue to receive your base salary, at its current rate, and continue to be eligible to participate in the Company’s health, welfare and 401(k) plans during the period beginning on the Garden Leave Commencement Date and ending on January 30, 2020 or such earlier date on which you resign (the “Continuation Period”), but will not be eligible for a bonus in respect of, or long-term incentive award grants in, 2020.
b. You hereby resign without any further action by you or the Company, effective immediately upon the Garden Leave Commencement Date, from any and all positions you then hold (whether as an officer, manager, director, partner or otherwise) with the Company and its subsidiaries and any of their respective subsidiaries, affiliates, general partners and other related entities.
Transition from Employment a. Unless terminated earlier by the Company or you, your employment with the Company will continue through March 2, 2023. You will continue to receive your base salary, at its current rate; remain eligible for payment of your earned award under the annual incentive program for 2022; and continue to be eligible to participate in the Company’s plans and programs through March 2, 2023, or, if earlier, until the date on which your employment terminates (the last day of your employment is the “Termination Date”).
b. In exchange for the mutual consideration set forth in this Letter Agreement, you hereby resign without any further action by you or the Company, effective upon the Termination Date, from any and all positions you currently hold (whether as an officer, manager, director, partner or otherwise) with the Company and its subsidiaries and any of their respective subsidiaries, affiliates, general partners and other related entities effective as of the Termination Date.
c. From the Termination Date through December 31, 2023, you agree to be reasonably available to assist the Company in the transition of your duties and such other matters as the Company may reasonably request from time to time; provided that you and the Company agree that any services that you perform after the Termination will not exceed 20% of your prior full-time role. You agree that nothing herein will constitute “Good Reason” for purposes of any plan, agreement or arrangement of the Company or its subsidiaries or affiliates.
Transition from Employment. The Executive’s employment, status as an officer and status in all other capacities with the Company and its Related Entities will end, effective as of 12:00 p.m., Pacific Standard Time, on March 31, 2006 (the “Transition Date”).
Transition from Employment. Upon execution of this Transition Agreement and Release (the “Agreement”), my last day of active employment with Sycamore Networks, Inc. (“Sycamore”) will be September 7, 2006, and my last day of employment will be September 7, 2007 (the “Termination Date”). As a transition employee, I agree to be available to transition my duties and responsibilities as well as to be available for various projects and consulting assignments from time to time at the reasonable request of the Chief Executive Officer. Effective September 7, 2006, I will no longer be an executive officer of Sycamore.
Transition from Employment. The Executive shall cease serving as Chief Executive Officer of the Company at the Transition Time. From the Transition Time until the Retirement Date, which will be the Executive’s last day of employment with the Company, the Executive will serve as a non-executive employee of the Company to perform the Transition Duties. During the Transition Period, the Executive will continue to be paid base salary at the rate in effect as of the date of this Agreement and be eligible for all employee benefit plans and programs available to senior executives of the Company generally; provided that for the avoidance of doubt, the Executive will not participate in the Company’s annual bonus plan for the 2024 fiscal year. The Executive may be required to travel between the offices of the Company and for customer and industry events in connection with the performance of his Transition Duties as reasonably requested by the Chief Executive Officer. Reasonable costs incurred in connection with such travel shall be reimbursed in accordance with the Company’s reimbursement policies applicable to its senior executives, as in effect from time to time.
Transition from Employment a. Unless terminated earlier by the Company or you, your employment with the Company will continue through the date that is seven days after the date of Substantial Completion of Subproject 2 (each as defined in that certain Engineering, Procurement and Construction Agreement, dated November 11, 2011 by and between Sabine Pass Liquefaction, LLC and Xxxxxxx Oil, Gas and Chemicals, Inc.) of Sabine Pass Liquefaction’s liquefaction facilities adjacent to the Sabine Pass LNG terminal (the “Continuation Period”). You will continue to receive your base salary, at its current rate, and continue to be eligible to participate in the Company’s plans and programs during the Continuation Period.
b. Upon any termination of your employment by you or the Company, you hereby agree to resign without any further action by you or the Company, effective immediately upon the date of termination of your employment, from any and all positions you then hold (whether as an officer, manager, director, partner or otherwise) with the Company, CQH Holdings Company, LLC, Cheniere Energy Partners GP, LLC, Cheniere Energy Partners LP Holdings, LLC, Sabine Pass Liquefaction, LLC, Sabine Pass LNG, L.P. and any of their respective subsidiaries, affiliates, general partners and other related entities.
Transition from Employment a. Unless terminated earlier by the Company or you, your employment with the Company will continue through August 31, 2020 (the “Continuation Period”). You will continue to receive your base salary, at its current rate, and continue to be eligible to participate in the Company’s plans and programs during the Continuation Period or, if earlier, until the date on which your employment terminates (the last day of your employment is the “Termination Date”).
b. In exchange for the mutual consideration set forth in this Letter Agreement, you hereby resign without any further action by you or the Company, effective upon the Effective Date, from any and all positions you currently hold (whether as an officer, manager, director, partner or otherwise) with the Company and its subsidiaries and any of their respective subsidiaries, affiliates, general partners and other related entities and from the Effective Date through the Termination Date you will serve as an advisor to the Company. You agree that any changes contemplated in this Section 1(b), including to your authority, duties or responsibilities, will not constitute “Good Reason” for purposes of any plan, agreement or arrangement of the Company or its subsidiaries or affiliates. It is expressly understood and agreed that you shall not receive material non-public or other proprietary information from the Company following your resignation from all officer, director, and executive positions as contemplated by this paragraph.
Transition from Employment. (a) Effective as of September 9, 2021 (the “Transition Date”), you hereby voluntarily resign from, and shall no longer serve in, the position of Executive Vice President, Leasing, or any other officer, director or other position with the Company or any of its affiliates, and shall cease to exercise or convey any authority (actual, apparent, or otherwise) on behalf of, the Company and its affiliates, in each case, except as otherwise specifically provided in Section 2.
(b) You acknowledge and agree that you have received all compensation and benefits due and payable in connection with your cessation of employment and have been reimbursed for all business expenses incurred in connection with your services as an employee, and are not entitled to any severance or similar benefits under the Tanger Factory Outlet Centers, Inc. Executive Severance and Change of Control Plan (the “Executive Plan”) or otherwise.
(c) You hereby represent and warrant that you have returned to the Company all keys, files, records (and copies thereof), equipment (including, but not limited to, computer hardware, software and printers, wireless handheld devices, cellular phones, etc.), Company identification and other Company-owned property in your possession or control and have left intact all electronic Company documents, including but not limited to those that you developed or helped to develop during your employment. You further confirm that you have cancelled all other accounts for your benefit, if any, in the Company’s name, including but not limited to, credit cards and/or cellular phone accounts.
