Transition of Duties. In the event of a termination of the Executive, Executive shall assist the Company in transitioning his duties to another person or person designated by the Company.
Transition of Duties. During the period beginning on the Effective Date and ending on the first to occur of: (i) the date on which another individual is appointed by the Company to serve as its Chief Legal Officer and such individual commences employment with TriNet (or such later date as is determined by the Company as the effective date of such appointment for the purposes of this Agreement), and (ii) December 31, 2018 (the “Separation Date” and the first to occur of the date on which another individual is appointed by the Company to serve as its Chief Legal Officer and the Separation Date, the “Transition Date”), the Executive shall continue to serve the Company as its SVP, Chief Legal Officer & Secretary. During the period from the Effective Date until the Transition Date, the Executive shall continue to serve as the Chief Legal Officer of the Company and shall devote his best efforts and substantially all of his business time and attention (except for vacation periods and reasonable periods of illness or other incapacity permitted by the Company’s general employment policies) to the business of the Company in such capacity, consistent with his current role and responsibilities. In addition, if the Transition Date occurs prior to December 31, 2018, the Executive shall continue to serve as a Vice President of the Company until the Separation Date, in order to timely and accurately respond to reasonable requests by the Company to the extent reasonably possible with respect to the transition of his duties following the Transition Date and other matters involving the Company about which the Executive has or may have personal knowledge (other than the Executive’s separation or any other claim the Executive may bring against the Company that is not released under the Releases), including any such matters which may arise after the Transition Date (the period from the Transition Date to the Separation Date, the “Transition Period”).
Transition of Duties. Employee agrees that Employee will reasonably cooperate with the Company including, but not limited to, doing whatever is reasonably requested to help ensure an appropriate transition of work responsibilities and to provide information requested regarding any matter with which Employee was involved while employed by the Company.
Transition of Duties. (a) Effective as of September 12, 2012, Xxxxxx hereby resigns as the Executive Vice President, Finance of the Company, and as an officer and director of each subsidiary of the Company as well as from his position as a trustee of any plan of the Company, effective as of the date of this Agreement.
(b) Subject to Sections 2(g) and 2(h), Xxxxxx will continue as an employee of the Company from September 1, 2012 through November 30, 2013 (the “Employment Term”). Subject to Sections 2(g) and 2(h) or Xxxxxx’x death or Employment Disability, there shall be no cessation or interruption of Xxxxxx’x employment with the Company until November 30, 2013. During the Employment Term: so long as he is an employee of the Company, he will only perform the duties requested by the Chief Executive Officer of the Company, provided that such duties shall not exceed in scope those duties customarily performed by the Executive Vice President, Finance of the Company, and provided further that such duties shall be performed in a manner which strictly conforms to all policies, procedures and directives of the Board of Directors of the Company. The Employment Term shall terminate prior to November 30, 2013 upon the earlier death of Xxxxxx, or the Employment Disability of Xxxxxx, or as provided pursuant to Sections 2(g) or 2(h). For purposes herein, “Employment Disability” means Xxxxxx being subject to a physical or mental illness or condition that qualifies him to receive disability insurance benefits pursuant to Company disability insurance policies for eight (8) or more consecutive weeks. The date of any termination of the Employment Term prior to November 30, 2013, because of the death or Employment Disability of Xxxxxx is referred to herein as an “Early Termination Date.”
Transition of Duties. During the period beginning on June 3, 2024 and ending on the Separation Date (such period, the “Transition Period”), the Executive shall continue to serve as the Senior Vice President, Chief Revenue Officer of the Company or, at the election of the Company, as special advisor to the Company, in either case reporting to the Company’s Chief Executive Officer, and the Executive shall provide transitional assistance to the Company, including by assisting the Company in developing a transition plan, executing such plan, being available to answer the Company’s questions and assisting with any and all other matters reasonably requested by the Company (the “Transition Duties”). During the Transition Period, the Executive shall devote his best efforts and business time and attention to the performance of the Transition Duties; provided, however, that the Executive shall not be required to report to the Company’s offices to perform the Transition Duties or otherwise attend business meetings, unless requested by the Company with reasonable advance notice. Notwithstanding anything herein to the contrary, the Company may at any time prior to the Separation Date, terminate the employment or services of the Executive for Cause and in the event the Executive is so terminated, the Company’s obligations to provide any additional compensation or benefits under Sections 2 and 3 of this Agreement or otherwise shall immediately cease, except as required by applicable law.
Transition of Duties. Employee agrees that, for a period of six months from the Separation Date, he will cooperate with and reasonably assist Casey’s with the orderly transition of his duties and will be reasonably available to Casey’s and its representatives with regard to questions, inquiries and other details related to any matter, project, initiative or effort that Employee was involved with while employed by Casey’s or any Affiliated Entity.
Transition of Duties a. The Hereford desk will move to the Fort Worth dispatching center on or around April 17:
i. The incumbents (non-relief) will temporarily transition to Fort Worth on or around April 16, and will remain on their current assignments.
ii. The incumbents will be released on or around April 28, and can then displace any junior employee in Kansas City.
iii. After the incumbents are released, the position will be filled as a temporary vacancy. The parties agree that the position can be filled as a temporary vacancy for up to 120 days. The parties agree that the extension of the temporary vacancy period is non-referable and is based upon the specific circumstances arising from this consolidation.
iv. The incumbents who temporarily transition to Fort Worth will be compensated pursuant to the terms of the March 2, 2018 Traveling Dispatcher Agreement while temporarily working in Fort Worth.
b. The Hereford Split desk will move to the Fort Worth dispatching center on or around May 1:
i. The three incumbents (non-relief) will temporarily transition to Fort Worth on or around April 30, and will remain on their current assignments.
ii. The identified incumbents will be released on or around May 12, and can then displace any junior employee in Kansas City.
iii. After the incumbents are released, the position will be filled as a temporary vacancy. The parties agree that the position can be filled as a temporary vacancy for up to 120 days. The parties agree that the extension of the temporary vacancy period is non-referable and is based upon the specific circumstances arising from this consolidation.
iv. The incumbents who temporarily transition to Fort Worth will be compensated pursuant to the terms of the March 2, 2018 Traveling Dispatcher Agreement while temporarily working in Fort Worth.
c. BNSF Railway will provide dates for the transition of remaining desks under the following guidelines:
i. BNSF Railway will notify the General Chairman in advance of desk movement.
ii. Each desk will be transitioned over a 2-5 day period. The employees assigned to identified desks at the time of transition will begin their final move when the desk transitions. For example:
1. The Xxxxxx desk is identified to transition to Fort Worth on June 1. The positions will be worked out of Fort Worth beginning sometime between June 3 and June 6.
2. Kansas City dispatchers assigned to the Xxxxxx desk will begin the final move on June 1. These dispatchers will be available to work the Xxxxxx desk...
Transition of Duties. The duties normally associated with the office of the CEO will be transitioned to Xxxxxxx Xxxxxxxx, as co-CEO, promptly to allow him to fully assume the position while you are still available for consultation and support as requested by the Company’s Board of Directors (the “Board”) or Xxxxxxx and reasonably acceptable to you. This will also allow you to begin the farewell process with the many long-time employees, customers, and vendors without impeding the Company’s ability to make decisions and move forward with projects. The fact that Xxxxxxx has had responsibility for the Company’s operating performance for several years should make this a smooth transition.
Transition of Duties. The Employee shall not be released from his obligation to work until Termination Date and shall assist the Company until the Termination Date to allow for a smooth transition of his duties.
Transition of Duties. (a) Effective as of January 25, 2013, Xxxxxxx hereby resigns as an officer of the Company (including as Vice President, Chief Accounting Officer and Chief Compliance Officer), and as an officer and director of each subsidiary of the Company as well as, if applicable, from her position as a trustee of any plan of the Company, effective as of the Agreement Date. Effective as of February 2, 2013, Xxxxxxx also hereby resigns as an employee of the Company.
(b) Subject to Sections 2(e) and 2(f), Xxxxxxx will act as a consultant and independent contractor to the Company from February 3, 2012 through August 31, 2013 (the “Consulting Term”). Subject to Sections 2(e) and 2(f) or Xxxxxxx’x death or Disability, during the Consulting Term, Xxxxxxx will only perform the duties requested by the Chief Executive Officer of the Company, provided that such duties shall (i) not exceed in scope those duties customarily performed by the Vice President and Chief Accounting Officer of the Company, (ii) be performed as an independent contractor in a manner which strictly conforms to all policies, procedures and directives of the Board of Directors of the Company, (iii) include assisting with the succession of her duties to other individuals, and (iv) not require her to work more than 40 hours per calendar month. The Consulting Term shall terminate on August 31, 2013 or upon the earlier death or Disability of Xxxxxxx, or as provided pursuant to Section 2(f). For purposes herein, “Disability” means Xxxxxxx being subject to a physical or mental illness or condition that would qualify her to receive disability insurance benefits pursuant to Company disability insurance policies for eight (8) or more consecutive weeks if she was an employee of the Company.
