2.2 Subject to condition 2.3, you may:
2.2.1 install and use the Software only on the Personal Computer (provided that the Personal Computer remains in your ownership and control), e.g. for the off-line analysis of flow cytometry data, and only for your internal business purposes (or those of your employer) (Permitted Use); and
2.2.2 provided you comply with the provisions in condition 3, make a reasonable number of copies of the Software solely for backup purposes; and
2.2.3 use any Documentation in support of the Permitted Use and, provided you comply with the provisions in condition 3, you may make one copy of the Documentation as is reasonably necessary for its proper and lawful use.
2.3 If the licence granted under this Licence is an Evaluation Licence, as stated by us in writing, or if no Licence Fee is payable by you:
2.3.1 you may install and use the Software only on the Personal Computer (provided that the Personal Computer remains in your ownership and control), e.g. for the off-line analysis of flow cytometry data, and solely to evaluate the suitability of the Software for Licensee's business (Permitted Evaluation Use);
2.3.2 you must not make any copies of the Software or the Documentation;
2.3.3 the Licence may be terminated at any time by Licensor;
2.3.4 unless terminated earlier by us under condition 2.3.3, the Licence will automatically terminate on the expiry of 14 consecutive days from the date of installation (or such other period as we expressly agree in writing); and
2.3.5 you acknowledge that the Software provided for the Permitted Evaluation Use may not exhibit full functionality.
2.4 Any Licensee Data you enter into the during an Evaluation Licence will be permanently lost unless you purchase a Licence to use the Software, or export such data, before the expiry or termination of the Evaluation Licence.

1.1 Standard Support (Level 1 Support) is provided online via the Censornet website. Online Customer support for Censornet services is available Monday to Friday, 8.00 am to 5.00pm UK time (“Standard Support Hours”).

1.2 You may:
(a) download and install the non-hosted components of our USS Software and use such components for your internal business purposes only and only by the number of Users agreed between you and us, or between you and a Reseller, and in respect of whom you have paid Subscription Fees;
(b) use the hosted components of the USS Software via the Internet, again for your internal business purposes only and only by the number of Users agreed between you and us, or between you and a Reseller, and in respect of whom you have paid the Subscription Fees;
(c) provided you comply with the restrictions in Module A clause 4, make one copy of the non-hosted USS Software components for back-up purposes only.
GRANT AND SCOPE OF LICENCE. 3.1 In consideration of you paying your relevant licence subscription fees and agreeing to abide by the terms of this Licence, we hereby grant to you a non-exclusive, non-transferable licence to use The Service and the Documentation on the terms of this Licence until terminated in accordance with this Licence.
3.2 The NutriCalc Online Service is designed for and offered to businesses' and educational institutions for commercial and educational use only ("business use"). Our granting of the Licence to you is conditional upon you being a business or an educational institution and not a consumer. You warrant to us that for the duration of the Licence, you will at all times continue to be a business or educational institution and not a consumer. Your attention is drawn to the relevant termination provision in clause 9.1.
3.3 Your use of the The Service is restricted as follows:
3.3.1 You must use a unique, personal email address and not a group email address and you may not share login details.
3.3.2 You agree to keep the account details (user name, email address & physical/billing address) up to date at all times.
3.3.3 if your licence subscription is for a single seat then only the named user may use The Service and receive support; and
3.3.4 in all other cases, the maximum number of users and/or devices to have concurrent use of The Service is limited to the number of seats purchased and stated in your licence subscription account or confirmation (as supplemented and amended from time to time by agreement between the parties).
3.3.5 You may not use The Service to request support for any other NutriCalc product. The support and advice provided with The Service is offered only to named account and seat holders whilst using The Service. To ensure the confidentiality of data, support will not be given to any other person. In the event that The Service is abused and used for any other purpose or product, we reserve the right to cancel the subscription immediately, without refund and charge an appropriate fee for the service we have provided outside of this agreement.
3.3.6 Access to the account requires that there is a live, active card held on the account at all times unless you have a prior arrangement with NutriCalc Ltd to make payments by Bank transfer on an Annual Plan
GRANT AND SCOPE OF LICENCE. 2.1 In consideration of you agreeing to abide by these Terms, we grant you a non-transferable, non-exclusive licence to use the Platform, and access the Services, subject to these Terms and any terms imposed by the Brands (including the Brand’s Privacy Policy) you interact with. We reserve all other rights.
2.2 We reserve the right to modify or terminate any of the Services or your access to any Service for any reason, without notice, at any time, and without liability to you. Where reasonably practicable to do so, we may give prior notice of any material modifications or termination of the Services. You can also deactivate your user account at any point from your account settings.
2.3 Your licence to access and use the Services is personal to you and you are responsible for any activity that occurs through your user account. You agree you will not sell, transfer, license or assign your account, submissions, rewards, reward credits, loyalty points or any account rights (or attempt to do any of the same). With the exception of people or businesses that are expressly authorised to create accounts on behalf of their employers or clients, you agree that you will not create an account for anyone other than yourself. You also represent that all information you provide or provided to us upon registration and at all other times will be true, accurate, current and complete and you agree to update your information as necessary to maintain its truth and accuracy.
