In consideration of the payment of the applicable Charges by the Customer pursuant to Section 8.2, Nextlane grants the Customer (including its Authorized Users) a non- exclusive, non-transferable right to use the Software Product, for the Term, Quantities and Units set forth in the Quote and subject to any additional conditions and limits set forth in Product Specific Terms (if any).
Subject to the payment of Support and Maintenance Charges or Subscription Charges by Customer, Nextlane shall provide Authorized Users support service as further described in Support and Maintenance Terms and: (i) identify the causes of Incidents; (ii) provide and implement corrections; (iii) where applicable and if necessary, set up a workaround solution until the Incident is definitively corrected and (iv) make a Release available to the Customer during the Term of the Agreement.
The Subscription license including latest available Version will remain effective for an initial term of thirty-six (36) months (unless otherwise agreed by the Parties in the Quote) (the “Initial Term”) and thereafter for successive periods of 12 months (“Renewed Term”) unless either Party gives written Notice of termination to the other Party at least three (3) months prior to the expiry of the Initial Term or any Renewed Term.
Customer can adapt or modify the scope of the Subscription license by way of sending a Notice to Nextlane three (3) months prior to the expiry of the Initial Term or any Renewed Term thereafter, it being specified that such adaptation or modification does not result in the termination of the Agreement.
