(a) Participating Institutions and is not for the use of any other campus, college, university, library or entity of any kind. Any use of the SaaS Service by any other entity is strictly prohibited and is considered a material breach of the Subscription Agreement. For the sake of clarity, Participating Institution’s authorized users may access the SaaS Services from outside of Customer’s jurisdiction, but Customer shall ensure that it is entitled to transfer Customer Data and Personal Information from and to any such Customer user location and shall be responsible for compliance with privacy laws applicable to such transfers.
(b) Xxxx subscription for up to: (i) 1,437 Named Users (includes special increase of 287 beyond the priced Named Users of 1,150) for Xxxx (ii) thirty (30) users for each Xxxx Sandbox; (iii) 20,000,000 Bibliographic Titles (including e-books and local authority records) (includes special increase of 9,347,403 beyond the priced Bibliographic Titles of 10,652,597); and (iv) 1,149,466 Unique e-Journal Titles.
(c) A subscription to manage the following resource types in Xxxx: (i) Print; and (ii) Electronic.
(d) Primo subscription is for up to (i) 20,000,000 Primo Documents (ii) 495,503FTE's; and
Access and Use Restrictions. Customer shall not (directly or indirectly): (a) copy or reproduce the SaaS Products or the Documentation except as permitted under this Agreement; (b) exceed the subscribed quantities, users or other entitlement measures of the SaaS Products as set forth in the applicable Order; (c) remove or destroy any copyright, trademark or other proprietary marking or legends placed on or contained in the SaaS Products, Documentation or CyberArk Intellectual Property; (d) assign, sell, resell, sublicense, rent, lease, time-share, distribute or otherwise transfer the rights granted to Customer under this Agreement to any third party except as expressly set forth herein; (e) modify, reverse engineer or disassemble the SaaS Products; (f) except to the limited extent applicable laws specifically prohibit such restriction, decompile, attempt to derive the source code or underlying ideas or algorithms of any part of the SaaS Products, attempt to recreate the SaaS Products or use the SaaS Products for any competitive purpose; (g) create, translate or otherwise prepare derivative works based upon the SaaS Products, Documentation or CyberArk Intellectual Property; (h) interfere with or disrupt the integrity or performance of the SaaS Products; (i) attempt to gain unauthorized access to the SaaS Products or its related systems or networks, or perform unauthorized penetrating testing on the SaaS Products; (j) use the SaaS Products to infringe on the Intellectual Property rights, publicity rights, or privacy rights of any third party, or to store or transfer defamatory, trade libelous or otherwise unlawful data; or (k) send, store or process in the SaaS Products any personal health data, credit card data, personal financial data or other such sensitive regulated data not required by the Documentation, or any Customer Data that is subject to the International Traffic in Arms Regulations maintained by the United States Department of State. Customer’s authorized use of the SaaS Products is subject to the purchased quantities and features set forth in the applicable Order for the SaaS Products. Fees for the SaaS Products are based on use of the SaaS Products in a manner consistent with the Documentation. If Customer uses the SaaS products in a manner that is outside or in violation of the Documentation, then Customer will cooperate with CyberArk to address any applicable burden on the SaaS Products or pay an additional mutually agreed upon fee.
Access and Use Restrictions. Client shall not (directly or indirectly): (i) remove any notice of proprietary rights from the SaaS Products; (ii) modify or reverse engineer any part of the SaaS Products; (iii) except to the limited extent applicable laws specifically prohibit such restriction, decompile, attempt to derive the source code or underlying ideas or algorithms of any part of the SaaS Products, attempt to recreate the SaaS Products or use the SaaS Products for any competitive purpose; (iv) copy, modify, translate or otherwise create derivative works of any part of the SaaS Products; (v) sell, resell, encumber, rent, lease, time- share, distribute, transfer or otherwise use or exploit or make available any of the SaaS Products to or for the benefit of any third party; (vi) use the SaaS Products to infringe on the Intellectual Property rights, publicity rights, or privacy rights of any third party, or to store defamatory, trade libellous, or otherwise unlawful data; or

Neither Customer nor its Users will take any action or inaction that actually or attempts to: (a) interfere with, disrupt, diminish the quality of, or impair the performance or functionality of the Service; (b) circumvent, disable, or interfere with (i) security-related features of the Service, (ii) features that prevent or restrict use, access to, or copying of any data, or

(a) (i) reverse engineer, decompile, disassemble or otherwise attempt to discover or derive the source code or underlying ideas or algorithms of TrackWise Digital (unless and then only to the extent required to be permitted by applicable law); (ii) modify, copy, duplicate, translate, adapt or create derivative works of or based on TrackWise Digital or any portion thereof; (iii) rent, lease, license, sublicense, distribute, sell, resell, assign or otherwise transfer any rights to TrackWise Digital or any portion thereof; (iv) use or permit access to TrackWise Digital by any third party (other than Users as expressly permitted by this Agreement) or use TrackWise Digital for timesharing or service bureau purposes or otherwise for the benefit of a third party; (v) misappropriate TrackWise Digital or any portion thereof; (vi) access or use TrackWise Digital or information provided pursuant to any Services to create a competing product or service; (vii) perform or disclose any benchmark tests relating to TrackWise Digital; or (viii) remove, relocate, alter or obscure any trademark, copyright or other proprietary or restrictive marking or legend on TrackWise Digital or other materials delivered or made available by Sparta to Company;
(b) (i) violate the security of TrackWise Digital, including attempting to probe, scan or test the security or vulnerability thereof, or breach any security or authentication measures, or otherwise avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure; (ii) bypass or disable any protections that may be put in place against unlicensed use of TrackWise Digital, or otherwise gain access to or use any unauthorized portion of TrackWise Digital or gain unauthorized access to any related system, software, service or network or the data contained therein, or actually or effectively circumvent any contractual usage or other limit whether via automated means or otherwise; or (iii) use or access TrackWise Digital in any way that might interfere with, disrupt the integrity of or adversely affect the security, stability, performance or functions of TrackWise Digital;
(c) send automated queries of any kind to TrackWise Digital, including using any software that sends queries to TrackWise Digital to determine how a website or web page “ranks” for various ...
Access and Use Restrictions. The User shall comply with all applicable laws, including export control and data privacy laws. The User shall not: (i) execute or attempt to execute any malware in the Software or use or attempt to use the Software to transmit malware; (ii) use the Software to store or distribute any information, material or data that is harassing, threatening, infringing, libelous, unlawful, obscene, or which violates the rights of any third party; (iii) access or use the Software to compete against Camunda or to build a competitive product or service; (iv) use the Software for purposes of monitoring performance or functionality (for example via penetration testing) or for any other benchmarking or competitive purposes, including, without limitation, for the purpose of designing and/or developing any competitive services; (v) except as expressly permitted herein, provide access to the Software by making User’s Trial Edition Account available to any third party; (vi) sell, resell, rent, lease, lend, offer, commercially exploit any time sharing arrangement, service bureau or any service based upon the Software; (vii) interfere with or disrupt the integrity, security or performance of the Software or third party data contained therein; (viii) attempt to gain unauthorized access to the Software or any associated systems or networks; (ix) modify, make derivative works of, disassemble, decompile or reverse engineer the Software or any component thereof; (x) use the Software in a production environment or on any deployed system, including without limitation commercial, for-profit, or publicly accessible systems or for commercial or revenue-generating purposes; or (xi) perform or attempt to perform any actions that would prevent the use of the Software by Camunda’s other licensees, users or customers. All of the Documentation provided to User pursuant to this Agreement is copyrighted by Camunda and Camunda retains all rights in the Documentation not expressly granted to User.

Access and Use Restrictions. 4.1 The Vendor hereby grants you the right to access Bezala and use the Service, subject to your compliance with these Terms always, including timely payment of all applicable fees. 4.3 Without limiting the generality of the foregoing, you will not, will not attempt to, and will not permit or encourage any third party to:
a) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain improper access to any software component of the Service, in whole or in part;
b) modify or create derivative works of the Service, in whole or in part;
c) use the Service in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party;
d) interfere with or disrupt the integrity of the Service or any content or data contained therein or transmitted thereby;
e) access, monitor, or copy any content, information or processes of the Service using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission;
f) violate the restrictions in any robot exclusion headers on the Service or bypass or circumvent other measures employed to prevent or limit access to the Service;
g) take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
h) “frame”, “mirror”, sell, resell license or sublicense, rent, or lease any portion of the Service or otherwise incorporate any part of the Service into any other website without our prior written authorization;
i) input any virus, malware, or other harmful code into the Service;

Access and Use Restrictions. Access and use by Subscriber and its Users of TrackWise Digital and Subscriber Data are subject to the terms of this Agreement, the Order Forms and the Documentation, including, without limitation, the following terms:
(a) Subscriber may not (and may not permit others to) gain access, attempt to gain access, by any means, to any unauthorized portion of TrackWise Digital, or circumvent any contractual usage limit.
(b) Subscriber may not (and may not permit others to), directly or indirectly: (i) reverse engineer or otherwise attempt to discover the source code or underlying ideas or algorithms of TrackWise Digital (unless and only to the extent permitted by applicable law); (ii) modify, copy, translate, or create derivative works based on TrackWise Digital; (iii) rent, lease, license, distribute, sell, assign or otherwise transfer rights to TrackWise Digital; (iv) use TrackWise Digital for timesharing or service bureau purposes or otherwise for the benefit of a party (except Users, as expressly permitted in this Agreement); or (v) misappropriate any of Sparta’s software, technology or other services or use TrackWise Digital or any Consulting Service to, or permit, enable or assist a third party to, create a competing product or service.
(c) Subscriber may not (and may not permit others to) use or attempt to use TrackWise Digital to obtain electronic data or other information except as authorized under this Agreement.
(d) Subscriber may not (and may not permit others to) bypass or disable any protections that may be put in place against unlicensed use of TrackWise Digital, or use or access TrackWise Digital or any Consulting Services or any Confidential Information of Sparta or third-parties in any way that might adversely affect the security, stability, performance or functions of TrackWise Digital, including by introducing any malware into TrackWise Digital or any part of TrackWise Digital.
(e) Subscriber may not (and may not permit others to) use the Org that is provisioned by Sparta for any purpose other than exclusively using TrackWise Digital, and may not increase the number of custom objects within the Org other than those included in TrackWise Digital.
(f) Subscriber may not (and may not permit others to) access, distribute or use any customer relationship management functionality of the SFDC Service.
Access and Use Restrictions. Access and use of Stratas Quality Management, Subscription Care Support Services, Consulting Services and Subscriber Content are subject to the terms of these General Terms, the Order Form, the SOW (if applicable) and the Documentation. Subscriber shall comply with the following:
A. Subscriber shall not use or access Stratas Quality Management or any Consulting Services or any Confidential Information of Sparta or third-parties in any way that might adversely affect the security, stability, performance or functions of Stratas Quality Management, including by introducing any Malware into Stratas Quality Management or any System.
B. Subscriber shall not gain access, or attempt to gain access, by any means, to any unauthorized portion of Stratas Quality Management, the Consulting Services or any System or to any other system, website, software, material or database offered by Sparta with respect to which Subscriber is not granted a license or right pursuant to any Order Form or SOW. Subscriber shall not take any actions to circumvent any limit on the number of Authorized Users permitted under the Agreement.
C. Subscriber shall not (and shall not permit others to), directly or indirectly: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying ideas or algorithms of Stratas Quality Management or any Consulting Service or System; (ii) copy, modify or translate, or prepare derivative works based upon Stratas Quality Management or any Consulting Service or System; (iii) rent, lease, distribute, sell, assign or otherwise transfer rights to Stratas Quality Management or any Consulting Service or System; (iv) use Stratas Quality Management or any Consulting Service or System for timesharing or service bureau purposes or otherwise for the benefit of any third party; (v) remove any Sparta notices from Stratas Quality Management or any Consulting Service or System; or (vi) misappropriate any of Sparta’s software, technology or other services or use Stratas Quality Management or any Consulting Service or System to, or permit, enable or assist a third party to, create a competing product or service.
D. Subscriber shall not use or attempt to use Stratas Quality Management or any Consulting Service or System to obtain electronic data or other information except as authorized under the Agreement.
