Common Interest Forum. 8.1 The Company and the Union share a mutual commitment to the achievement of strategic and revenue growth objectives consistent with the Dex One Service, Inc. Strategic Plan and the interests of the employees. A Common Interest Forum will be established for the following purposes: Providing a framework for early communication and discussion between the parties on business developments of mutual interest and concern to the parties and their constituencies; Providing a forum for feedback on existing sales policy and to promote an understanding of sales policies and their application (Note: Sales Policy will be a standing agenda item for each Common Interest Forum meeting); Discussing and reviewing innovative approaches to enhance the competitiveness of the Company and thereby improving employment opportunities; Discussing problems and concerns associated with health and safety, the needs of work and family life, and training and educational opportunities; Improving understanding and relationships between the parties and avoiding unnecessary disputes by cooperatively addressing significant changes and developments in the Union or Company environment. Discussing health care cost containment initiatives (e.g. benefit enrollment roll- outs, wellness programs) that can benefit the Company and the employee by providing quality care and reasonable access while containing costs. This meeting will be held after benefit vendor selection but prior to benefit enrollment. Equal numbers of key Management and Union persons shall constitute the forum. Meetings will be convened by the parties at mutually agreeable places and times. Otherwise, the members of the forum shall determine its composition, structure, agendas, and operation. The forum shall meet from time to time as mutually agreed, but no less than twice a year, which meetings are planned for January and June unless otherwise agreed by the parties. It is the intent that such forum supports, but does not replace, the collective bargaining process and the established contractual conflict resolution procedures.
Common Interest Forum. The Companies, the CWA and the IBEW mutually believe that it would be beneficial for the parties to engage in periodic discussions regarding the state of the business and workplace issues of mutual concern. Accordingly, as a result of the 2011 negotiations, the Companies and the unions will establish a separate Common Interest Forum (“CIF”) for Pennsylvania/Delaware Commercial, Pennsylvania/Delaware Plant, New Jersey CWA, New Jersey IBEW and the Potomac region to facilitate such discussions. The Pennsylvania/Delaware Commercial CIF will consist of no more than ten union and ten management representatives. The Pennsylvania/Delaware Plant CIF will consist of no more than ten union representatives and ten management representatives. The New Jersey CWA CIF will consist of no more than eight CWA representatives and no more than eight management representatives. The New Jersey IBEW CIF will consist of no more than six IBEW representatives and six management representatives. The Potomac CIF will consist of no more than six union representatives and six management representatives. The unions’ representatives will be selected by the unions in their sole discretion. A CWA National Union representative, or the designee of the IBEW Business Manager/President, will attend meetings, but will not be counted against the allotment of union representatives. The management representatives will be selected by the Companies in their sole discretion, but will include at least one Labor Relations Director, one Vice President with responsibility for operations and one Director with responsibility for operations. The CIF will meet twice a year, at mutually agreeable times and places. The parties will set an agenda in advance of each meeting. Common Interest Forum. (a) A Common Interest Forum shall be created which will meet at least quarterly, to consider methods of improving working conditions, productivity and cost saving procedures. This committee will also be used as a clearing house for the exchange of information between the employer and the Union regarding planned actions or changes and their effects on represented employees, and as a forum to seek mutually acceptable ways of implementation, which enhance the employer’s ability to grow, improve client service, and improve its competitiveness.
Common Interest Forum a. Establishment The parties agree to establish a Common Interest Forum for the purpose of ensuring communications between staff and management, to discuss and review ideas, and to avoid unnecessary disputes. The Common Interest Forum shall consist of three members of management appointed by the Library Director and three members of the bargaining unit appointed by the Union President. The members of the Forum shall determine its structure, agenda and methods of operation.

Common Interest Forum. Section 10.1 The Company and Union will make provisions for a common interest forum to facilitate discussion regarding business developments of mutual interest and concern. The Union and the Company will designate their respective representatives for the forum. Meetings will be held periodically, no less than annually, at mutually agreeable places and times. The forum may appoint other committees as needed to work on special issues.

  • Governing Law; Forum This Agreement and all disputes or controversies arising out of or relating to this Agreement shall be governed by, and construed in accordance with, the internal laws of the State of Delaware, without regard to principles of conflicts of laws. Each Holder agrees that it shall bring any litigation with respect to any claim arising out of or related to this Agreement, exclusively in the Delaware Court of Chancery (and if jurisdiction in the Delaware Court of Chancery shall be unavailable, the state and federal courts in the State of Delaware) (together with the appellate courts thereof, the “Chosen Courts”). In connection with any claim arising out of or related to this Agreement, each Holder hereby irrevocably and unconditionally (i) submits to the exclusive jurisdiction of the Chosen Courts, (ii) waives any objection that such Person may now or hereafter have to the laying of venue of any action or proceeding arising out of or relating to this Agreement in the Chosen Courts, (iii) waives any objection that the Chosen Courts are an inconvenient forum or as not having jurisdiction over either the Corporation or the Holder, (iv) agrees that service of process in any such action or proceeding shall be effective if notice is given in accordance with Section 5(d), although nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law and (v) agrees not to seek a transfer of venue on the basis that another forum is more convenient. Notwithstanding anything herein to the contrary, (A) nothing in this Section 5(e) shall prohibit any party from seeking or obtaining orders for conservatory or interim relief from any court of competent jurisdiction and (B) each Holder agrees that any judgment issued by a Chosen Court may be recognized, recorded, registered or enforced in any jurisdiction in the world and waives any and all objections or defenses to the recognition, recording, registration or enforcement of such judgment in any such jurisdiction.

  • Governing Law; Forum Selection This contract is governed by the laws of the State of Alaska. To the extent not otherwise governed by Article 3 of this Appendix, any claim concerning this contract shall be brought only in the Superior Court of the State of Alaska and not elsewhere.

  • APPLICABLE LAW, FORUM, VENUE AND JURISDICTION (a) This Agreement shall be construed in accordance with and governed by the laws of the State of Delaware, without regard to the principles of conflicts of law.

  • Law, Jurisdiction, Venue, Waiver of Jury Trial This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. All parties acknowledge and accept that jurisdiction of any controversies or legal problems arising out of this Agreement, and any action involving the enforcement or interpretation of any rights hereunder, shall be exclusively in the state courts of the Seventeenth Judicial Circuit in Broward County, Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or other jurisdictional device. BY ENTERING INTO THIS AGREEMENT, PURCHASER AND COUNTY HEREBY EXPRESSLY WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL LITIGATION RELATED TO THIS AGREEMENT. IF A PARTY FAILS TO WITHDRAW A REQUEST FOR A JURY TRIAL IN A LAWSUIT ARISING OUT OF THIS AGREEMENT AFTER WRITTEN NOTICE BY THE OTHER PARTY OF VIOLATION OF THIS SECTION, THE PARTY MAKING THE REQUEST FOR JURY TRIAL SHALL BE LIABLE FOR THE REASONABLE ATTORNEYS' FEES AND COSTS OF THE OTHER PARTY IN CONTESTING THE REQUEST FOR JURY TRIAL, AND SUCH AMOUNTS SHALL BE AWARDED BY THE COURT IN ADJUDICATING THE MOTION.

  • Choice of Forum 1. Where a dispute arises under this Agreement and under another free trade agreement to which both Parties are parties or the WTO Agreement, the complaining Party may select the forum to settle the dispute. 2. Once the complaining Party has requested a Panel under other agreements referred to in paragraph 1, the forum selected shall be used to the exclusion of the others in respect of that matter.
