CRIMINAL BACKGROUND INVESTIGATION. If Contractor employees and agents will be on the VCU campus, or have access to protected data as defined herein, Contractor must comply with the following: Contractor shall ensure that its employees, full-time or part-time, including newly hired, re-hired, seasonal, and/or temporary, who may have access to VCU confidential or proprietary information, or data about VCU personnel or students, have passed a criminal background check pursuant to the Code of Virginia, § 2.2-1201. 1. CRIMINAL BACKGROUND INVESTIGATION. The Contractor shall complete criminal background investigations required by §§ 5-560 through 5-568, Family Law Article, Annotated Code of Maryland and any applicable Department of Human Resources’ regulations or policies.

Contractor represents and warrants that Contractor shall refrain from assigning personnel to any task under this Contract if such investigation reveals a disregard for the law or other background that indicates an unacceptable security risk as determined by the State. The Contractor’s employees, agents and subcontractors may be granted access to state computers, hardware, software, programs and/or information technology infrastructure or operations to the extent necessary to carry out the Contractor's responsibilities under the Contract. Such access may be terminated at the sole discretion of the State. The Contractor shall provide immediate notice to Department of any employees, agents and/or subcontractors suspected of abusing or misusing such access privilege. The Contractor represents and warrants that Contractor shall provide notice to Department of the changed status of any employee, agent or subcontractor granted access to state computers, hardware, software, programs and/or information technology infrastructure or operations, including, but not limited to, termination or change of the position or Contract relationship.

CRIMINAL BACKGROUND INVESTIGATION. The Board is prohibited from knowingly employing a person who is convicted of committing or attempting to commit certain criminal offenses. In the event it is learned that there has been a prohibited conviction, this contract shall immediately become null and void.
CRIMINAL BACKGROUND INVESTIGATION. Ultimus will, at a minimum, for each Ultimus personnel and subcontractor personnel: a. Have a third-party criminal background investigation performed which includes the county/parish, state, and federal jurisdictions (including a National Criminal Database Search) where Ultimus personnel and subcontractor personnel have resided at any time during the last seven (7) years and are currently employed; b. Verify Ultimus personnel and subcontractor personnel are not listed on any US Department of Homeland Security or US Federal Sanction and Exclusions lists; and c. Require Ultimus personnel and subcontractor personnel to self-disclose, without limitation to time or jurisdiction as permitted by applicable law, whether they have been convicted of any felony or criminal offense involving dishonesty, a breach of trust, or money laundering or have participated in a pre-trial diversion program with respect to such offense. In no event, without the prior written approval of the Trust, should any person who has been convicted of any criminal offense involving dishonesty, a breach of trust, money laundering, or any sex crime, or who is listed on any US Department of Homeland Security or US Federal Sanction and Exclusions list, be allowed Special Access. This California Consumer Privacy Act & California Privacy Rights Act Addendum (“Addendum”) forms part of the Agreement (the “Agreement”) between Ultimus Fund Solutions, LLC (“Ultimus”), and Texas Capital Funds Trust (the “Trust”), pursuant to which Ultimus provides the Services (as defined in the Agreement) to the Trust. The parties acknowledge and agree that Xxxxxxx is a service provider for the purposes of the California Consumer Privacy Act (“CCPA”) and the California Privacy Rights Act (“CPRA”) and may receive personal information from the Trust pursuant to the Agreement entered between the Parties, for a business purpose. Ultimus shall: (1) not sell or share any such personal information (2) not retain, use, or disclose any personal information provided by the Trust pursuant to the Agreement except as necessary for the limited and specific purpose of performing the Services for the Trust pursuant to the Agreement, or otherwise as set forth in the Agreement or as permitted by the CCPA & CPRA (3) not retain, use, or disclose the personal information outside of the direct business relationship between Xxxxxxx and the Trust (4) not combine the personal information received from, or on behalf of, the Trust with personal ...
