Customer Reviews. Customer shall be entitled to carry out at its own expense information security reviews of DST in the performance of its obligations under this Agreement (“Reviews”). Such Reviews may be carried out semi-annually, at the request of Customer, upon prior notice to DST and during DST’s normal business hours. The scope of the Reviews shall be limited to a physical on site visit, a review with DST of Allstate’s Information Security Questionnaire and any successor to that document as well as the DSTISS being utilized for the protection of the Customer Confidential Information. Reviews shall also include Customer’s on-site access to documentation relating to DST’s security procedures, detailed reports reflecting activity with respect to the Customer Confidential Information on the primary data storage system, executive summaries of external penetration tests and network scans, and application and hardware configuration settings. The results of such Review shall be subject to the confidentiality provisions of this Agreement. The Review shall not include access to DST’s network. DST agrees to schedule Reviews if at all possible within five (5) business days, but no more than fifteen (15) business days, after receipt of written request from Customer. Reviews carried out pursuant to this Section shall be conducted by Customer or its designee (which must be a nationally known firm experienced in such Reviews). Customer will obtain DST’s agreement as to the firm selected; however, such agreement shall not be unreasonably withheld and such firm shall execute a mutually agreed upon confidentiality and non-use agreement with DST. All Reviews will be coordinated through DST’s internal audit office. Customer will only use reasonable procedures in performing Reviews under this subsection, and shall not perform any action during an Review that may interfere with the uptime, stability or smooth and efficient operation of DST’s facilities or business.
Customer Reviews. 3.1 The Customer DR Plans under this Agreement will be the most recently dated Customer DR Plans as of May 1, 2019. For any new Service Locations from which Provider will deliver Services, Provider will have an appropriate Provider DR Plan in place prior to the Effective Date relating to such Service Locations. If a Provider DR Plan relates to a location used only for providing services to Customer, the Provider DR Plans for such location (“Dedicated Provider DR Plans”) will also be submitted for approval.
3.2 Provider will take into account any reasonable comments made by any member of Customer Group regarding Dedicated Provider DR Plans, but the Parties acknowledge that Provider ultimately retains control of the content of its DR Plans subject to Section 3.4 hereof and Provider’s adherence to the minimum requirements set forth in this Schedule.
3.3 The obligations of Provider under this Schedule do not affect Provider’s other obligations under this Agreement (including its obligations as part of the Services), except that no obligation of Provider under this Agreement will be suspended under Section 10.2 (Force Majeure) or excused under Section 3.19 (Excuse from Performance) of the main body of this Agreement if Provider would have been able to perform that obligation had it performed its obligations under this Schedule. Notwithstanding Section 3.2, if Provider chooses not to implement any changes to its Provider DR Plans despite comments by members of Customer Group to the effect that changes to its Provider DR Plans may be required, Provider will not be excused under Section 10.2 (Force Majeure) or under Section 3.19 (Excuse from Performance) of the main body of this Agreement or any other provision of this Agreement from any failure to perform any of its obligations under this Agreement by reason of the occurrence or continuation of an event or circumstances, the consequences of which would have been avoided had Provider implemented such changes. Customer Reviews. The Buyer shall have been provided access to and be satisfied with the results of its review of the major customers of the Business.
Customer Reviews. CureMD shall solicit feedback from Customers who use the Services (“Reviews”), and CureMD may, in its sole discretion, make these Reviews available through posting on the Site and/or third party sites in accordance with the terms of use governing such websites. CureMD shall have no obligation to (i) validate Reviews for veracity, accuracy or content, or (ii) remove any Reviews.
