Customer Users. The Products and Services are provided on a per-seat, subscription basis. Customers are responsible for managing the creation, modification, and revoking of access of their users. The Customer is solely responsible for the management of access to the Products and Services of their users. The concurrent number of Active Users receiving access may not exceed the purchased number of Seats. If the number of Active Users exceed the purchased number of Seats, Customer is obligated to either pay for any Seats that surpass the purchased amount or immediately reduce its number of Active Users. Customer is not permitted to freely re-assign Seats to Users. KnowBe4 prohibits cycling of Seats amongst Customer’s personnel. If an Active User’s account is terminated or removed, that User’s Seat license is no longer considered in use and may be allocated to another User upon written approval by KnowBe4. Notwithstanding the foregoing, KnowBe4’s approval is not required in the instance an Active User’s account is terminated or removed due to Customer’s termination of that Active User’s employment, or otherwise for termination of contract with that Active User, to account for Customer’s normal attrition in workforce. Upon request by KnowBe4, Customer agrees to provide KnowBe4 with a certification of such compliance. KnowBe4 reserves the right to audit Customer’s compliance with this Section. Additional Seats may be added mid-subscription term and such additional Seats will be co-pending with the then-current subscription term and will terminate on the same date. Add-ons for more Seats mid-term will be priced at the same volume/level discount purchased under the applicable co-pending Quote and will be valid only until the end of such co-pending subscription term. Upon renewal, new rates may apply.
Customer Users. The Products are provided on a per-seat basis. The concurrent amount of Users cannot exceed the purchased number of Seats by more than 10%. If Customer’s Users exceed the purchased number of Seats by more than 10%, the Customer is obligated to pay for any Seats that surpass the purchased amount. If a User’s account is terminated or removed, that User’s Seat license is no longer considered in use and may be allocated to another User upon approval by KnowBe4. In the event that the Customer adds on more Seats during a term, the new Seats will be priced at the same volume level/discount that the initial Seats purchased during the that term were purchased for and will be valid only until the end of the specified term for the applicable Quote. Upon renewal of the applicable Quote term, new rates may apply.
Customer Users. Under the rights granted to Company in this Agreement, Company may permit Customer Users to access and use the Services as part of Customers’ use of the Company’s services in accordance with this Agreement; provided that Company shall be fully responsible for Customer Users’ compliance with the applicable User requirements of this Agreement. Company shall not and shall not permit any Customer Users to use the Services except as expressly permitted under this Agreement.
Customer Users. Customer shall ensure that all Customer Clients and Customer Users comply with the terms and conditions of this Agreement and the Platform Terms. Customer shall be responsible for compliance with this Agreement and the Platform Terms by each Customer Client and Customer User and it shall monitor and manage all Customer Clients and Customer Users in connection with this Agreement.

(A) System Administrators;
(B) System Advisors;
(C) Content Managers.

Customer Users. 6.1 The Customer must appoint at least one Administrator who shall have the authority to appoint and remove Customer Users for the purposes of access to SPEAR. An Administrator must be appointed and may be removed by the Customer by notice to the Department in accordance with the User Manual. If an Administrator is not appointed, the Chief Executive of the Customer (by whatever title that position is known) shall be the Administrator. The actions of the Administrator are binding upon the Customer.
6.2 The Customer through the Administrator may appoint Customer Users in accordance with the User Manual. The Customer through the Administrator is fully and solely responsible for validating the identity of Customer Users. It is the sole responsibility of the Customer (and not of the Department) to monitor the use of any Access Method used to access SPEAR and to grant or deny access to SPEAR for Customer Users.
6.3 The Administrator or the Department (as appropriate) will issue each Customer User with an appropriate Access Method which will be unique to that Customer User. The Customer and Customer User must keep all components of all Access Methods secure and not more than one person may use an allocated Access Method. If the security of the Access Method is compromised in any way, or is suspected of having been compromised, the Customer must immediately stop the use of such Access Method and must immediately notify the Department.
6.4 The Department may take any action including cancelling or suspending an Access Method at any time without notice if the Department believes, on reasonable grounds, that the Access Method is being misused or has been compromised. The Customer may cancel any Access Method by requesting the Department, in writing, to cancel it.
6.5 The Department is authorised by the Customer to act upon all instructions communicated through SPEAR by a Customer User or the Administrator.
6.6 The Customer User shall have authority to sign documents, to enter data and to have access to SPEAR on behalf of the Customer and the actions of the Customer User and the Administrator shall be binding actions of the Customer. The Customer must use its reasonable endeavours to ensure that each Customer User provides complete and accurate responses to all requests for information made during an application process including with respect to the identity of the Customer User.
Customer Users. Customer is responsible for granting permissions to its personnel (each an “End User”) to use the Application and for controlling the access of its End Users to the Application. Between Customer and YCU, Customer is responsible for the use of and access to the Application by all End Users, and for all acts and omissions of End Users related thereto.
Customer Users. Members of the municipal department that use the Cloudpermit SaaS as one (or more) of the following role(s): Administrators, Customer Service Representatives (CSR), Plans Reviewers, Dispatchers, Inspectors, Reporting Users, Cashiers etc. Cloudpermit Customer Support: Service Provider’s Customer Success Specialist(s) Cloudpermit Technical Support: Service Provider’s technical specialists who develop and
