Customer Users Sample Clauses

Customer Users. The Products and Services are provided on a per-seat, subscription basis. Customers are responsible for managing the creation, modification, and revoking of access of their users. The Customer is solely responsible for the management of access to the Products and Services of their users. The concurrent number of Active Users receiving access may not exceed the purchased number of Seats. If the number of Active Users exceed the purchased number of Seats, Customer is obligated to either pay for any Seats that surpass the purchased amount or immediately reduce its number of Active Users. Customer is not permitted to freely re-assign Seats to Users. KnowBe4 prohibits cycling of Seats amongst Customer’s personnel. If an Active User’s account is terminated or removed, that User’s Seat license is no longer considered in use and may be allocated to another User upon written approval by KnowBe4. Notwithstanding the foregoing, KnowBe4’s approval is not required in the instance an Active User’s account is terminated or removed due to Customer’s termination of that Active User’s employment, or otherwise for termination of contract with that Active User, to account for Customer’s normal attrition in workforce. Upon request by KnowBe4, Customer agrees to provide KnowBe4 with a certification of such compliance. KnowBe4 reserves the right to audit Customer’s compliance with this Section. Additional Seats may be added mid-subscription term and such additional Seats will be co-pending with the then-current subscription term and will terminate on the same date. Add-ons for more Seats mid-term will be priced at the same volume/level discount purchased under the applicable co-pending Quote and will be valid only until the end of such co-pending subscription term. Upon renewal, new rates may apply.
Customer UsersThe Products are provided on a per-seat basis. The concurrent amount of Users cannot exceed the purchased number of Seats by more than 10%. If Customer’s Users exceed the purchased number of Seats by more than 10%, the Customer is obligated to pay for any Seats that surpass the purchased amount. If a User’s account is terminated or removed, that User’s Seat license is no longer considered in use and may be allocated to another User upon approval by KnowBe4. In the event that the Customer adds on more Seats during a term, the new Seats will be priced at the same volume level/discount that the initial Seats purchased during the that term were purchased for and will be valid only until the end of the specified term for the applicable Quote. Upon renewal of the applicable Quote term, new rates may apply.
Customer Users. Under the rights granted to Company in this Agreement, Company may permit Customer Users to access and use the Services as part of Customers’ use of the Company’s services in accordance with this Agreement; provided that Company shall be fully responsible for Customer Users’ compliance with the applicable User requirements of this Agreement. Company shall not and shall not permit any Customer Users to use the Services except as expressly permitted under this Agreement.
Customer UsersCustomer shall ensure that all Customer Clients and Customer Users comply with the terms and conditions of this Agreement and the Platform Terms. Customer shall be responsible for compliance with this Agreement and the Platform Terms by each Customer Client and Customer User and it shall monitor and manage all Customer Clients and Customer Users in connection with this Agreement.

Customers (through their Account Owners or other designated administrators) are responsible for managing the creation, modification, revoking, and management of access to the Services by their Active Users via the Web Portal or such other method as established by Right Networks from time to time.
Customer Users. (a) Log in (i) The system provides different levels of access; (A) System Administrators; (B) System Advisors; (C) Content Managers. (ii) Log in page is for users to log in securely.
Customer Users. The applicable Service may permit Customer to enable its faculty, administrators, consultants, students and guardians to access and use one or more (May 1, 2019) modules or features of that Service, in which case those faculty, administrators, consultants, and (if applicable) students and guardians are referred to as “Customer Users.” Customer Users may be required to agree to or accept (including electronically) end user terms applicable to the relevant Service before accessing or using the Services (the “Customer User Terms”). Customer is solely responsible for determining and assigning access levels and authority to the Services to Customer Users and for all use of the Services by those Customer Users. Customer is responsible for the actions of all Customer Users and other Customer employees and agents, for ensuring that only Customer Users are provided access to the Services (including ensuring security of usernames, passwords and related information, collectively, “Access Credentials”), and that access of Customer Users is limited to that portion of the Services as is reasonably necessary in order to fulfill the purposes of the Agreement. Customer will not permit the sharing of Access Credentials by its Customer Users and will notify Xxxxxx immediately if its Access Credentials are compromised. Xxxxxx will not have any liability to Customer or any third party for any Customer User’s or other Customer employee’s or Customer agent’s use or misuse of the Services.
Customer Users. “Customer” within the Agreement shall mean the Government Customer entity itself and shall not apply to or bind any individual User. Smartsheet will look solely to Government Customer to enforce the Agreement and this Supplement in the event of any violation or breach of the Agreement or this Supplement by such User, subject to applicable laws.

Customer Users a. The terms and conditions of this License Agreement shall apply to all Users. Access to and use of the Licensed Products by any other third party is not permitted. If requested by BBNA, Customer will identify to BBNA, in writing, the names and addresses of each such User. b. The term “User(s)” shall include full-time and part-time, current, or visiting members of the faculty, library staff and currently enrolled students, who are permitted to access the Customer’s secure computer network system (“Network”), regardless of physical location of such person(s), provided that use is solely for academic purposes. Authorized Users shall also include other persons, e.g., walk-ins, who are permitted to use the Customer’s library and access the Network from computer terminals located on the library premises. If Customer is unable to limit access to Users (e.g., if its Network is integrated with the university’s network), it will take any and all steps necessary to minimize the risk of unauthorized access. c. All access to and use of the Licensed Products shall be subject to the terms of this License Agreement. Customer shall notify all Users of the terms of this License Agreement through either a “click-through” license that appears online each time the Licensed Products are accessed, or other means that will notify Users that use is subject to the terms of this License Agreement. Customer agrees to notify BBNA promptly in writing of any known or suspected unauthorized use of the Licensed Products or breach of security, including but not limited to loss, theft, or unauthorized disclosure of User names and passwords. d. If applicable, the number of Users and/or locations must not exceed the maximum number of users and/locations specified on the Order Form.
