Distributor Personnel. DISTRIBUTOR will train and maintain a sufficient number of capable technical and sales personnel, minimum of one full-time employee, having the knowledge and training necessary to: (i) inform potential Resellers properly concerning the features and capabilities of the Products and, if necessary, competitive products; (ii) service and support the Products in accordance with DISTRIBUTOR's obligations under this Agreement; and (iii) otherwise carry out the obligations and responsibilities of DISTRIBUTOR under this agreement.

Distributor Personnel. AltiGen will provide mutually agreed upon levels of training for Distributor's sales and technical personnel. Distributor shall train and maintain a sufficient number of capable technical and sales personnel to serve the demands of Dealers for the Products, for service and support of the Products, call on all Dealers with reasonable frequency and answer promptly all Dealer inquiries or requests for information regarding the Products. Distributor and its staff shall develop and maintain sufficient knowledge of the industry, the Products, and competitive offerings (including specifications, features, and functions) so as to be able to demonstrate and support the Products for Dealers. Distributor shall provide all Dealers with technical support and other assistance appropriate for the promotion, marketing, and distribution of the Products. Distributor shall attend AltiGen distribution meetings.
Distributor Personnel. Distributor will provide a dedicated team of representatives to deal with customers. Distributor will be responsible for ensuring that all personnel dealing with customers are properly trained to perform their duties in accordance with Applicable Law. MDCO and Distributor will work together to develop an orientation program and training materials for Distributor personnel to use upon request from Distributor.

Distributor and its staff will have a reasonable understanding of the specifications, features and benefits of the Company Products and similar products in general, and will develop sufficient knowledge of the industry, of Company Products and of products competitive with Company Products (including specifications, features and benefits) so as to be able to explain in detail to its customers the differences between Company Products and competitive products. Meetings and Trade Show Attendance. Distributor will at its expense: (i) attend, and aggressively promote Company Products in, such trade shows, conventions and exhibits as Company reasonably requests; and (ii) attend any sales meetings held by Company to which Company invites Distributor with reasonable notice, including at least one annual business planning meeting with a Company regional manager. Distributor Financial Condition. Distributor will maintain and employ in connection with Distributor’s business under this Agreement such working capital and net worth as may be required in Company’ reasonable opinion to enable Distributor to carry out and perform all of Distributor’s obligations and responsibilities under this Agreement. Distributor will furnish unaudited semi-annual financial statements and audited annual financial statements based upon the annual tax declaration and confirmed by a tax counselor to the Company, as well as such other financial reports and data as Company may reasonably request from time to time as necessary to determine Distributor’s financial condition.

Distributor and Calypte will cooperate with respect to training of Distributor's technical and sales personnel concerning Calypte Products, including subsequent agreement by us in writing, as an amendment to this Agreement, as necessary, as to the nature of training, the amount of training time, and which of us will pay for travel and living expenses for training Distributor personnel.
