DUTIES OF FRANCHISOR. 3.1 In order to assist Franchisee in the establishment of the Conversion Center and during the operation of the Conversion Center, the Franchisor shall be obligated to perform the following duties on behalf of the Franchisee: A. Provide a pre-Conversion training program at Franchisor's training facilities for Franchisee at no cost to Franchisee. Franchisor may, in its sole discretion, make additional training programs, workshops, and/or seminars available to Franchisee and to Franchisee's personnel as the Franchisor deems appropriate. All training provided by the Franchisor shall be subject to the terms set forth in Section 5.2 of this Agreement, and shall be at such times and places as may be designated by the Franchisor (except for on-site training). B. Provide telephonic consultation and advisory assistance with respect to the selection of insurance programs, underwriting, placement, insurance company representation, techniques in sales, financial and agency management. C. Upon the commencement of Franchisee's pre-Conversion training program, the Franchisor shall loan to Franchisee for the term of this Agreement and any renewal hereof one (1) copy of the Confidential Operating Manual ("Manual"), as more fully described in Article VII hereof. D. Provide Conversion Franchisee with sample letterhead, envelopes, business cards, ad slicks and other similar promotional materials to promote the change in affiliation to a "DCAP INSURANCE" Center. In addition, Franchisor will review and approve in advance all proposed advertising and materials prepared by Franchisee for use in local advertising in accordance with the procedures set forth in Article IX hereof. E. The Franchisor may, from time to time, offer to Conversion Franchisee at no charge bulletins on improvements and developments in management techniques and business and operational procedures. F. The Franchisor shall provide Conversion Franchisee with access to Franchisor's insurance carriers for the purpose of placing policies for Conversion Franchisee's existing and new clients. G. If Conversion Franchisee so elects and Franchisor agrees to do so, Franchisor may supervise the renovation of Conversion Franchisee's Center. If this occurs, Conversion Franchisee shall pay the determined amount upon execution of this Agreement. 3.2 The Franchisor may, at its option, offer to Franchisee, at an additional cost, an income tax preparation program. DUTIES OF FRANCHISOR. The duties of the Franchisor under this Agreement shall include: (a) Provide all legal documents and, where applicable, state registration of franchise offering materials; (b) Franchisee training at Franchisor headquarters or other designated training site. (c) Provide prototypes and timely final approval of all sites, store layouts and designs; (d) Equipment manual provided, as well as recommendations for equipment and signage; (e) Proprietary menus and national account purchasing; (f) POS materials and other advertising mediums; (g) Provide assistance in selling and closure of individual franchise agreements; and (h) Provide and maintain an Uncle Al’s Hot Dogs Franchise Unit operations manual.
DUTIES OF FRANCHISOR. 3.1 Franchisor shall provide to Franchisee one set of Franchisor's representative plans for the construction and layout of a Bruegger's Bakery. 3.2 Franchisor shall provide to Franchisee, on loan, one set of Franchisor's confidential operations manuals (the "Manuals"). 3.3 Franchisor shall provide to Franchisee, on loan, only upon written request pursuant to Section 7.5.2 below, one copy of Franchisor's confidential Bagel Production Manual. 3.4 Franchisor shall provide a training program prescribed by Franchisor, for the persons required or permitted to attend training under Section 6 of this Agreement. 3.5 Franchisor shall provide such pre-opening and opening supervision and assistance as Franchisor deems advisable. 3.6 Franchisor shall designate at least one supplier of Bruegger's Direct Set Cream Cheese and license such supplier or suppliers to use the secret recipes necessary to produce Bruegger's Direct Set Cream Cheese. 3.7 In addition to the advertising and promotional materials produced by the advertising fund established by Franchisor for the System (the "Fund," as further described in Section 12 of this Agreement), Franchisor shall make available to Franchisee such advertising and promotional materials as Franchisor may elect to produce with Franchisor's own funds. Franchisor may charge a purchase price for such non-Fund materials equal to the costs to produce them. 3.8 Franchisor shall provide to Franchisee from time to time, as Franchisor deems appropriate, advice and written materials concerning techniques of managing and operating the Bakery.

DUTIES OF FRANCHISOR. All of the obligations of the FRANCHISOR hereunder are to FRANCHISEE, and no other party is entitled to rely on, enforce, or obtain relief for breach of such obligations either directly or by subrogation. A. Within fifteen (15) days of the execution of this Agreement, the FRANCHISOR shall provide FRANCHISEE general counselling regarding specifications for the Franchise Business office (but not architectural drawings for construction or remodeling of the actual premises). In addition, FRANCHISOR shall incorporate FRANCHISEE’s logo on Sri Annai Kamakshi Kalaikudam’s website. B. FRANCHISOR will provide, FRANCHISEE and its designated Manager (if any), the initial franchise training program two (2) weeks prior to opening the Franchise Business, which training shall be conducted at Sri Annai Kamakshi Kalaikudam’s head office or at at Xx.000, Xxxxxxxxxxxxxx xxxxx, X.X. Xxxxx, Xxxxxxx – 600078. The initial training program will be conducted over a 3-day period, which may be modified from time to time in FRANCHISOR’s discretion. C. FRANCHISOR shall provide Sri Annai KamkashiKalaikudam’s Levels 1-7 Advanced Curriculum Training to FRANCHISEE and its Manager (if any) during the FRANCHISEE’s first year operating the Franchise Business. Such advanced training will be conducted at Sri Annai Kamkashi Kalaikudam’s head office or at a location designated by the FRANCHISOR. FRANCHISOR reserves the right, from time to time, to update, extend and/or expand its training requirements, which may include on-the-job training. D. FRANCHISOR shall provide to FRANCHISEE continuing general assistance in establishing its daily, weekly and monthly reporting systems; bookkeeping procedures; and accounting systems and administrative assistance in the operation of the Franchise Business as the FRANCHISOR deems necessary. In addition, FRANCHISOR shall provide FRANCHISEE with reporting documents for purposes of reporting financial and/or sales- related information to FRANCHISOR. E. FRANCHISOR shall provide FRANCHISEE with all the required equipment, materials, products, and supplies that are required for the Art classes, which is payable by FRANCHISEE. F. DUTIES OF FRANCHISOR. 3.1 Franchisor shall provide continuing consultation and advisory assistance to Franchisee, in the manner and at such times as Franchisor deems advisable, concerning the management, construction, development, operation, and marketing of the Franchised Business. 3.2 Franchisor shall make available a set of prototypical plans and specifications (not for construction) for the Franchised Business, which shall be adapted for use by Franchisee's architects and engineers. 3.3 Franchisor shall make available to Franchisee and Franchisee's employees an initial training program. Franchisor shall make available to Franchisee and Franchisee's employees such continuing training Programs, conferences, and seminars as Franchisor deems appropriate. All training programs shall be conducted at such locations as Franchisor may designate and shall be subject to the terms and conditions as set forth in Section 5.8 of this Agreement. 3.4 Franchisor shall provide Franchisee one (1) copy of the Manuals, as more fully described in Section 7 hereof. 3.5 Franchisor shall maintain a national directory (the "Directory" ), listing the address and telephone number of all Microtel hotels, Microtel & Suites hotels, and Microtel Suites hotels operating under the System. 3.6 Franchisor shall maintain, and make available to Franchisee, a national "800" number reservation referral system. 3.7 Franchisor shall have the right to establish, maintain, and administer an advertising fund for the System, subject to the provisions of Section 10.2 hereof.

DUTIES OF FRANCHISOR. (a) Franchisor shall provide reasonable training, in accordance with Franchisor's standards, to store managers and other employees which, at the discretion of the Franchisor, are pertinent to the overall success of the business, for the Licensed Stores. The training shall cover such matters as introduction to product lines, marketing techniques, standard retail operations and familiarization with Little Switzerland merchandising. Franchisee shall bear the cost of the reasonable travel, lodging and related out-of-pocket expenses incurred by Franchisor in providing such training services. Franchisor and Franchisee agree that all training both initial and on-going shall be carried out upon such reasonable schedule and in such places as may be established by the mutual agreement of Franchisor and Franchisee. (b) Franchisor shall, upon Franchisee's reasonable request, be available to provide on-going consultation and support to Franchisee, to an extent deemed with respect to establishing the design, layout and procedures essential to the operation of Licensed Stores. Franchisor shall provide a continuing advisory service which shall include, but not be limited to, consultation with respect to promotional, business or operational problems with analysis of Franchisee's sales, marketing and financial data. Franchisee shall reimburse Franchisor for reasonable travel, lodging and related out-of-pocket expenses incurred for any support services in addition to those provided for above as may be requested by Franchisee. (c) Franchisee may request that Franchisor furnish accounting, bookkeeping or related data processing services to be used by Franchisee in connection with the operation of the L. S. Bahamas Stores. Franchisee shall bear the cost of such services at Franchisor's then current rates for any such services requested by Franchisee. (d) Franchisor agrees that it will advertise the Little Switzerland name, and the L.S. Bahamas Stores internationally.

Grant the right to use the trademark "Zero's Mr. Submarine, Inc.", d/b/a, Zero's Subs, in connection with Franchised Business and within Franchisee's area of primary trade responsibility; 2. Designate an exclusive area of primary trade responsibility for the Franchised Business; 3. Provide such location research and site selection assistance including real estate and demographic analysis as Franchisor deems advisable, subject to the availability of personnel; 4.
