Form of Cooperation. The Parties subject to the laws, regulations, procedures and national policies from time to time in force governing the subject matter in both countries agree to establish the cooperation in the form of programmes covering the fields of port studies, training and apprenticeship, exchange of information and exploring ways to improve trade, traffic and services between Both Ports.
Form of Cooperation. Cooperation of the Parties under this Agreement may be implemented in the following forms: - participation of practitioners in the design or review of modular educational programs in the field of "state and local government" (bachelor, master and doctoral); - involvement of practitioners in the educational process for lectures and practical training; - organization of the training process in the departments, sectors and other units of the Parties (as agreed); - development of the public Institute of mentors of students and undergraduates by experienced practitioners; - implementation of joint research, programmes and projects; - promotion of the implementation of the results of educational and research works; - preparation of expert opinions on topical issues of state and local governance; - organization of mutually beneficial exchange of information (by agreement), documents, literature and bibliographic publications, as well as mutual consultations; - mutual assistance in the training of specialists in the field of state and local government and improvement of their skills; - preparation of joint scientific, educational and information-analytical publications (monographs, textbooks, manuals, reports, articles) in the field of state and local government; - organization and holding of joint scientific symposiums, seminars, conferences, meetings, round tables, workshops and other events on issues of mutual interest; - implementation of mutual training of employees of the Parties; - assistance to students, undergraduates and doctoral students in the collection of practical materials for the implementation of term papers, theses and master's theses on the agreed subject; - implementation of guidelines, reviewing of diploma works of students (to be agreed); - осуществление взаимного рецензирования публикаций и научно- методических работ; - organization and conduct of professional practice of students, undergraduates; the discussion of questions of employment of graduates; - mutual provision of employees for training activities Sides'; - participation of representatives of the Parties in the established collegial, consultative and Advisory scientific bodies of the Parties; - exchange of experience, meetings and organization of training seminars, trainings, internships of employees of the Parties. Cooperation of the parties may be carried out in other agreed forms, ensuring the implementation of this Agreement.
Form of Cooperation. Sinovac and CDC will jointly form a key task team for the Project. If necessary, a corresponding organization will be set up to complete the research of the avian flu vaccine for human use and other related projects. Sinovac and CDC will each have one person specially assigned for the organization and implementation of the Project. The two Parties will exchange technicians according to the needs of the research. Each side will also provide proper research environment in their respective laboratories.
Form of Cooperation. 1. Party B shall provide true and accurate information in relation to its application for the service in accordance with the requirements of the SP service system while making such application and shall carry out testing on the service at the time as agreed by the parties after the application is approved.
2. Party A, as a mobile network provider of the voice value-added service, will provide and maintain the platform connecting to the voice value-added service and its network resources, and will also provide billing services and fee collection services to Party B for consideration.
3. The national voice service jointly developed by Party A and Party B shall be provided under "Music Street" as a unified cooperation brand name and shall be administered by Party A on a unified basis.
4. Party A may provide network supporting service to Party B in the future, including co-location service and service supporting platform. The specific details in respect thereof will be confirmed by Party A and Party B in a separate agreement.
5. Party B shall be responsible for the design, development and innovation of "Music Street (10159)" service and will provide its subscribers with quality voice value-added service by making use of the mobile network provided by Party A.
6. Party B shall promote its own brand in respect of the voice value-added service.
7. Party A will provide Party B with any required technical information, service standardization and connection standards, if necessary.
8. Party B will work alone (or cooperate with third parties) for the planning of "Music Street (10159)" service and preparation of its resources. Party A shall provide consulting service, technical support and recommendations to Party B where necessary. The consulting service and recommendations given by Party A to Party B shall be taken as reference only. Party A shall not be liable for any losses suffered by Party B in connection with the acceptance by Party B of Party A's consulting service or recommendations, nor shall it be liable for any advice or effect on the service given by it publicly or by way of service support.
9. Party A shall provide support as is necessary for the testing on network connection in the development of its service according to its condition and the requirements of Party B. Party A shall have the right to require Party B to pay a significant cost in connection with the services provided by it and, where necessary, the parties shall sign a testing agreement in ...
Form of Cooperation. 1. Party A and Party B shall operate a retail business targeting tour groups.
2. Party A shall locate its operations at the above address, with a term beginning on 9/30/2004 through 9/27/2007. Party A shall pay a license fee to Party B of [***] per month, with a management fee of [***] per month, and a one-time deposit of HK $779,772.
3. License fees shall be waived for the first three (3) months until 12/29/2004. The management fee shall apply starting from 10/15/2004.
4. Party A shall have the option to extend the term of this Agreement for two more years until 9/29/2009, and upon renewal the monthly license fee shall be not less than [***] and not more than [***] per month [with the actual rent to be mutually determined by the Parties].
5. Party A and Party B shall use and maintain their own trade or service marks. Without Party B’s consent, Party A shall not use “Xxxxx Xxx (Chinese pronunciation) Duty Free Store” and “Bonjour Duty Free” as names of its other business locations.
6. Party A shall sell video, audio, home electronics, watches, clocks, glasses, medicine, health products and other related products. Party B may not sell the same products.
7. Party B shall sell cosmetics, skin care products, perfume, weight loss products, breast enhancement products, baby food and other related products. Party A may not sell the same products.
8. Party A and Party B acknowledge and agree that Party A shall permit a third party business selling vitamin E and related products to operate within Party A’s occupied space. Except for the above, Party A and Party B agree not to sublease any portion of their respective occupied space without the prior written consent of the other party. 9. Party A agrees to transfer any agreement with the Vitamin E vendor to Party B. The Vitamin E vendor shall operate within space allotted to Party B. Revenue from such vendor shall be collected by Party B, and all resulting profit shall belong to Party B.
10. Party A and Party B shall occupy space according to the Addendum. Party A shall initially be allotted 70% and Party B 30%, of the total space.
Form of Cooperation. The Parties agree to adopt the following measures for cooperation in the above-mentioned areas:
(1) Setting up working groups respectively for cross-strait standards, metrology, inspection, certification & accreditation, and consumer product safety, to jointly discuss and set specific implementation programs and clearly delineate the scope of activities, and to develop cooperation documents for related fields based on the needs identified.
(2) Carrying out exchanges and cooperation in the areas of standards, metrology, inspection, certification & accreditation, and consumer product safety by means of technical collaboration, conferences of experts, information exchange, exchange visits, operational training, etc.
(3) The competent authorities of each Party shall be responsible for directing and coordinating each working group’s conduct of its tasks, and shall designate contact persons to be responsible for conducting regular liaison and the carrying out of work projects in each field.
Form of Cooperation. Party A recognizes Party B has the connection and resources in identifying suitable Potential Targets for M&A and desires to engage Party B’s service to identify Potential Targets. Upon satisfactory evaluation of the Potential Targets and successful completion of the M&A transaction (“Transaction”), Party A is obliged to pay commissions to Party B.
Form of Cooperation. The Cooperation may tale the form or a contractual relation and/or a joint venture company between SulphCo, PCI and/or such third party partner as SulphCo and PCI may mutually agree upon.
