Group Services. CONTRACTOR shall offer a variety of groups based on Client interest and need and may include, but not be limited to: Relapse Prevention, Dual Recovery, AA/NA, Life Skills Building, and Speaker Meetings, etc.
Group Services. Manager may cause to be furnished to the Premises certain services (“Group Services”) which are furnished generally on a central or regional basis to other hotels managed by Manager or any Manager Affiliate Entity and which benefit each hotel managed by Manager including, by way of example and not by way of limitation, (i) marketing, advertising and promotion; (ii) centralized accounting payroll processing, ADP management, management and administration of accounts payable, accounts receivable and cash management accounting and MIS support services; (iii) the preparation and maintenance of the general ledger and journal entries, internal audit, budgeting and financial statement preparation, (iv) recruiting, training, career development and relocation in accordance with Manager’s or any Manager Affiliate Entities’ relocation plan; (v) employee benefits administration; (vi) engineering and risk management; (vii) information technology; (viii) legal support (such as license and permit coordination, filing and completion, standardized contracts, negotiation and preparation, and similar legal services benefiting the Hotel); (ix) purchasing arising out of ordinary hotel operations not otherwise contemplated in Section 8.02G hereof; (x) internal audit services; (xi) reservation systems; and (xii) such other additional services as are or may be, from time to time, furnished for the benefit of Manager’s or any Manager Affiliate Entities’ hotels or in substitution for services now performed at Manager’s individual hotels which may be more efficiently performed on a group basis. Group Services shall include Manager’s costs relating to the establishment of an office(s) and the placement of Manager’s personnel at international locations as may be reasonably required to oversee the performance of its services and duties hereunder for international assets. International office expenses, overhead, international personnel costs and benefits, travel and other costs directly related to Manager’s personnel (other than property level personnel who are employed at a Hotel and whose Employee Costs and Expenses constitute Deductions) who oversee the operations of international assets shall be allocated pro-rata to international Hotels based on room count and/or revenues in a fair and equitable manner reasonably determined by Manager. Group Services. Manager may cause to be furnished to the Premises certain services (“Group Services”) which are furnished generally on a central or regional basis to other hotels serviced by Manager or any Manager Affiliate Entity and which benefit each Hotel, including, by way of example and not by way of limitation, (i) centralized accounting, and (ii) legal support (such as license and permit coordination, filing and completion, standardized contracts, negotiation and preparation, lien releases, and similar legal services benefiting multiple Hotel(s)). Manager shall assure that the costs and expenses incurred in providing Group Services to the Premises shall have been allocated to the Premises on a pro-rata or fixed fee basis consistent with the method of allocation to all of Manager’s (and any Manager Affiliate Entities’) hotels receiving the same or similar services. Owner will pay Manager on a monthly basis its pro-rata share of Group Services based on actual cost (without xxxx up for fee or profit to Manager or any Manager Affiliate Entity, but including salary and employee benefit costs and costs of equipment used in performing such services and overhead costs) of Group Services for the benefit of all of Manager’s hotels receiving the same or similar services, and shall be of a quality comparable to which Manager could obtain from other providers for similar services.
Group Services. During the Term, Operator will furnish to the Hotel the Group Services furnished to other Operator Hotels and Inns and suggest preventative maintenance programs known to Operator which it deems suitable for the Hotel. With respect to credit services, Owner agrees that the Hotel’s policy regarding association with any credit card system shall be in conformity with Operator’s general policy at the time in effect. Operator will provide, as needed, supervisory and control services to the Hotel’s front office, food and beverage, personnel, and other operating departments. Operator shall have sole discretion over Group Services promotion and publicity.
Group Services. A. Subject to Section 11.03 B, Owner shall reimburse Management Company for certain other services (“Group Services”) as may from time to time be provided to the Hotel by Management Company or Management Company’s Affiliates more efficiently on a group rather than on an individual basis and approved by Owner. The Group Services may include, without limitation, the following: (a) marketing, advertising and promotion; (b) payroll processing, accounting and MIS support services; (c) recruiting, training, career development and relocation in accordance with Management Company’s or its Affiliates’ relocation plan; (d) employee benefits administration; (e) engineering and risk management; (f) information technology; (g) legal support (such as license and permit coordination and standardized contracts); (h) purchasing arising out of ordinary hotel operations; and (i) such other additional services as are or may be, from time to time, furnished for the benefit of Management Company’s hotels or in substitution for services now performed at Management Company’s individual hotels which may be more efficiently performed on a group basis.
B. Group Services shall consist of the actual cost of the services without xxxx-up or profit to Management Company or any Affiliates, but shall include: (a) salary and employee benefit costs, (b) cost of equipment used in performing Group Services, and (c) overhead costs, reasonably allocated thereto of any office providing Group Services. Costs and expenses incurred in providing Group Services shall be allocated equitably across hotel properties that Management Company manages that are provided Group Services, to the extent necessary and appropriate, and in the manner described in the Annual Operating Projection approved by Owner. Notwithstanding anything herein to the contrary, the costs and expenses for Group Services shall not exceed the amounts for such services set forth in the Annual Operating Projection approved by Owner. Costs of Group Services (approved by Owner pursuant to this subsection B) shall be Deductions. In addition, if equipment is installed and maintained at the Hotel in connection with the rendition of any approved Group Services, all costs thereof will be charged to the operation of the Hotel, as determined by Management Company in good faith and consistent with GAAP and the Uniform System of Accounts. Group Services. Operator shall provide to the Complex, from other offices or casinos managed by Operator or its affiliates or subsidiaries, the following services:
(a) General Administrative Service, in connection with:
Group Services. 8.1 The Parties shall seek greater efficiency and effectiveness in the provision of services through economies of scale, improved methods of working, and by locating services most appropriately.
8.2 The Parties shall together consider how best to deliver effective and efficient Group services with the intention that, over time, each will share services with the other to cover agreed activities and requirements in furtherance of the aims set out in Clause 8.1.
8.3 To the extent that Caledonia or any other organisation within the Group does provide services to Bellsmyre, or Bellsmyre provides services to Caledonia or another Group Member, such services will be provided to a specification to be agreed between the parties and in line with an agreed charging mechanism.
8.4 Bellsmyre agrees that, subject to clause 8.5, it shall procure any external services through Caledonia and/or other Group Members and/or through any arrangement that is put in place by Caledonia for this purpose. Where Bellsmyre is able to demonstrate that it would be unreasonable to do so, taking into account considerations of quality, timeliness, performance, impact of Caledonia’s arrangement and price and the other external providers available to Bellsmyre, in consultation with Caledonia it may procure external services where the procurement would not be detrimental to Group arrangements.
8.5 Subject to relevant legal and regulatory constraints, it is intended that the primary central service and corporate service provider to the Group shall be Caledonia and Caledonia shall have the right to designate, in order to achieve cost efficiency across the Group, that certain services shall be provided by Caledonia or another member of the Group or externally.
8.6 Where Services are to be provided by Caledonia, the Parties shall enter into a Service Agreement substantially in the form set out in Part 3 of the Schedule to this Agreement recording the agreed services to be provided, the relevant performance standards, quality considerations, term of the agreement and pricing.
8.7 Caledonia may enter into any agreements it deems appropriate or desirable with any contractors, consultants, or specialist firms for the provision of the Services.
8.8 The Parties shall designate a specific officer who shall be responsible for the operation of the Service Agreement and all related liaison between the Parties.
Group Services. Lessee shall pay Manager the amount charged for Group Services to the extent not allocated to each Hotel for payment by the applicable New Lessee pursuant to Section 6.03 of the Management Agreement, which allocation to each Hotel shall not exceed $38.32 per room per month (to be increased annually commencing with Fiscal Year 2026 by the greater of three percent (3%) or any increase in CPI over the preceding annual period) (the “GS Cap”). The GS Cap will not apply to any Hotel in which the applicable New Lessee is not a direct or indirect wholly owned subsidiary of Lessee.
Group Services. Managers and their Affiliates will furnish to the Facilities the benefits of any "Group Services" which Managers and their Affiliates may have in effect from time to time, which phrase shall mean goods and services provided jointly to other assisted living facilities owned or managed by Emeritus or its Affiliates on a group or joined basis to realize maximum economy. Group Services may include (a) bulk purchases of supplies and services, (b) centralized purchasing service, and (c) centralized marketing services. Each Owner shall have the option of whether and to the extent each respective Facility shall participate in Group Services; provided that if Owner determines that a Facility shall not participate in Group Services, then to the extent such goods and services are reasonably required for the operation of such Facility, Manager shall arrange for an alternative provider of such goods and services on the most favorable terms then practicable. The costs of all Group Services shall be allocated among the Facilities and other assisted living facilities on an equitable basis in proportion to the benefits rendered to each and the costs of any Group Services provided to the Facilities shall be included in the Annual Plan if the Facilities participate in Group Services.
