Health and Medical Benefits. For a period of one (1.0) year from the date of termination of employment, the Employee shall be provided, at no charge, with a continuation of health and medical benefits no less favorable than the health and medical benefits in effect on the date of termination of the Employee’s employment. To the extent such benefits cannot be provided under a plan because the Employee is no longer an employee of the Employer, a dollar amount equal to the after-tax cost (estimated in good faith by Leesport) of obtaining such benefits, or substantially similar benefits, shall be paid to the Employee periodically, as appropriate.

Health and Medical Benefits. Eligible retirees and their eligible dependents and survivors shall have the right to continue their participation in the hospital and medical plans available to active employees, subject to the terms and conditions of this Agreement. Nothing in this Agreement, however, shall be construed as conveying any vested right to any particular plan, plan design, or plan component. The terms of the District's Health Benefits Program, as well as the plans available under the Program, remain subject to alteration by action of the Joint Labor/Management Benefits Committee or any future agreement between the District and the its exclusive representatives.
Health and Medical Benefits. The Executive shall be entitled to receive and participate in health, dental and long-term disability programs as are made available by the Company to other employees holding similar positions of importance to the Company, provided that the Company may modify, suspend, or discontinue any or all of such benefits for its employees generally or for any group thereof, without obligation to replace any such modified, discontinued or suspended benefit with any other benefit, equivalent or otherwise compensate the Executive in respect thereof.

Health and Medical Benefits. Upon Employee’s timely election to continue Employee's existing health benefits under COBRA, and consistent with the terms of COBRA and the plan, COMPANY will pay the insurance premiums to continue his/her existing health benefits until Employee finds employment providing comparable health benefits, or through [insert date], whichever occurs first. Employee must continue to pay the portion of premiums, co-payments, etc. that s/he would have paid had his/her employment continued.

The Corporation agrees to use its best efforts to provide the benefits listed on the SPD to the Executive and his spouse in a manner that will not result in any income inclusion under federal, state or local tax law. To the extent any such income inclusion results to either the Executive or his spouse, the Executive and his spouse (as the case may be) shall receive an annual payment from the Corporation to fully pay for the federal, state or local tax on such income inclusion (a "Gross- up Payment") as well as any income inclusion from the Gross-up Payment based on the highest marginal tax rate on the payment, so that neither the Executive nor his Spouse have any federal, state or local tax liability as a result of participation in the Executive Medical Plan described in the SPD. For each year, such payment shall be made no later than January 31st of the following year. This section shall survive any termination of this Agreement.
