Job Titles and Duties. The following sections describe the responsibilities of the personnel provided by the Contractor, in accordance with the terms of the Contract, who are used to provide Customers with services pursuant to the Customer SOW set forth in the Customer’s PO (Customers may supplement these duties in their Customer SOWs provided the duties do not exceed or conflict with this Statement of Work).

Job Titles and Duties. (a) The Employee shall be employed as Executive Vice President, Clinical and Regulatory Affairs, of the Company and shall report directly to the Company’s President and CEO (the “CEO”). The Employee shall, subject always to the control of the CEO, carry out such duties and accept such offices, notwithstanding his job titles but consistent with his status, as may be assigned to him from time to time by the CEO. (b) The Employee shall: (i) use all proper means to the best of his ability to maintain and improve the business of the Company and further its reputation and interests; (ii) faithfully, efficiently and diligently perform those duties and exercise such powers as are consistent with them which shall from time to time be assigned to or vested in him; (iii) comply with all lawful and reasonable directions, restrictions, rules and regulations from time to time laid down or adopted by the CEO; (iv) at all times promptly give to the CEO (in writing, if so requested) such information, advice and explanations as it may require in connection with matters relating to his employment under this Agreement or with the business of the Company; (v) promptly disclose to the CEO (in writing if so requested) all facts and matters which may or do give rise to a conflict between the Employee’s personal interests and those of the Company; and (vi) not during the continuance of his employment be a speaker, panelist or lecturer at an industry event, or write any article for publication, on any matter connected with or relating to the business of the Company without first obtaining the approval of the CEO; provided, however, that this clause (vi) shall not restrict the Employee from participating in theological activities, charitable organizations, government committees and academic symposia to the extent such participation does not conflict with the interests of the Employer. (c) Other than by prior agreement of the CEO, the Employee shall devote himself exclusively to the performance of his duties during normal working hours and at all other times which may be reasonably necessary for the proper performance of his duties except in the case of illness or accident. Notwithstanding the foregoing, the Employee may continue to serve as an Adjunct Partner of Essex Woodlands (including serving on the board of directors of its portfolio company, Elusys Therapeutics), provided such service does not conflict with the interests of the Employer. Job Titles and Duties. 1.1. You shall serve the Company as Group Chief Underwriting Officer or in any other capacity as you and the Company may agree. The nature of the Company’s business may result in changes occurring to the content of your role from time to time. You may also be required to carry out such additional or alternative tasks as may from time to time be reasonably required of you. 1.2. The Company reserves the right to appoint any other person to act jointly or in conjunction with you. 1.3. You will be expected to devote your full business time and energy, attention, skills and ability to the performance of your duties and responsibilities to the Company and its direct and indirect affiliates (collectively, the “Parent Group”) on an exclusive basis, as requested by the Chief Executive Officer of the Parent, and shall faithfully and diligently endeavour to promote the business and best interests of the Company and its subsidiaries and affiliates. Anything herein to the contrary notwithstanding, nothing shall preclude you from (i) upon the written prior approval of the Parent’s Board, serving on the board of directors of another corporation or a trade association; (ii) serving on the board of charitable organizations, (iii) engaging in charitable, community and other business affairs, and (iv) managing your personal investments and affairs; provided such activities do not, in the reasonable judgment of the Company, materially conflict with or interfere with the proper performance of your responsibilities and duties hereunder. 1.4. Except as provided in clause 2.3 above, you may not, without the prior written consent of the Company, engage, whether directly or indirectly in any business or employment which is similar to or competitive with the business of the Company or which may impair your ability to act at all times in the best interests of the Company.

You will be required to undertake such additional duties as the Company may reasonably require from time to time. You will report to Xxxxxx XxXxxxxx, Chief Executive Officer or such other person as may be authorised by the Company and notified to You. 3.2 During Your employment with the Company You will: 3.2.1 unless prevented by ill health devote the whole of your time and attention, endeavours and abilities to promoting the interests of the Company and of the lululemon Group and shall not engage in any activity which may be or may become harmful to or contrary to the interests of the Company or of the lululemon Group; 3.2.2 observe and comply with all policies and procedures of the Company; 3.2.3 carry out your duties in a proper, loyal and efficient manner to the best of your ability and use your best endeavours to maintain, develop and extend the business of the Company and of the lululemon Group. 3.3 You will not during your employment with the Company, except with the written consent of the Company, be directly or indirectly engaged, concerned or interested in any other business or occupation whatsoever. 3.4 You shall accept (if offered) appointment as a director or officer of any Group Company. Your appointment as a director or officer of the Company or any Group Company shall be with or without such executive powers as the board of the Company or any Group Company shall decide in its absolute discretion. 3.5 In the event that you cease to be an officer (or director) for any reason, this will not amount to a breach of this agreement and shall not give rise to a claim for compensation or damages.

(b) Other than by prior agreement of the Chairman, the Employee shall devote herself exclusively to the performance of her duties during normal working hours and at all other times which may be reasonably necessary for the proper performance of her duties except in the case of illness or accident.

  • Taxes and Duties If a Holder converts a Note, the Company will pay any documentary, stamp or similar issue or transfer tax or duty due on the issue or delivery of any shares of Common Stock upon such conversion; provided, however, that if any tax or duty is due because such Holder requested such shares to be registered in a name other than such Holder’s name, then such Holder will pay such tax or duty and, until having received a sum sufficient to pay such tax or duty, the Conversion Agent may refuse to deliver any such shares to be issued in a name other than that of such Holder.
