Manager and Other Personnel. (a) Manager shall investigate, hire, train, instruct, pay, promote, discharge and supervise the work of the Project Employees. All matters pertaining to the employment, supervision, compensation, promotion and discharge of Manager's employees are the sole responsibility of Manager and Manager shall indemnify Owner with respect to such matters pursuant to Section 6.01. Notwithstanding the foregoing, (i) Manager shall have in its employ at all times a sufficient number of capable Project Employees to enable it, subject to the terms of this Agreement, to perform Manager's obligations under this Agreement, and (ii) Manager shall advise Owner and coordinate with any local property supervisor retained by Owner as to the on-site staffing requirements to enable Manager, subject to the terms of this Agreement, to perform Manager's obligations under this Agreement and to properly, adequately, safely and economically lease, manage, operate, repair and maintain the Project. Costs (including salaries and fringe benefits) associated with the Project Employees and any on-site employees of Owner shall be budgeted for, and paid from, the Operating Account, provided that such costs and expenses are consistent in all material respects with the Budget. (b) The Project Employees shall be employees of Manager. Owner shall, provided that such compensation is consistent, in all material respects, with the Budget, reimburse Manager each pay period for the total aggregate compensation, including salary and fringe benefits, payable with respect to the Project Employees, which amount may be paid by Manager from Gross Receipt's or the Working Capital Reserve. Manager and Other Personnel. (a) Manager shall investigate, hire, train, instruct, pay, promote, discharge and supervise the work of the Project Employees and shall supervise, through the Project Employees, the hiring, promotion, discharge and work of all other operating and service employees of Manager performing services in or about the Project, all in the name of Manager. Since some of the Project Employees may need to reside at the Project and be available full time in order to perform properly the duties of his/her employment, it is further understood and agreed that the Project Employees (including his/her spouse and dependent children), in addition to their salary and fringe benefits, may receive the normal maintenance customarily provided managers, assistant managers, leasing agents, and maintenance personnel of an apartment project, including employee housing, use of all Project facilities and reimbursement for any and all expenses which such persons may reasonably incur in the performance of their duties. Any such housing allowance that is provided will be considered as a payroll cost under the Budget, and the amount of housing allowance will be credited as apartment rental income. (b) The Project Employees shall be employees of Manager. Owner shall reimburse Manager monthly, in advance, for the total aggregate compensation, including salary and fringe benefits, payable with respect to the Project Employees, any temporary employees residing at the Project and, on an agreed basis, the Project's proportionate share of such costs relating to roving maintenance, off-site operating staff and similar personnel. The term "fringe benefits" as used herein shall mean and include the employer's contribution of F.I.
Manager and Other Personnel. Manager, and/or an affiliate of Manager, shall employ, discharge, and supervise all on-site employees or contractors required for the efficient operation and maintenance of the Property. All on-site personnel, except independent contractors and employees of independent contractors, shall be employees of Manager, and/or an affiliate of Manager. Manager, and/or an affiliate of Manager, shall pay all salaries of such on-site employees. Owner shall reimburse Manager, and/or an affiliate of Manager, monthly for the total aggregate compensation, including salary and fringe benefits, payable with respect to the Property employees and any temporary employees. The term "fringe benefits" as used herein, shall mean and include the employer's contribution to a defined contribution plan and of FICA, unemployment compensation and other employment taxes, worker's compensation, group life and accident and health insurance premiums and disability. If requested by Manager, Owner shall provide an apartment to a Property Employee on a discounted basis.
Manager and Other Personnel. (a) Manager shall have in its employ at all times sufficient number of capable Facilities Employees to properly, safely, and economically manage, operate and maintain the Facilities, as set forth in the Budget. All matters pertaining to the employment, supervision, compensation, promotion, and discharge of such employees are the responsibility of Manager; provided however, that salaries, wages, and costs of each Facilities Employee shall be detailed in the Budget and such amounts shall be paid from the Facilities accounts. (b) Manager shall comply with all applicable laws and regulations having to do with worker’s compensation, social security, unemployment insurance, hours of labor, wages, working conditions and other employer-employee related subjects under Manager’s control. Manager represents that it is and will continue to be an Equal Opportunity Employer. (c) Manager shall comply with all federal immigration laws relating to its employees and shall not employ any person who is not authorized to work or remain a resident of the United States pursuant to federal law. (d) Manager shall work with Owner to comply with all municipal, state and federal laws relating to the storage, distribution and sale of tobacco products and alcoholic beverages, including maintaining the proper permits for the Facilities and Manager’s employees working at the Facilities for the sale thereof. (e) All persons employed in connection with the management and operation of the Facilities shall be employees of the Manager or of such consultants, independent contractor or contractors as may be retained by Manager.

Reference checks are performed by the Onsite Manager and include two references checks. Background/criminal checks will be performed by Smart Hire or a similar qualified company, that will check for criminal records, driving records and drivers licenses. Credit checks are performed by Smart Hire or similar qualified company for prospective new hires that will be handling money at the Project. Drug testing will be performed by Accu Scan or a similar qualified company, and test for 10 of the most common used drugs. Since some of the Project Employees, all of which have been accounted for in the approved Budget and are listed in the supporting payroll schedule, may need to reside at the Project and be available full time in order to perform properly the duties of his/her employment it is further understood and agreed that the Project Employees (including his/her spouse and dependent children), in addition to their salary and fringe benefits, may receive the normal benefits customarily provided managers, assistant managers, leasing agents, and maintenance personnel of a first-class apartment project, use of all Project facilities and reimbursement for any and all expenses, that are directly related to the day-to-day operations of the Project which such persons may reasonably incur in the performance of their duties, subject, however, to Section

(b) Manager may request that a Project Employee be permitted to reside at the Project and be available full-time in order to perform properly the duties of his/her employment. The terms and conditions of the use of said residential unit shall be agreed to in advance in each instance. (c) Manager (or the sub-manager) shall prepare or cause to be prepared, for execution and filing by Manager (or the sub-manager) as an independent contractor, all forms, reports and returns required by all federal, state or local laws in connection with unemployment insurance, workmen’s compensation insurance, disability benefits, social security and other similar taxes now in effect or hereafter imposed with respect to Project Employees. (d) Owner shall pay Manager each pay period for the all reasonable personnel costs, including salary, fringe benefits, and processing costs payable with respect to the Project Employees, whether permanent or temporary employees; provided, however, that for Project Employees hired by sub-manager, such Personnel Costs shall only be payable by Owner to the extent the same are reimbursable by Manager to sub-manager pursuant to any applicable sub-management agreement. The term “fringe benefits”, as used herein, shall include Manager’s (or the sub-manager) standard fringe benefits offered to all Project Employees. Project Employee personnel costs payable by Owner shall be debited from Owner’s operating account via ACH wire one (1) business days prior to the day the Project Employees are to received their regularly scheduled salary payment.   • Improper and Other Payments (a) Neither the Company, any director, officer, employee thereof, nor any agent or representative of the Company nor any person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any person or authority, (b) no contributions have been made, directly or indirectly, by the Company to a domestic or foreign political party or candidate; and (c) the internal accounting controls of the Company are believed by the Company’s management to be adequate to detect any of the foregoing under current circumstances.

  • Customer and Other Business Relationships After the Closing, Seller will cooperate with Buyer in its efforts to continue and maintain for the benefit of Buyer those business relationships of Seller existing prior to the Closing and relating to the business to be operated by Buyer after the Closing, including relationships with lessors, employees, regulatory authorities, licensors, customers, suppliers and others, and Seller will satisfy the Retained Liabilities in a manner that is not detrimental to any of such relationships. Seller will refer to Buyer all inquiries relating to such business. Neither Seller nor any of its officers, employees, agents or shareholders shall take any action that would tend to diminish the value of the Assets after the Closing or that would interfere with the business of Buyer to be engaged in after the Closing, including disparaging the name or business of Buyer.

  • Administrative and Other Services (a) Subadviser will, at its expense, furnish (i) all necessary investment and management facilities, including salaries of personnel required for it to execute its duties faithfully, and (ii) administrative facilities, including bookkeeping, clerical personnel and equipment necessary for the efficient conduct of the investment affairs of the Fund (excluding determination of net asset values and shareholder accounting services). (b) Subadviser will maintain all accounts, books and records with respect to the Fund as are required of an investment adviser of a registered investment company pursuant to the Investment Company Act and the rules thereunder. Subadviser agrees that such records are the property of the Trust, and will be surrendered to the Trust promptly upon request. The Manager shall be granted reasonable access to the records and documents in Subadviser’s possession relating to the Funds. (c) Subadviser shall provide such information as is necessary to enable Manager to prepare and update the Trust’s registration statement (and any supplement thereto) and the Fund’s financial statements. Subadviser understands that the Trust and Manager will rely on such information in the preparation of the Trust’s registration statement and the Fund’s financial statements, and hereby covenants that any such information approved by Subadviser expressly for use in such registration and/or financial statements shall be true and complete in all material respects. (d) Subadviser will vote the Fund’s investment securities in the manner in which Subadviser believes to be in the best interests of the Fund, and shall review its proxy voting activities on a periodic basis with the Trustees.

  • Executive and Other Committees The Trustees by vote of a majority of all the Trustees may elect from their own number an Executive Committee to consist of not less than two members to hold office at the pleasure of the Trustees, which shall have the power to conduct the current and ordinary business of the Trust while the Trustees are not in session, including the purchase and sale of securities and the designation of securities to be delivered upon redemption of Shares of the Trust or a Series thereof, and such other powers of the Trustees as the Trustees may delegate to them, from time to time, except those powers which by law, the Declaration of Trust or these By-Laws they are prohibited from delegating. The Trustees may also elect from their own number other Committees from time to time; the number composing such Committees, the powers conferred upon the same (subject to the same limitations as with respect to the Executive Committee) and the term of membership on such Committees to be determined by the Trustees. The Trustees may designate a Chairman of any such Committee. In the absence of such designation the Committee may elect its own Chairman.

  • Utilities and Other Services 4.4.1 The Tenant shall arrange, at its own cost and expense, for the installation, connection and supply of all utilities and any other services required by it at or in relation to the Premises. 4.4.2 The Tenant shall pay to the suppliers, and indemnify the Landlord against, all charges for the installation, connection and supply of all utilities and any other services consumed or used at or in relation to the Premises and the Tenant shall comply with the requirements and regulations of the respective suppliers. Tenant to initial 4.4.3 For the purposes of this Clause 4.4, the term “utilities” shall include water, electricity, telecommunications network, gas and any water-borne sewerage systems.

  • Transfers and Other Liens Grantors shall not (i) sell, assign (by operation of law or otherwise) or otherwise dispose of, or grant any option with respect to, any of the Collateral, except as expressly permitted by the Credit Agreement, or (ii) create or permit to exist any Lien upon or with respect to any of the Collateral of any Grantor, except for Permitted Liens. The inclusion of Proceeds in the Collateral shall not be deemed to constitute Agent’s consent to any sale or other disposition of any of the Collateral except as expressly permitted in this Agreement or the other Loan Documents;

  • Vacation and Other Leave During the Period of Employment, the Executive shall accrue and be entitled to take paid vacation in accordance with the Company’s vacation policies in effect from time to time, including the Company’s policies regarding vacation accruals; provided that the Executive’s rate of vacation accrual during the Period of Employment shall be no less than three (3) weeks per year. The Executive shall also be entitled to all other holiday and leave pay generally available to other executives of the Company.

  • Stamp and other duties The Borrowers shall pay all stamp, documentary, registration or other like duties or taxes (including any duties or taxes payable by any of the Creditors) imposed on or in connection with any of the Underlying Documents, the Security Documents or the Loan and shall indemnify the Creditors or any of them against any liability arising by reason of any delay or omission by the Borrowers to pay such duties or taxes.
