Modern Slavery Act Compliance. 11.1 The Company warrants to the Client that neither the Company nor any of its officers, employees, agents or subcontractors has: (i) committed an MSA Offence; or (ii) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; or (iii) is aware of any circumstances within its business or supply chain which are reasonably likely to give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; 11.2 The Company warrants to the Client that it shall comply with the Modern Slavery Act 2015; and shall take all reasonable steps to ensure that slavery, servitude, human trafficking, forced or compulsory labour, and/or child labour do not take place in any part of its business or in its supply chain.

Modern Slavery Act Compliance. 26.1. For the purposes of this Clause, “MSA Offence” means an offence under the UK Modern Slavery Act 2015. 26.2. Taskize undertakes, warrants and represents that: 26.2.1. Neither Taskize nor any of its officers, employees, agents or subcontractors has (i) committed an MSA Offence; or (ii) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution; or (iii) is aware of any circumstances within its business or supply chain which are reasonably likely to give rise to an investigation relating to an alleged MSA Offence or prosecution; and 26.2.2. It complies with and, for the duration of this Agreement, shall comply with the UK Modern Slavery Act 2015. 26.3. Any breach of Clause 25.2.1 or 25.2.2 by Taskize shall be deemed a material breach of the Agreement and shall entitle the Client to terminate the Agreement. 26.4. Taskize shall take all reasonable steps to ensure that slavery, servitude, human trafficking, forced or compulsory labour, and/or child labour do not take place in its supply chains or in any part of its business (including making all necessary enquiries with its suppliers and, to the extent reasonable, other parties in the supply chain). 26.5. Taskize shall notify the Client immediately in writing if it becomes aware or has reason to believe that it, or any of its officers, employees, agents or subcontractors have breached or potentially breached any of Taskize’s obligations. under this Clause 26.5. Such notice will set out full details of the circumstances concerning the breach or potential breach of Taskize’s obligations. 1.1.   • Xxxxx-Xxxxx Act compliance IF proposing on PART 2, Texas Statute requires compliance with Xxxxx-Xxxxx Act, as amended (40 U.S.C. 3141- 3148). When required by Federal program legislation, all prime construction contracts in excess of $2,000 awarded by non-Federal entities must include a provision for compliance with the Xxxxx-Xxxxx Act (40 U.S.C. 3141-3144, and 3146-3148) as supplemented by Department of Labor regulations (29 CFR Part S, "Labor Standards Provisions Applicable to Contracts Covering Federally Financed and Assisted Construction"). In accordance with the statute, contractors must be required to pay wages to laborers and mechanics at a rate not less than the prevailing wages specified in a wage determination made by the Secretary of Labor. In addition, contractors must be required to pay wages not less than once a week.   • Securities Act Compliance After the date of this Agreement, during the Prospectus Delivery Period, the Company shall promptly advise the Underwriters in writing (i) of the receipt of any comments of, or requests for additional or supplemental information from, the Commission, (ii) of the time and date of any filing of any post-effective amendment to the Registration Statement or any amendment or supplement to the Pricing Prospectus or the Prospectus, (iii) of the time and date that any post-effective amendment to the Registration Statement becomes effective and (iv) of the issuance by the Commission of any stop order suspending the effectiveness of the Registration Statement or any post-effective amendment thereto or of any order or notice preventing or suspending the use of the Registration Statement, the Pricing Prospectus or the Prospectus, or of any proceedings to remove, suspend or terminate from listing or quotation the Offered Securities from any securities exchange upon which they are listed for trading or included or designated for quotation, or of the threatening or initiation of any proceedings for any of such purposes. If the Commission shall enter any such stop order or order or notice of prevention or suspension at any time, the Company will use its best efforts to obtain the lifting of such order at the earliest possible moment or will file a new registration statement and use its best efforts to have such new registration statement declared effective as soon as practicable.
