Operational Assistance. During the Term, Yahoo will provide the Company with the Yahoo Operating Contributions, at no cost to the Company or Yahoo (except as set forth herein), as well as such other support as Yahoo and the Company shall mutually agree. Yahoo shall be reimbursed by the Company on a monthly basis for Yahoo's direct out-of-pocket expenses incurred in connection with such activities, which shall be determined by Yahoo and the Company on an arms-length basis, and a reasonably detailed explanation of which shall be provided to the members of the Board of the Company concurrently with the regular delivery of financial information about the Company. The Company shall not be obligated to reimburse Yahoo for any such expenses until such expenses have been reviewed and approved by the Board of the Company.

Operational Assistance. From the Effective Date through twenty-four (24) months following the Launch Date, Visa will provide the Company with the Visa Operating Contributions at no cost to the Company (except as set forth herein), as well as such other support as Visa and the Company shall mutually agree. Such activities will be undertaken actively by Visa, particularly during the first twelve (12) months following the Effective Date, consistent with the Operating Plan.
Operational Assistance. So long as Franchisee is in good standing, Company will provide the following services and assistance to Franchisee after the restaurant opens. (1) Unless Franchisee is already a Franchisee, Company will send training personnel to the restaurant for at least two days prior to the restaurant opening and at least four days during the period the restaurant first opens for verify that Franchisee is operating the restaurant in accordance with the Operations Manual. (2) Company will advise and assist Franchisee in planning publicity and promotions for the restaurant’s opening. (3) Company will make its staff accessible to the general manager for consultation by telephone, fax and written communication (and by email after Company implements an internet network). Company will occasionally visit the restaurant to conduct quality, service and cleanliness (“QSC”) inspections. (4) Company will arrange for the production and distribution of the DW product line and certain other menu items which Company deems appropriate for the restaurant. Company will arrange for these items to be produced in quantities sufficient to satisfy the restaurant's reasonable needs. Company will be relieved of any obligations to Franchisee under this Section 6(b)(4) if Franchisee fails to maintain a satisfactory payment history with the distributor from which Franchisee purchases inventory, or if Franchisee becomes significantly or habitually late in paying royalties or marketing fees on time. (5) Company will loan Franchisee additions and supplements to the Operations Manual as they become available, and will disclose to Franchisee additional trade secrets, if any, Company develops that relate to the operation of restaurants. (6) So long as Franchisee complies with Franchisee's financial, operational and reporting obligations under this Agreement, Company will invite Franchisee to attend (at Franchisee's expense) all conventions, seminars and other franchise-oriented functions Company from time to time plans and sponsors. (7) Company will permit Franchisee to purchase equipment and inventory from or through any distribution network Company establishes.

Operational Assistance. PPC-US and @viso shall provide the services set forth in Section 2.1.1 and 2.1.2 ("Operational Assistance"): 2.1.1 Subject to the terms and conditions herein, PPC-US at its own expense (except as set forth in Section 3.1) will provide incubation services to assist PPC-BV Entities to implement the PeoplePC Solution in the Territory, including, but not limited to, reasonable technical support of the PeoplePC Technology (as defined in the License Agreement) necessary and appropriate to launch PPC Technology in the Territory. 2.1.2 Subject to the terms and conditions herein, @viso at its own expense (except as set forth in Section 3.1) shall assist in the establishment of the Local Business in all regions of the Territory, and in particular, shall contribute significant time, resources, operational, recruiting and administrative support, including without limitation, support for the execution of the PeoplePC Solutions in the Territory in accordance with agreements between PPC-US and each of Ford and Delta.

At the request of the Hospital, assist in preparing for and responding to surveys conducted by governmental authorities and other accrediting bodies. g. At the request of the Hospital, assist in preparing for and responding to third party payor audits concerning the medical necessity or quality of professional cardiovascular services as well as other government inquiries, including the compilation and timely delivery of all required documentation. h. At the request of the Hospital, assist in the development of patient care programs and protocols in response to pay for performance programs of third party payors, including Medicare and Medicaid. i. Assist the Hospital in the development, implementation and monitoring of programs and plans to reduce adverse events, including medication errors. j. Monitor and provide recommendations regarding facilities management, equipment purchase and maintenance and supplies management. k. Assist the Hospital in the development of community awareness and educational programs that provide information regarding Service Line services and related topics of interest to community residents. l. Make recommendations as to qualified personnel, including appropriate staffing complements. m.
