Processing Entries. You shall transmit PPD (Prearranged Payments and Deposits) or CCD (Corporate Credit or Debit) credit or debit Entries to us in compliance with the formatting and other requirements set forth in the NACHA Rules and the Supporting Documents. The External ACH Services will start on a date agreeable to us after all set up requirements have been completed. You will not submit individual or total daily or monthly Entries in excess of the maximum limits established by us. The parameters and variations of the limits shall be set at our discretion, including but not limited to limits based on dollar amounts and/or Standard Entry Class Code types. You will not divide a transaction into more than one Entry in order to avoid these limitations. We may adjust these limitations from time to time, at our discretion. Our processing of Entries in an amount greater than the established limit(s) shall not be deemed a waiver of this provision. We may cease processing Entries in a greater amount at any time without prior notice. You may not originate Entries using Standard Entry Class Codes other than CCD and PPD without prior notice to and written approval from us. We may require you to submit an application in form and content acceptable to us, and your execution of supplemental schedules, agreements and other documents as we may require, as a condition precedent to your use of other Standard Entry Class Codes. By way of example, the foregoing restrictions and requirements apply to your use of CTX, ARC, RCK, BOC, POP, WEB, IAT or TEL Standard Entry Class Codes, or if you are engaging in cross-border (International) transactions and your ability to process such entries will also be subject to a separate agreement or addendum with us. We may block unapproved use of a Standard Entry Class Code or an unapproved cross-border transaction. Except as provided below for On-Us Entries, we shall: (1) process Entries received from you to conform with the file specifications set forth in the NACHA Rules, (2) transmit such Entries as an ODFI to an ACH Operator selected by us in our sole discretion (“ACH Operator”), and (3) settle for such Entries as provided in the NACHA Rules. We shall transmit or complete the necessary authorizations for ACH Entries by the deadline of the ACH Operator, one Business Day prior to the Effective Entry Date shown in such Entries, provided: (a) such Entries are received by our related cutoff time on a Business Day, (b) the Effective Entry Date is at least one ...

Processing Entries a. Company shall only transmit PPD (Prearranged Payments and Deposits) or CCD (Corporate Credit or Debit) credit or debit Entries to Bank to the location(s) and in compliance with the formatting and other requirements set forth in the Supporting Documents. ACH Credit Origination Services will start on a date agreeable to both Company and to Bank after all set up requirements have been completed to Bank’s satisfaction and in accordance with the Rules. Company agrees that its ability to originate Entries under this Agreement is subject to exposure limits in accordance with the Rules and as set forth in the Supporting Documents.
Processing Entries. Company shall be responsible for processing Entries so as to conform to the file specifications set forth in the Rules. Company shall transmit Entries to the location and in compliance with such formatting and other requirements as may be established by Bank from time to time.
Processing Entries. Customer must input Entries data in the Service to conform with the file specifications set forth in the Rules. Bank will transmit such Entries as an Originating Depository Financial Institution to an Automated Clearing House Operator and settle for them in accordance with the policies of Bank, provided however that Bank may at Bank’s discretion defer or delay crediting Customer or providing funds or funds availability to Customer in settlement of any debit Entry or Reversal (as defined below) or of any returned or rejected credit Entry. Without limitation, Bank may defer any credit to Customer until Bank receives final settlement for a Debit Entry. Any credit provided to Customer for any reason will be provisional until all rights of any other party to the funds (under the Rules or otherwise) have expired, and Bank will have the right to immediate payment of the amount of such credit upon its receipt of notice of any adjustment or that final settlement may not occurred. In addition, Bank will have the right to payment by Customer of any returned or rejected credit Entry, or in settlement of any reversal of a credit Entry, for which Customer has previously received credit at the time Bank receives such rejection or return. Unless otherwise specified in writing by Bank, Customer may not initiate Entries using any standard entry class or code other than PPD and CCD (or CCD+), as set forth in the Rules in effect as of the date of this Agreement, and may not initiate represented checks (RCK), point of purchase (POP), Accounts Receivable Checks (ARC), Back Office Conversion (BOC) or web (WEB) Entries, or any other standard entry class or code first authorized by an automated clearing house after the effective date of this Agreement. Bank may transmit Entries to the ACH Operator on or before two business days prior to the Settlement Date Shown on such Entries provided: (i) such Entries are received by Bank’s related cut-off time on a business day, (ii) the Settlement Date is after such business day, and (iii) the ACH is open for business on such business day. If any of these requirements (that is, of the preceding clauses) is not met, Bank may delay or retransmit the Entries to ACH. If Bank chooses not to retransmit, Bank has no obligation to provide you with notice. Customer may not cancel or amend any Entry after its receipt by Bank. Processing Entries. You must input Entries data in the ACH Service that conform to the file specifications and other requirements set forth in the NACHA Rules. Bank will transmit such Entries as an Originating Depository Financial Institution (ODFI) to an Automated Clearing House Operator, and settle the Entries in accordance with the policies of Bank. Except as provided below for On-Us Entries, Bank shall: (i) process Entries received from you to conform with the file specifications set forth in NACHA Rules, (ii) transmit such Entries as an ODFI to an ACH Operator selected by Bank in its sole discretion (“ACH Operator”), and (iii) settle for such Entries as provided in the NACHA Rules. Bank shall transmit or complete the necessary authorizations for ACH Entries by the deadline of the ACH Operator, provided: (a) such Entries are received by Bank's related cut-off time on a business day, (b) the Effective Entry Date is at least two business days after such business day, and (c) the ACH Operator is open for business on such business day. Entries shall be deemed received by Bank when the transmission and compliance with any related Security Procedures is completed. If any of the requirements of this paragraph are not met, Bank may use reasonable efforts to transmit such Entries to the ACH by the next deadline of the ACH Operator which is a business day and a day on which the ACH Operator is open for business. The ACH Service allows you to create an ACH Entry file or batch file of Entries that Bank will consider for processing if submitted before the posted Cut-Off time designated by Bank. Exposure limit(s) are established at enrollment and may not be exceeded without prior authorization from Bank. Your exposure limit(s) which will be set and communicated from Bank. Bank may increase, decrease or otherwise modify your exposure limit(s) at any time, for cause or without cause, and with or without prior notice to you. Each authorized signer on the Account may contact Bank to request changes in limits, request investigation or request that Bank not process a file or request a reversal for a file that has been submitted. Upon receipt of your ACH Entries or your file, Bank may choose not to process the entire file or individual entries, at Bank’s option, if there are errors in the file or any entry or if your account(s) do not contain sufficient funds to cover the transaction.   • Interchange The Seller receives Interchange Fees from financial institutions for clearing transactions arising under the Accounts and as compensation for assuming credit risk and funding receivables for a limited period of time prior to initial billing. The Seller will Transfer to the Custodian on a daily basis the Interchange Fees, representing the aggregate amount of fees paid or payable to the Seller on such day in respect of all Visa Accounts, Mastercard Accounts and other Specified Account Designation Accounts from other financial institutions that clear such credit card transactions for merchants after netting or set-off occurs. The Seller may, from time to time, in its sole discretion, voluntarily increase or decrease the rate used to calculate amounts receivable or payable in respect of Interchange Fees. The Account Assets include the then applicable Interchange Fees.
