Program Pricing. InPulse™ shall provide to Client the specific charges and fees for each requested service as defined in attached addendums. InPulse™ reserves the right to modify these charges on the basis of a requested change in services by Client.
Program Pricing. The fee calculation for this Schedule depends solely on the total enrollment figures for the Participating Grades as indicated in the College Readiness Agreement Budget Schedule (‘Budget Schedule’), the official Free and Reduced Price Lunch Program (FRPL) percentage of the Client, and the product(s) purchased by the Client. The Client acknowledges that successful implementation of the Early Participation Program is contingent on the Client requiring 100% of their high schools1 to participate under this Agreement. If, during the term covered by this Schedule, the College Board is furnishing other assessments to Client in addition to PSAT 8/9, or if multiple grades are being tested under this Schedule the fee calculation represents a greater discount. Program PricingThe Company will charge Distributor the list prices set forth on Exhibit A for Products, as may be amended by the Company in its sole discretion (the “List Price”). The Company will have the unilateral right to enact a List Price change at any time, by distributing a revised Exhibit A showing a different List Price for the Products, effective on a date specified by the Company. The List Price is exclusive of federal, state and local excise, sales, use and other taxes applied or imposed on the sale, shipment, delivery, ownership, possession or resale of Products or any other activities contemplated under this Agreement.
Program Pricing. MidVision Program requires an up-front, one time license fee and ongoing, optional, annual subscription and support charges governed by the license, Two main pricing methods are used, RVU pricing and PVU pricing although other methods may be used as set out in the XXX. MidVision grants the Licensee a nonexclusive license to indefinitely use the specific version/release of the Program obtained when the Licensee lawfully obtains it up to the level of authorised use specified in the XxX. MidVision licenses the Software for use as long as the Licensee complies with the terms of the license agreement. In addition, the licensee is entitled to receive such MidVision Subscription and Support for such a period, as set out in the XxX. At the end of each period of coverage detailed in the XxX, MidVision Subscription and Support is renewable for another 12 months or longer, referred to as "MidVision Subscription and Support Renewal". If the MidVision Subscription and Support is not renewed, the Licensee will no longer receive the benefits of MidVision Subscription and Support, but Licensee may still use the Program according to the license agreement. While MidVision Subscription and Support is in effect for the software license: • MidVision will make available to the License and authorise the Licensee to use the most current commercially available version, release, or update, should any be made available. • MidVision Support includes assistance for: o code-related questions Such Support for a particular version or release of the software is available only until MidVision or the third party, as applicable, withdraws Support for that software’s version or release. When Support is withdrawn, the Licensee must upgrade to a supported version or release of the software in order to continue to receive Support. See the MidVision Software Support Lifecycle policy. o Or other such bespoke Support as set out in the XXX. • MidVision provides assistance via online and/or telephone submission and online and/or telephone and/or onsite resolution assistance. These are confirmed within the Licensee’s XXX and MidVision Software Support Handbook. • MidVision may request that the Licensee allows it to remotely access the Licensee’s system to assist the Licensee in isolating the software problem cause. The Licensee remains responsible for adequately protecting their own system and all data contained in it whenever MIdVision remotely accesses it with the Licensee’s permission. 5.1 Trade-up...
Program Pricing. (a) Company shall be solely responsible for ensuring that all charges and fees to be paid by applicants to become Cardholders shall be those charges that comply with all applicable State and Federal laws, Rules and Regulations. All charges and fees assessed by Company shall be given by Company to Bank in advance and Bank shall have the option, but no obligation, to prohibit or limit such charges and fees if such fees violate an applicable State or Federal Law, Rule, or Regulation. In accordance with Network rules and regulations, and applicable state and federal laws, Bank shall notify Company as soon as possible for any suspected, alledged or noticed compliance issues. The charges and fees paid by Cardholders shall be disclosed in the Cardholder Agreement and Applications given to the Cardholder by Company and Bank at the time the account is opened and when the Card is received. (b) Company may modify pricing by giving written notice of the proposed modification or addition to the Bank. Company acknowledges and agrees that it shall be solely responsible for ensuring that any such modification or addition complies with the Operating Rules and the Rules and Regulations, which govern Cards and/or Demand Deposit Accounts. Bank shall have the option, but not the obligation, to object to a pricing modification if such modification violates an applicable State or Federal Law, Rule, or Regulation.
