PROPOSAL ACTIVITIES. 1.1 During the term of this Agreement, Prime shall use its good faith efforts to secure prime contracts for the Program, and shall exercise good faith efforts to assist Prime in achieving this result through its endeavors in the field of EXHIBIT A work. Any modifications to EXHIBIT A shall be in writing signed by both parties.
1.2 shall work with and at the direction of Prime using its good faith efforts to assure an appropriate interface between its work and that of Prime, and will cooperate from time to time in supporting marketing and proposal efforts on the Program as requested by Prime. At least 14 days prior to the date on which Prime’s proposal is to be submitted, will submit to Prime a proposal for the EXHIBIT A work. As part of any proposal, the shall incorporate all material required to be responsive to the Customer’s proposal request including any material pertinent to the work assigned to it as defined in EXHIBIT A, manuscripts, art work, Work Breakdown Structure (WBS), technical descriptions, and element cost and/or pricing data, as appropriate. Such proposal shall contain or be accompanied by accurate, current and complete pricing information in sufficient detail to permit costing of the prime contract and negotiation of the subcontract for the EXHIBIT A work.
1.3 Each party shall bear all costs, risks and liabilities incurred by it arising out of its performance of this Agreement. The Prime shall be responsible for the graphic arts, printing, binding and delivery costs of the proposal. Neither party shall have any right to any reimbursement, payment or compensation of any kind from the other during the period up to the award of a prime contract unless otherwise specifically agreed in writing by the parties.
PROPOSAL ACTIVITIES. Subcontractor/Team Member shall submit to Contractor/Team Lead all appropriate technical and business data and information concerning its proposed portion of the project, including reasonable cost or pricing data, for use in preparation of the Proposal. Team Member shall make available appropriate and personnel to provide reasonable assistance to Team Lead in the preparation of the Proposal as directed by Team Lead.
PROPOSAL ACTIVITIES. 2.1 The parties are committed to develop the best possible problem understanding, Proposal organization, marketing approach and technical solution for meeting the RFP requirements. Each party shall participate in and support the Proposal effort in the areas of its responsibility. Subcontractor's area of responsibility is set forth in Schedule A hereto. The parties agree to furnish each other information and materials necessary to assist in developing and preparing sections of each Proposal and any modification thereto. Each party will timely provide the other with all technical, management, cost and pricing data, information, certifications and affidavits, resumes and materials necessary to facilitate the successful completion of the procurement process. Such information shall be submitted in a format that is consistent with the RFP requirements.
2.2 at all times during the term of this Agreement, the parties each agree to _ keep the other informed of inquiries from or contacts with the Government as may concern each RFP, Proposal, Project or related procurement issues.
2.3 To maximize the potential for securing award of the Project, AccuPoll and EDS agree to jointly develop competitive pricing models. Accordingly, ' AccuPoll and EDS agree to develop creative and very competitive pricing based on the work to be undertaken by each.
2.4 The parties will each treat the other with the respect and trust with which they treat their respective customers. In addition, the employees of AccuPoll and EDS shall obey all pertinent rules and regulation of the other party while on the premises of the other party, including those relating to the safeguarding of confidential information.
2.5 The parties will endeavor will comply at all times with the provisions of the representations, certifications and affidavits included in the RFP. Each party shall notify the other immediately if it has knowledge, constructive or actual, of any instances of any material breach or noncompliance with such certifications and affidavits and, further, the non-complying party will indemnify the other party for any and all costs or damages incurred by it as a result of such breach of non compliance.
2.6 In consideration of the mutual benefits anticipated from a successful Proposal effort in response to each RFP, each party shall bear its own respective costs, expenses, risks and liabilities arising out of performance hereunder.

Sub will submit to Prime a proposal for the requested work in accordance with the Scope Exhibits within 5 days of receiving a request for proposal. As part of any proposal, the Sub shall incorporate any material pertinent to the work assigned to it, including, but not limited to, manuscripts, art work, Work Breakdown Structure (WBS), and element cost and/or pricing data, as appropriate. Such proposal shall contain or be accompanied by accurate, current and complete pricing information in sufficient detail to permit costing of the prime contract and negotiation of the subcontract. PROPOSAL ACTIVITIES. Some ESL students do not have sufficient knowledge of the English language to understand the instructions that are provided by their teachers. As such, they may not know exactly what is going on in their classes. Teachers have to encourage their students to ask for clarification when they do not understand certain instructions. During the course of a lesson, they have to let their students know which points are important and give them more time to ask questions. At the end of the lesson, they should ask the students to write down all the things that they have learned and aspects of the lesson that they are unsure of. PROPOSAL ACTIVITIES. AKOUSTIS may request proposals for Development Support under this Agreement. All proposal activities undertaken within the scope of this Agreement are voluntary and determined independently by each Party to be in its own best interest and this Agreement is not intended by the Parties to constitute or create a contractual obligation to perform work for which either Party recovers costs indirectly, such as through bid and proposal (B&P) funding.
PROPOSAL ACTIVITIES. 1.1 During the term of this Agreement, FPI shall act as prime contractor for all efforts under Proposals and Subcontractor shall act as subcontractor for the supply of TCSUs as well as performance of such additional work as is agreed to by the Parties to be responsive to issued Proposals. If such work is called for in a Proposal, Subcontractor shall be granted a right of first refusal to assemble TCSU kits and to: (a) perform installation subject to the approval by: (i) the Customer, and (ii) any entity with which FPI has a prior agreement regarding the ILAV, Mastiff, Ridgback or TSV Cougar vehicles; or (b) train, supervise and certify FPI’s personnel with respect to the installation of the TCSUs onto Cougars; provided the terms of Subcontractor’s price, delivery and quality for installation or training are agreed in good faith by the Parties to be commercially reasonable (the “Work”). If applicable, FPI shall exert reasonable efforts to obtain, on behalf of Oshkosh, the approval described in (a)(i) and (ii), above. Notwithstanding anything in this Agreement to the contrary, FPI shall retain the right to disassemble the existing Cougar axles as well as the right to provide, kit and install the FPI Proprietary Components. However, the parties may by mutual agreement allow Subcontractor to kit the entire TCSU. Subcontractor shall provide FPI with the interface information and outline drawings of the TAK-4 independent suspension in order prepare Proposals or complete Contracts. FPI shall provide Subcontractor with the interface information and outline drawings for the FPI Proprietary Components.
1.2 FPI shall be the point of contact with the Customers and will prepare the Proposals, integrate the data and material provided by Subcontractor, and submit the Proposals to the Customers. FPI shall timely inform Subcontractor of communications with the Customer that impact subcontract performance and shall permit Subcontractor to communicate with the Customer as requested by the Customer or is reasonably necessary to optimize Proposal success. FPI, in good faith consultation with Subcontractor and pursuant to Subcontractor’s reasonable approval with respect to its content, will make the final determination of the form and content of the Proposals and will ensure Subcontractor’s data is adequately portrayed and identified as Subcontractor’s portion.
